A bond rating is a credit rating assigned to one specific bond or debt issue. A credit rating is the broader term: an agency may rate the overall ability of a company, government or other borrower to meet its obligations, or it may rate an individual security. Because a bond’s seniority, collateral, guarantees and other terms affect its risk, the bond’s rating can be higher or lower than the issuer’s overall rating.
Ratings are agency opinions about relative credit risk, not guarantees, price forecasts or personal investment advice. A higher rating generally indicates a lower assessed likelihood of default than a lower rating, but it does not eliminate market, liquidity, interest-rate or suitability risks.

The short distinction: issuer versus obligation
Think of “credit rating” as the category and “bond rating” as one application of that category. A credit-rating agency can assess an issuer’s general creditworthiness, such as a corporation’s or government’s ability to pay all of its financial obligations. It can also assess a particular debt security. That security-level assessment is the bond, or issue, rating.

|---|---|---|
| Credit rating | Broad term covering an issuer or a specific debt instrument | An agency’s opinion of relative credit risk under its stated methodology |
| Issuer credit rating | The borrower as a whole | The obligor’s overall capacity and willingness to meet financial obligations |
| Bond or issue rating | One bond, note or other debt obligation | The risk characteristics of that particular security, including its place in the capital structure |
The U.S. Securities and Exchange Commission (SEC) describes a credit rating as “an assessment of an entity’s ability to pay its financial obligations.” The “entity” may be a company, government or another obligor, while the obligation may be a bond or another debt security. The same issuer can therefore have one issuer-level rating and several issue ratings.

Why one issuer can have several bond ratings
An issuer’s financial condition is important, but it is not the only determinant of a bond’s risk. Two bonds from the same company can have different claims on the same assets and different protections for investors.
Seniority and subordination
Senior debt generally has a higher priority for payment and recovery if the issuer defaults. Subordinated or junior debt is paid only after senior claims are satisfied. An agency may assign a junior bond a lower rating than the issuer’s general credit rating because losses are expected to be greater in a default or restructuring.
Collateral and security interests
A secured bond is backed by specified collateral, such as property, equipment or receivables. Unsecured debt relies on the issuer’s general promise to pay. If the collateral is valuable, enforceable and likely to retain value in a stress scenario, the issue rating can be stronger than an otherwise similar unsecured claim.
Guarantees and structural support
A parent company, subsidiary or other guarantor may promise to make payments if the primary obligor cannot. The strength, legal enforceability and scope of that guarantee matter. A limited guarantee may provide less protection than a full, unconditional guarantee, and an agency evaluates the guarantor’s own creditworthiness.

Covenants and payment terms
Covenants can restrict additional borrowing, asset sales, dividends or mergers, preserving value for existing bondholders. A bond with stronger covenants may receive better treatment than a bond with fewer protections. Maturity, amortization, call features, payment priority and the governing legal terms can also influence the issue rating.
Expected recovery after default
Some rating methodologies distinguish the chance of default from the amount investors might lose if default occurs. A bond with a similar probability of default but better expected recovery may receive a different issue rating than a deeply subordinated bond. Check the agency’s definitions to see whether a symbol primarily reflects default likelihood, expected loss or another measure.
Because these features are specific to an instrument, an issue rating may be “notched” above or below the issuer rating. The notch is not an error or a contradiction; it reflects the bond’s legal and economic position.
How rating scales and investment-grade labels work
Agencies use letter symbols, but the symbols are not interchangeable without checking the agency and the version of its scale. Investor.gov identifies Moody’s Baa or above as investment grade and S&P and Fitch BBB or above as investment grade. On scales that use plus and minus modifiers, the SEC investor bulletin describes BBB− or higher as investment grade. Preserve the agency’s exact notation when discussing a security.

| Agency scale referenced by Investor.gov | Investment-grade boundary | Common description below the boundary |
|---|---|---|
| Moody’s | Baa or above (the lowest investment-grade family is Baa) | Below Baa is generally speculative grade |
| S&P | BBB or above; where modifiers are used, BBB− is the lowest investment-grade notch | Below BBB− is generally speculative grade |
| Fitch | BBB or above; where modifiers are used, BBB− is the lowest investment-grade notch | Below BBB− is generally speculative grade |
“Investment grade” is a classification, not a promise. A bond at the bottom of the investment-grade range can have materially different risk from a bond near the top. Conversely, a speculative-grade or high-yield bond is not certain to default. It is generally assessed as having greater default risk and therefore tends to offer a higher yield to compensate investors for that risk.
Agency definitions, time horizons, assumptions and treatment of expected loss can differ. Compare symbols only within a clearly identified agency scale, and read the methodology when a difference between agencies matters.
What a rating can tell you
Relative credit risk
Within one agency’s framework, a higher rating generally signals a lower assessed likelihood of failing to make promised payments than a lower rating. Ratings let investors organize a large universe of issuers and bonds by broad credit-risk categories.

Payment priority and issue-specific protection
An issue rating can reveal that the agency views a bond’s position, collateral or guarantees as stronger or weaker than the issuer’s general obligations. The rating is therefore useful for comparing two bonds from the same borrower.

Changes in the agency’s assessment
Agencies periodically review ratings and may revise them when financial conditions, business prospects, legal terms or expectations change. A rating may also carry an outlook or watch status indicating the direction or timing of possible action. Always confirm the current rating and status rather than relying on an old offering summary.
What a rating cannot tell you
- It is not a repayment guarantee. The SEC states that a credit rating is not a guarantee that a financial obligation will be repaid.
- It is not an investment recommendation. A rating does not determine whether a bond is appropriate for your income needs, time horizon, tax situation or risk tolerance.
- It is not a price or yield forecast. Ratings do not assess the price at which a security is offered or sold. Market yields can move for interest-rate, inflation, supply, demand and liquidity reasons even when a rating is unchanged.
- It does not cover every risk. Market risk, liquidity risk, call risk, reinvestment risk, currency risk, legal risk and concentration risk may be material but outside the rating’s stated scope.
- It is not a substitute for bond documents. The rating does not replace the prospectus, offering memorandum, indenture, financial statements or disclosures about covenants and collateral.
- It is not a permanent label. Agencies can upgrade, downgrade, place a security on watch or change an outlook as circumstances evolve.
How agencies arrive at a rating
The exact process varies by agency and asset class, but an analysis commonly combines quantitative and qualitative work. Analysts examine financial statements, cash flow, leverage, liquidity, refinancing needs, business or tax-base stability, competitive position and access to capital. For governments, they may also consider economic structure, fiscal flexibility, debt burden and institutional factors.
For an individual bond, analysts add the instrument’s legal terms and structural position. They review maturity, amortization, collateral, guarantees, covenants, recovery prospects and the relationship between the issue and other claims. Assumptions about the economic cycle and the issuer’s future operating conditions affect the conclusion.

How to check a bond’s rating before buying
- Identify the exact security. Record the issuer, maturity date, coupon, currency, call features, CUSIP or other identifier, and whether the bond is secured, senior or subordinated.
- Find the issue rating, not only the issuer rating. Search the offering documents and current agency information for the specific series. A company’s general rating may not describe every bond it has issued.
- Record the agency, symbol and date. Write down which agency assigned the rating, the exact modifiers, and whether the status is stable, positive, negative, on watch or otherwise qualified.
- Read the rating definition. Confirm whether the scale addresses default probability, expected loss, recovery or another risk concept. Do not translate a symbol from one agency into another without checking both definitions.
- Review the legal protections. Read the prospectus or offering memorandum, indenture and any guarantee. Look for payment priority, collateral, covenants, events of default, call provisions and limitations on additional debt.
- Assess risks outside the rating. Consider duration and interest-rate sensitivity, trading liquidity, spread volatility, inflation, currency exposure, tax treatment, call and reinvestment risk, and how the bond fits your portfolio.
- Check for updates. Look for the latest rating action, outlook and watch status. A document issued months or years ago may show a rating that is no longer current.
A simple example of issuer and bond ratings
Suppose a company has an issuer rating in the lower investment-grade category. It issues three securities: a first-lien secured note, a senior unsecured bond and a subordinated bond. The secured note has pledged assets and first payment priority. The senior unsecured bond has no specific collateral but ranks ahead of subordinated debt. The subordinated bond is paid last among the three.
Even though all three obligations depend on the same company, an agency could rate the secured note above the issuer level, place the senior unsecured bond near the issuer level and rate the subordinated bond below it. The differences would reflect the estimated loss and recovery for each claim, not three contradictory views of the company’s existence.
If the company’s cash flow deteriorates, the agency might lower the issuer rating and all three issue ratings. It might also lower only one issue if a covenant breach, collateral problem or legal development affects that bond specifically. The current documents and rating actions are needed to determine which explanation applies.
Using ratings in a portfolio or bond fund
When evaluating a portfolio, do not infer that every holding has the same risk from a single portfolio label. A fund may hold bonds with different agencies, maturities, seniority levels and ratings. “Investment grade” can describe a mandate or a range rather than every security at every moment.
Ask how the portfolio defines investment grade, what happens after a downgrade, whether ratings are assigned by one agency or several, and how unrated securities are treated. Also examine duration, sector and issuer concentration, liquidity and the possibility that a fund’s market price can fall even when its holdings remain investment grade.
Questions to ask when two ratings disagree
- Are both agencies rating the same issuer and the same bond series?
- Are the symbols being compared on their own agency scales, with modifiers preserved?
- Does one agency emphasize default probability while another gives more weight to expected loss or recovery?
- Did the agencies use different information dates or assumptions?
- Is one rating provisional, unsolicited, on watch or based on limited information?
- Do the issue’s collateral, guarantees or subordination explain a notch difference from the issuer rating?
The answer should come from the agencies’ current definitions and reports, plus the bond’s legal documents. A letter-by-letter conversion table cannot capture every structural distinction.
Bottom line for investors
Use the issuer rating to understand the borrower’s broad credit standing and the bond rating to judge the particular claim you may own. The bond’s priority, collateral, guarantees, covenants and recovery prospects can move its rating above or below the issuer level. Treat investment-grade symbols as agency-specific categories, verify the current rating and outlook, and combine the rating with the offering documents and market, liquidity, price and suitability analysis. A rating is a useful starting point for credit-risk research, never a guarantee or a complete investment decision.
