It describes the deal’s price relative to that benchmark—not the seller’s motive, the stock’s fair value, or what the share price will do next. In India, the relevant benchmark can depend on which exchange block-trading session the deal used.
What a block deal discount tells you
A block deal is a large share trade executed as a single transaction in a separate exchange trading window. SEBI describes the mechanism as a way to execute large trades without putting either the buyer or seller at a disadvantage. The deal price is the price at which those parties transacted; calling it a discount simply says that price was below a comparison price chosen for analysis.

For example, suppose a disclosed block transaction took place at ₹98 per share and you compare it with a stated reference price of ₹100. The transaction was ₹2 per share, or 2%, below that benchmark. The calculation does not show that the stock’s fair value is ₹98, that the buyer got a bargain, or that the market price must fall. It establishes only the relationship between two prices.

How to calculate the discount or premium
Use this explanatory formula:
Discount (%) = (comparison price − block-deal price) ÷ comparison price × 100
If the result is positive, the deal price is below the comparison price. If the deal price is above the benchmark, describe the difference as a premium; the calculation can be expressed as (block-deal price − comparison price) ÷ comparison price × 100. These are analytical comparisons, not official exchange-defined statistics.
Worked example
- Choose and identify a benchmark—for example, ₹100.
- Use the disclosed transaction price—for example, ₹98.
- Subtract the transaction price from the benchmark: ₹100 − ₹98 = ₹2.
- Divide ₹2 by ₹100 and multiply by 100: the deal is 2% below that benchmark.
Do not label the result simply “a 2% discount” without saying what the ₹100 represents. A block-deal price may be compared with the exchange’s applicable reference price, the ordinary-market price at a specified time, or another clearly identified price. Because the market can move after a reference price is observed and before a reader sees the disclosure, a comparison with the later closing price can produce a different percentage.

Which reference price applies to an NSE block deal?
NSE has separate morning and afternoon block-trading sessions, and their reference-price methods differ. Its current Block Trading Session page, checked on 2026-10-13, lists the following times and reference methods:

VWAP means volume-weighted average price: prices at which more shares traded contribute more weight to the average than prices at which fewer shares traded. The afternoon reference is therefore tied to trading during the stated 15-minute period, not automatically to the day’s closing price. If there were no trades in that interval, the fallback calculation matters; do not substitute a guessed price.
For an actual deal, first identify its session and the applicable reference price from the relevant exchange information. Then compare the transaction price with that reference. If you instead use a different benchmark, state it plainly and do not imply it is the exchange’s reference.

Current NSE order limits—and an older-source conflict
The NSE Block Trading Session page checked on 2026-10-13 lists a minimum order size of ₹25 crore. It also says an order must be within ±3% of the applicable reference price, subject to the security’s applicable daily price range and surveillance measures. Those are current figures from that NSE page; they should not be generalized to every exchange, market, or country.
There is a source-version discrepancy worth knowing about. SEBI’s consolidated trading chapter and an older NSE FAQ state a ₹10 crore minimum and a ±1% range, while NSE’s current block-trading page lists ₹25 crore and ±3%. For present NSE execution details, the current NSE page is the more directly current exchange source. The materials do not establish the exact reason for the difference, so it would be unwarranted to attribute it to a particular amendment or date of rule change.
These order parameters describe the conditions for placing a block order; they do not mean every completed deal will occur at the maximum permitted discount or premium. Nor do they say what a completed transaction implies about the security’s future price.

Does a block deal discount mean the stock is bad or will fall?
No. A discount is not, by itself, a bearish forecast. It records that a transaction occurred below the benchmark used in the comparison. A large holder might accept a lower price as part of a negotiated transfer, or the parties may have reasons related to execution, liquidity, or portfolio changes. Those are possible explanations, not facts that can be inferred from the percentage alone.
The disclosed price is evidence of the price at which the named counterparties completed that transaction. It is not a standalone valuation of the company or proof that new information has reached the market. A block deal above a benchmark is similarly a premium, not a guarantee of a subsequent rise. Neither direction of the comparison determines the stock’s next return.

To interpret a specific transaction, examine it alongside other information rather than treating the discount as a signal in isolation. The identity and disclosed role of buyer and seller, deal size relative to ordinary trading and shareholding, company announcements, and the stock’s normal-market price action can help show whether the transfer appears isolated or coincides with wider repricing. These checks provide context; they cannot establish a seller’s private reasoning or guarantee an outcome.
How to assess a specific disclosed deal
- Confirm the security, counterparties, quantity, and traded price. Exchanges disclose block-trade information after market hours, including the security, client, quantity, and price. Check the exchange disclosure rather than relying only on a headline that may omit the benchmark or transaction details.
- Identify the session and benchmark. For an NSE deal, determine whether it used the morning or afternoon window and apply that session’s reference-price method. Keep any alternative comparison, such as the closing price, separate and label it.
- Calculate and state the difference. Apply the formula to the disclosed price and chosen benchmark. Include both prices and the benchmark’s time or description so someone else can reproduce the percentage.
- Put the size in context. Consider the block’s quantity relative to the company’s shares and ordinary trading volume. A percentage discount on its own says nothing about how large the transfer is relative to those measures.
- Read the identities and surrounding disclosures carefully. Check whether the disclosed party is a promoter or institution when that role is available, and review relevant company announcements and ordinary-market trading around the deal. Do not turn a party’s identity into an assumed motive.
- Separate observation from conclusion. You can state that a transaction cleared below a particular reference price. A claim that the seller knows something, that the company is overvalued, or that the share price will decline requires evidence beyond the discount calculation.
When comparing two reported block deals, apply the same discipline to each: name each benchmark, distinguish morning from afternoon pricing, compare deal sizes with normal volume and shareholding, identify the disclosed parties and roles, and note nearby company disclosures and market behavior. A headline percentage is not comparable across deals if it uses different benchmarks.
Block deal versus bulk deal
These terms describe different trading concepts. A block deal is one large transaction executed in a separate exchange window. A bulk deal is defined by the day’s aggregate trading in a listed security exceeding 0.5% of its listed equity shares; that threshold can be reached through one or more trades in the normal market segment. SEBI’s consolidated trading chapter, in its December 2024 collection, sets out that bulk-deal threshold.

Both types of deal are disclosed, but a bulk-deal threshold does not make the trades a block deal, and a block deal is not defined by the same daily percentage test. Keep the category and the price comparison distinct.

Post-market disclosure helps readers see the security, client, quantity, and traded price of a block trade. With the relevant reference price, those details allow a reader to calculate how far the transaction price sat above or below that benchmark. The information makes the completed transaction observable; it does not explain why the seller accepted the terms.
The official materials support the Indian exchange mechanics described here. They do not establish equivalent rules in other countries, and they do not provide a universal method for predicting the stock’s response. For a live example, use the specific exchange disclosure and the contemporaneous reference applicable to that deal rather than assuming that a reported discount against one price applies to every comparison.
