Paying for a VTuber model does not automatically give you every right in it. Your ability to monetize streams, sell merchandise, transfer the model, or publish a Live2D file depends on the written license and on which parts of the model came from the artist, a software platform, or a third-party asset.
Think of a model as a bundle of rights rather than one indivisible product. A commission may include an original illustration, rigging, software output, textures, meshes, fonts, music, and supplied materials. Each component can have different ownership, permitted uses, credit rules, and transfer restrictions. Get those terms in writing before you publish or monetize.

What a VTuber model license actually controls
A license is permission to use defined material in defined ways. It is not necessarily a transfer of copyright. An artist can let you use a model in monetized videos while retaining copyright in the illustration, or can transfer some rights while excluding a font, preset, or software component used to make it.

The safest wording lists each medium and business activity.

Separate the model into components
- Artwork: the character design, line art, colors, expressions, and promotional illustrations.
- Rigging and model data: Live2D parameters, meshes, physics, exported files, and any editable project files.
- Creator-made assets: custom textures, hair meshes, props, logos, and overlays.
- Supplied or third-party assets: software presets, sample characters, fonts, music, stock images, or marketplace materials.
- Brand elements: your name, logo, catchphrases, and other material created separately from the model.
A single purchase can therefore give you broad rights in one layer and only a limited license in another. Record the source and terms for every included asset.
Ownership and permission are different questions
Ask two separate questions: “Who owns the intellectual property?” and “What am I allowed to do?” Ownership may remain with the artist or software provider even when your license is broad and perpetual. Conversely, you might own a derivative file while still being unable to redistribute the underlying software or supplied material.

VRoid’s official guidance illustrates the split: “The copyright and other rights for textures and hair meshes you created from scratch on VRoid Studio or other tools belong to you, the creator.” The same ecosystem distinguishes those creator-made elements from components supplied by pixiv, whose rights are retained under the applicable terms. A custom texture you made yourself can therefore have a different rights owner from a preset used in the same model.

Live2D makes a similar distinction. Its software agreement states that the customer owns title, copyright, and other intellectual-property rights in the derivative work, while Live2D retains rights in the software and its portions. Owning the resulting work does not mean you own the Live2D application, its code, or every material incorporated into the file.
Which commercial uses should your license cover?
Before launch, obtain a written yes or no for each activity that could generate value. The following checklist is more useful than a single “commercial” label.

- Live streams, archived videos, shorts, clips, and platform monetization.
- Sponsored segments, advertising campaigns, brand appearances, and paid events.
- Fan membership benefits, downloadable wallpapers, digital goods, and commissions.
- Physical merchandise such as apparel, prints, books, figures, and accessories.
- Games, applications, virtual worlds, promotional software, and in-person displays.
- Use by an agency, production company, employee, contractor, or collaborator.
- Creation of alternate outfits, chibi versions, emotes, thumbnails, and promotional art.
- Use in a new channel, rebrand, graduation archive, or replacement performer.
VRoid’s published examples describe broad for-profit uses when no special clause limits an asset. Those examples include paid appearances, selling exported model data, monetized images and videos, merchandise, games, applications, commissions, and figures. Treat that permission as conditional: VRoid says its general permissions apply only when no special clause is present. The terms attached to a particular model, texture, or item can narrow the result.
Revenue is not the only commercial trigger
A video can be commercial even when it has no platform advertising if it promotes a sponsor, sells a product, or forms part of a paid service. Conversely, a private test stream may be noncommercial but still involve a restricted asset. Define commercial use by the agreement’s wording, not by whether money changed hands during one upload.

Live2D licensing adds two separate checks that are easy to miss.
Publication of derivative work
Live2D’s proprietary software agreement states that publication or distribution of derivative work generally requires a separate Live2D Publication License Agreement. “Publication” can include releasing a model to viewers, uploading an exported file, distributing a game build, or otherwise making the derivative available, depending on the agreement’s definitions. Confirm that your intended release method is covered before distributing files or embedding them in a product.
Free materials and original-character terms
Under the Live2D Free Material License, rights in supplied material remain with Live2D unless the terms expressly grant them. Redistribution of the material is restricted, and derivatives using covered original characters must display the copyright notice designated on that character’s download page. Commercial permission varies by user category and by each character’s individual terms.

Live2D’s help guidance says general users and small-scale enterprises may use sample materials for commercial or noncommercial creative activity after accepting the Free Material License Agreement and the individual character terms. That permission does not erase the separate requirements for notices, prohibited redistribution, or publication licensing. Keep a copy of the applicable character page and the accepted terms with your project records.
Artist, rigger, and software credit
Credit rules are not uniform. One artist may require a profile link in every description; another may request a one-time credit; a platform material may mandate exact wording. Put the requirement in the commission brief and repeat it in the final delivery record so it survives staff changes.
Write the credit line precisely
- Record the exact display name, handle, and any required link.
- State where credit must appear: stream description, video description, profile panel, end card, product packaging, or game credits.
- List separate credits for illustrator, rigger, logo designer, music provider, and software or material licensors when required.
- Ask whether shortened names, translated names, or platform character limits are acceptable.
- Keep the required copyright notice unchanged when a material license specifies one.
VRoid product guidance allows creators to set terms for each model, texture, and item, including whether commercial use and credits are permitted. Live2D’s free-material terms require the designated copyright notice for the relevant original character. A missing credit can therefore be a license breach even if the stream itself is otherwise authorized.
Source files, edits, resale, and transfer
Do not assume that receiving an exported model means you receive the editable project. Ask explicitly whether delivery includes the PSD or layered art, Live2D project files, rig parameters, physics settings, texture sheets, and any custom scripts. A license can allow you to use the export while withholding permission to edit or commission another rigger.
Resale and redistribution
Resale of an exported model, transfer to a buyer, and redistribution of source files are separate permissions. A listing that permits “selling exported model data,” as some VRoid examples do when no special clause applies, does not automatically authorize resale of a commissioned illustration, transfer of a personal license, or redistribution of bundled third-party materials. Require a clause that names the exact file types and the permitted recipient.

Agency and team use
If a manager, agency, editor, or replacement performer will access the files, the agreement should allow authorized contractors and state who remains responsible for credit and security. A personal, nontransferable license may not cover a company account or a second performer.
Exclusivity and territory
Clarify whether the license is exclusive, worldwide, or limited to a territory, platform, language, or campaign. “Exclusive” should say what is exclusive, for how long, and whether the artist may display the work in a portfolio. If the license is perpetual, confirm whether that means irrevocable or simply no fixed end date.

Use this sequence when negotiating or reviewing a commission. If a clause is silent, treat the activity as unconfirmed rather than assuming permission.
- Identify the parties and assets. Name the client, artist, rigger, and every deliverable, including source files and supplied materials.
- Define permitted media. List streams, videos, clips, sponsorships, merchandise, advertising, games, applications, appearances, and downloadable products as applicable.
- State ownership and license scope. Specify which copyrights are assigned, which are licensed, whether the license is exclusive, and whether it is perpetual or revocable.
- Address editing and derivative works. Permit outfit changes, redraws, new expressions, alternate rigs, thumbnails, and commissioned adaptations if those uses are intended.
- Set transfer rules. State whether resale, gifting, agency use, sublicensing, or transfer after graduation is allowed, and identify any approval process.
- List credit obligations. Include exact wording, links, placement, timing, and any software or material notices.
- List exclusions. Identify fonts, music, presets, sample characters, stock elements, and other assets governed by separate terms.
- Cover revisions and delivery. Record revision rounds, file formats, backups, rigging scope, and what happens if a deliverable is incomplete.
- Explain termination. Address artist withdrawal, breach, nonpayment, rebranding, graduation, and whether existing videos or products may remain online.
- Preserve the evidence. Save the signed agreement, invoices, delivery archive, license pages, and screenshots or PDFs of terms that may change.
How to compare two model listings or contracts
Use the same questions for every offer. A lower price can conceal missing source files, narrow media rights, or a nontransferable license.

Common mistakes and how to fix them
“I paid, so I own everything.”
Why it fails: payment may purchase a service and a limited license, not every underlying copyright. Fix: request an ownership-and-license schedule naming each component.
“Commercial use” is treated as one permission
Why it fails: a stream license may not include products, advertising, or agency use. Fix: enumerate each revenue-producing medium in the contract.
Third-party materials are overlooked
Why it fails: a preset, sample character, font, or music track can impose its own notice or redistribution restrictions. Fix: maintain an asset list with the applicable terms and required credit.
The model is published before Live2D terms are checked
Why it fails: publication of derivative work may require a separate agreement, and free materials can require a designated notice. Fix: verify the Publication License Agreement and each material or character page before release.
Credit is added informally or omitted after a rebrand
Why it fails: attribution can be a condition of use and may disappear when descriptions or channel panels are rewritten. Fix: store the exact credit line in your channel templates and product metadata, then check it after every rebrand.
What to do when the terms are unclear
Pause publication of the affected asset and ask a targeted written question. For example: “May I use this model in monetized livestreams, sponsored videos, physical merchandise, and a game distributed by my company? May an agency-owned account use it? May I transfer the license if I graduate? What credit wording and placement are required?” Keep the answer with the contract.
If an asset came from VRoid, inspect the terms attached to that specific model, texture, or item rather than relying only on general product guidance. If it came from Live2D materials, check the Free Material License Agreement, the individual original-character terms, and whether your distribution requires the separate publication license. When the project has substantial revenue, multiple rights holders, or an intended resale, have an intellectual-property lawyer review the agreement.
Bottom line
Commercial rights, ownership, and credit are three separate checkpoints. A VTuber model is usually a collection of original work, software output, and supplied assets, each with its own rules. Confirm the permitted media, source-file rights, transfer and resale permissions, exclusivity, third-party exclusions, credit wording, and termination effects in writing. Pay for the model only after you know exactly what you can publish, monetize, modify, and hand to someone else.
