Valley National Bancorp has agreed to acquire Bluevine, a New Jersey-based digital financial-services company serving small businesses, for approximately $340 million. The deal is not closed: the companies are targeting early 2027, subject to regulatory approvals and customary closing conditions. Bluevine says customer accounts and terms remain unchanged before closing.

What Valley agreed to buy—and for how much

Valley National Bancorp and Bluevine announced the definitive agreement on September 28, 2026; Valley’s SEC filing says the agreement was entered into on September 27. The reported total consideration is approximately $340 million, subject to adjustments under the agreement. Valley’s filing specifies approximately $255 million in cash and approximately 6.3 million shares of Valley common stock. The announcement characterizes the mix as approximately 75% cash and 25% Valley stock. Company announcement Valley SEC filing

The transaction remains pending. The companies expect it to close in early 2027, provided they obtain regulatory approvals and meet customary closing conditions. That target is not a completed-deal date.

What Bluevine does and its reported scale

Founded in 2013 and based in Jersey City, New Jersey, Bluevine provides small businesses with digital banking, payments, lending and financial-management services. Bluevine and Valley reported approximately 175,000 active small-business customers as of June 2026, and said Bluevine had served more than 415,000 businesses since its inception. These are company-reported figures. Bluevine and Valley announcement

The companies also reported that Bluevine’s platform-generated deposits grew at an approximately 35% compound annual growth rate from 2023 through the second quarter of 2026. They said about 99% of those deposits came from customers who were not borrowers, and that Bluevine had approximately $2.1 billion in digitally sourced deposits. The announcement also cited approximately 180 research-and-development professionals and engineers. These figures are company disclosures, not independently verified measurements in the cited materials. Bluevine and Valley announcement

Why Valley says the acquisition fits its strategy

Valley says Bluevine will add a nationwide digital channel for acquiring small-business customers and strengthen its funding base. Its plan is to pair Bluevine’s digital platform with Valley’s branch network and wider treasury, credit, insurance, wealth and capital-markets offerings. Valley also pointed to Bluevine’s engineering, product, data-science and AI teams as a way to advance its technology strategy. Company announcement Investor presentation

Valley forecasts that the acquisition, including expected synergies, will be approximately 8% accretive to estimated 2028 earnings per share. It also estimates approximately 5% tangible-book-value dilution at closing and a three-year earn-back period. These are Valley’s forward-looking estimates, not results already achieved; its presentation describes Bluevine’s company disclosures as unaudited and dated June 30, 2026. What the deal means for Bluevine customers now

Bluevine’s customer FAQ says the companies will operate separately until the acquisition closes. Before then, customers’ accounts and account access, account and routing numbers, cards, pricing, rates, terms and repayment schedules remain the same. Bluevine also says eligible deposits retain their existing FDIC coverage and limits, and that APY remains unchanged. These are assurances for the period before closing; they do not establish what accounts or products will look like afterward. Bluevine customer FAQ

Bluevine says customers could eventually gain access to features such as Valley’s more than 220 locations, Zelle and additional credit products. The FAQ says details will be shared as features roll out, so those capabilities should be treated as prospective rather than available through the acquisition today. Bluevine customer FAQ

What remains uncertain

  • The deal must still clear regulatory approvals and other customary closing conditions; until it closes, the companies’ stated customer-continuity assurances apply to the pre-closing period.
  • The cited materials do not settle post-closing account arrangements, product terms or the timing of any new features.
  • Valley’s stated financial benefits are estimates dependent in part on expected synergies, not guaranteed outcomes.
