The deal has not closed: completion is expected in the coming months, subject to regulatory approvals and customary closing conditions. Uber says ezCater’s workplace-catering business would add a corporate and group-ordering channel to Uber Eats and Uber for Business.
What does ezCater do?
ezCater is a U.S. platform for workplace meals and catering. Businesses use it to order from a nationwide restaurant network for meetings, events and recurring enterprise catering. The platform also supports food-spend management and 24/7 customer service. Uber and ezCater say the network includes more than 140,000 restaurants.

That focus differs from everyday individual meal delivery: ezCater is built to handle larger workplace orders and ongoing corporate catering needs. The companies report an average order value above $400, without specifying a measurement period or further calculation details in the announcement.

The announced transaction is valued at $2.3 billion and will be paid entirely in cash, according to the joint announcement from Uber and ezCater. That is the stated deal value, not a per-share price or a disclosed breakdown of how the purchase price will be funded.

The companies also reported that ezCater generated more than $2.5 billion in trailing-twelve-month Gross Bookings, with growth at a high-teens year-over-year rate. Gross Bookings is not the same as revenue. The announcement says ezCater is profitable on a Non-GAAP Operating Income basis and is expected to be margin accretive to Uber; it does not provide a GAAP earnings figure.
Why is Uber buying ezCater?
Uber’s stated plan is to combine ezCater’s business-to-business catering expertise with Uber Eats’ consumer and restaurant reach and Uber for Business’ organizational relationships. The intended result is a stronger channel for companies ordering meals for teams and events, alongside Uber’s existing food-delivery services.

The companies say the combination could make group ordering easier, bring restaurants larger orders and new diners, and create additional earning opportunities for couriers. These are expected benefits, not results already demonstrated: the acquisition is still pending. Uber CEO Dara Khosrowshahi said catering “can be a huge revenue stream for restaurants.” ezCater CEO Nihad Rahman described the platform as “the leading platform for workplace catering” and a major growth channel for restaurant partners.
When will the deal close?
The companies said they expect the acquisition to close in the coming months, subject to regulatory approvals and customary closing conditions. They did not announce a specific closing date or identify regulator-specific review details. Until the transaction closes, ezCater remains a pending acquisition rather than an integrated Uber service.

The deal announcement does not say whether ezCater will keep its separate brand or platform, how its services will be integrated, or whether customers should expect changes to ordering or support. It also does not describe a detailed rollout plan. Those details remain unsettled in the public announcement, so claims about a particular app experience or customer transition would be premature.
