TSMC is discussing Elon Musk’s Texas Terafab—but says any fab must be run by TSMC

TSMC is discussing a possible role in Elon Musk’s proposed Texas “Terafab,” chairman and CEO C.C. Wei confirmed on October 15, 2026. The talks are not a completed partnership: Wei says any fab involving TSMC “has got to be run by TSMC,” while Musk’s previously reported plan gives Tesla and SpaceX responsibility for building and operating it.

What TSMC confirmed on October 15

Speaking during TSMC’s third-quarter earnings conference, Wei said the company remains in discussions about Terafab and has sent teams to Texas to evaluate the site. His condition was explicit: “But the fab has got to be run by TSMC.” That makes operational control the central unresolved issue.

The confirmation followed three key dates:

  • October 3, 2026: Musk confirmed that discussions with TSMC were underway, without disclosing ownership terms.
  • October 7, 2026: Reuters reported that Musk said Tesla and SpaceX would build and run Terafab, with TSMC potentially subleasing part of the complex.
  • October 15, 2026: Wei confirmed continuing talks and the Texas site evaluation, while insisting that a TSMC-participating fab must be operated by TSMC.

Those statements describe negotiations, not a signed TSMC-Terafab operating agreement.

What Terafab is supposed to be

Terafab is a proposed semiconductor complex in Texas associated with Tesla and SpaceX. Its stated purpose is to make artificial-intelligence chips for Musk’s companies. The project is still in planning. Equipment suppliers have been contacted for estimates, but public reporting has not established a final ownership structure, signed equipment order, manufacturing process node or production start date.

Consequently, there is no confirmed answer yet to whether Terafab would manufacture leading-edge chips, less advanced components, or a mixture of products. There is also no public operating agreement defining how output would be allocated between Tesla, SpaceX and any outside customers.

The operating-control dispute

Musk’s reported model

Reuters reported on October 7 that Musk’s position was: “we will build and run the fab.” Under that model, Tesla and SpaceX would control construction and day-to-day operations, while TSMC might lease space inside the larger complex.

TSMC’s condition

Wei’s statement points to the opposite arrangement. If TSMC participates in a fab, TSMC expects to operate it. Running a semiconductor plant involves process integration, contamination control, yield management, equipment qualification, maintenance and the gradual introduction of production volumes—not merely supplying machines or licensing a design.

Nvidia CEO Jensen Huang has described the difficulty in similar terms: “Building advanced chip manufacturing is extremely hard.” He added that the challenge includes “the engineering, the science, and the artistry of doing what TSMC does for a living.” The disagreement is therefore a governance and execution question, not a minor wording difference over a lease.

Why TSMC is evaluating another Texas site

Associated Press reporting says major U.S. customers are asking TSMC for additional capacity. TSMC has sent teams to Texas to assess expansion beyond its large Arizona program.

TSMC’s U.S. build-out already includes a substantial Arizona commitment. The company’s March 2025 plan totaled $165 billion and covered three fabs, two advanced-packaging facilities and an R&D center. TSMC also announced $100 billion in additional U.S. investment in March 2025. AP reported a $265 billion Arizona investment commitment in 2026; the figures reflect the scale of the company’s combined U.S. expansion announcements rather than a confirmed Terafab budget.

TSMC reported third-quarter 2026 net profit of NT$763.1 billion and revenue of NT$1.49 trillion, according to AP. Its 2026 capital-expenditure budget was stated as $60 billion to $64 billion. Those figures show the company is operating at enormous scale, but they do not commit any of that spending to Terafab.

What remains undecided

Decision point What is publicly established
Operating control Disputed. Wei says a participating fab must be run by TSMC; Musk’s reported plan puts Tesla and SpaceX in charge.
Ownership and financing No final structure or Terafab financing terms have been disclosed.
Process technology No final process node has been announced.
Equipment partners Suppliers have been contacted for estimates, but no signed equipment order is established in public reporting.
Customers for the output The project is intended to support Tesla and SpaceX AI-chip needs; a broader customer list has not been announced.
Construction and production dates No construction completion or chip-production date has been published.

When could Terafab make chips?

Even if the control question, financing and supplier contracts are resolved, a working fab would be a multi-year project. Wei said it takes two to three years to build a new plant and another one to two years to ramp it up, with “no shortcut.” The ramp includes installing and qualifying equipment, tuning processes, improving yields and reaching reliable production volumes.

That timeline is a general description of fab development, not a Terafab schedule. Because no final design, process node or start date has been disclosed, any specific Terafab delivery prediction would be speculation.

What to watch next

  • A signed operating agreement clarifying whether TSMC or Tesla and SpaceX control production.
  • Disclosure of ownership, financing and the division of responsibilities across the Texas complex.
  • A named process node and confirmed equipment orders.
  • Permitting, construction milestones and a stated production target.
  • Whether TSMC’s Texas evaluation becomes a separate expansion project or part of Musk’s proposed complex.

For now, the accurate description is limited: TSMC and Musk are talking, TSMC is evaluating Texas, and the two sides have stated incompatible positions on who would run the fab. Terafab has not yet reached the stage of a confirmed partnership or production program.
