Triton Partners has agreed to sell OCU Group to funds managed by London-based private equity firm TDR Capital. Announced on 5 October 2026 by Triton and on 6 October by TDR, the transaction remains subject to customary regulatory approvals and other closing conditions; neither announcement says the sale has completed. The sale price was not disclosed.

Who is buying OCU, and who owns it now?

TDR Capital is the buyer, acting through funds it manages, including TDR Capital V and related entities. Triton Partners, through funds it advises, is the seller. Triton acquired OCU in 2022. Until the agreed transaction completes, OCU remains under Triton’s ownership.

The agreement does not itself transfer ownership: completion depends on the stated approvals and other closing conditions. Neither party has announced a completion date or named the specific regulatory authorities involved.

What does OCU Group do?

OCU is an infrastructure services business working across the lifecycle of critical assets, from design and engineering to construction, commissioning and maintenance. Its stated markets include:

  • Power transmission and distribution
  • Renewable generation and energy storage
  • Water and environmental services

The company operates across the UK, Australia and New Zealand, and has engineering capabilities in India.

How much is OCU being sold for?

The sale price and other transaction terms were not disclosed in Triton’s announcement. OCU’s reported financial results provide operating context, but they do not establish the transaction’s valuation.

OCU’s latest reported financial figures

For FY26, the financial year ended 30 April 2026, OCU reported the following figures. These are company-reported operating results, not the sale price:

Why does TDR say it wants to buy OCU?

TDR says it sees an opportunity to accelerate OCU’s development into a global critical-infrastructure business, drawing on its experience internationalising and scaling infrastructure businesses. That is the buyer’s stated rationale, not a guaranteed outcome.

Triton said OCU revenue had grown to £1.2 billion during its ownership and cited 18 acquisitions and expansion into Australia and New Zealand. That account describes Triton’s ownership period; it does not provide a sale valuation.

What happens next?

The transaction must satisfy customary regulatory approvals and other closing conditions. The public announcements do not identify the specific approvals, give a timetable, or confirm that the sale has closed. Until the parties announce completion, the accurate description is that Triton has agreed to sell OCU to TDR Capital.
