They are not interchangeable investments. A Treasury is debt issued by the U.S. government; a money market fund (MMF) is a fund that owns a portfolio and issues shares. “Tokenized Treasury” can mean different legal arrangements, from a tokenized security to a token issued by a third party and linked to Treasury holdings. A token’s blockchain format alone does not establish what you own, who must pay you, or how quickly you can get dollars.
What do you actually own?
Start with the legal claim, not the label or the technology. In a direct Treasury security, the investor holds a debt obligation of the U.S. government. In an MMF, the investor holds shares in an investment company whose portfolio consists of short-term instruments. A fund share is not ownership of one particular Treasury unless the fund’s documents establish that relationship.

“Tokenized Treasury” is not one uniform legal structure. It may refer to a security represented on a crypto network by or for its issuer, a third-party token linked to securities held in custody, or a fund share or other claim backed by a portfolio that includes Treasuries. Depending on the arrangement, a token holder might be the registered owner, hold a security entitlement, have a claim against an intermediary, or own a different instrument from the Treasury itself.

The statement describes staff views; it is not a Commission rule, regulation, or guidance. SEC Commissioner Hester M. Peirce made the underlying point in her July 9, 2025 statement: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.”

How does each structure work?
| Question | Money market fund | Tokenized Treasury arrangement |
|---|---|---|
| What is the investment? | Shares in a fund holding a portfolio of short-term instruments. | Varies: potentially a tokenized security, a token linked to securities in custody, a fund share, or another claim. The offering documents determine which. |
| Who owes the investor a legal obligation? | The fund owes the rights attached to its shares, subject to its governing documents and applicable rules. | Could involve the security’s issuer, a token issuer, a custodian, a fund, or another intermediary. Identify the actual obligor and the holder’s rights in the documents. |
| What establishes ownership? | The fund’s share and ownership records under its structure. | The controlling ownership record depends on the structure; a blockchain entry alone does not settle whether the holder is the registered owner or has another kind of claim. |
| How might an investor get cash? | By redeeming fund shares under the fund’s procedures. | Potentially through redemption, conversion via a platform, or a sale to another investor. Which routes exist and their timing are product-specific. |
| What supports liquidity? | The fund’s portfolio and its ability to process share redemptions. | Potentially the underlying assets, an issuer or platform redemption mechanism, or secondary-market buyers. None should be assumed without product terms and evidence of available access. |
What risks can lead to a loss or interrupted access?
Investment and stable-price risk
An MMF’s share value reflects a managed portfolio, expenses, and fund operating rules. The SEC describes MMFs as investing in high-quality, short-term debt and seeking a stable net asset value (NAV), typically $1 per share. That is an objective, not a guarantee of principal. A fund can lose value if it cannot maintain its stable NAV; an MMF is not a bank money market deposit account and is not FDIC-insured.
The SEC’s 2010 adopting release recounts a historical example: in 2008, the Reserve Primary Fund repriced at $0.97 per share after losses on Lehman Brothers debt. That is a dated event, not a measure of the current risk of MMFs generally.

Issuer, custody, and legal-claim risk
For a third-party token, the investor’s position may depend on more than the underlying Treasury’s credit. The token issuer may have obligations to the holder; a custodian may hold the securities; and a platform or recordkeeper may affect how the holder proves or exercises rights. If one of those parties fails, the investor’s recovery depends on the legal structure, custody arrangements, and applicable documents. Commissioner Peirce has cautioned that a third-party token may be a receipt for a security or a different instrument, exposing purchasers to counterparty risk.

A token transfer may depend on network availability, wallet control, platform access, and custody arrangements. Technical ability to transfer a token does not establish that its issuer will redeem it, that it can be converted to dollars, or that cash access is available outside business hours. Commissioner Mark T. Uyeda said in Feb. 9, 2026 remarks: “Tokenized versions of securities remain subject to securities regulation; the shift does not change the legal and regulatory obligations.” Those remarks are not a product guarantee or a binding Commission rule.

What does “liquidity” mean in this comparison?
Liquidity is not a single feature. Separate the ease of selling an underlying asset from the ability to redeem an investment and from the availability of buyers for a token.
- Underlying-asset liquidity: How readily could a Treasury or the fund’s portfolio assets be sold?
- Redemption liquidity: Can an investor redeem shares or tokens with a fund or issuer, through what process, and on what schedule?
- Secondary-market liquidity: Is there an actual market with buyers, executable bids, and enough depth to sell the token when needed?
A token may be transferable on-chain without a firm bid or a cash-redemption route. Conversely, the liquidity of assets held by a fund does not by itself specify an individual investor’s redemption timing. The SEC-hosted technical submission dated Nov. 27, 2025 discusses preserving same-day or next-day fund-share liquidity in a particular proposed collateral context, subject to SEC approval. It is a technical submission, not an adopted rule and not evidence that tokenized fund shares generally offer those timelines.

How to evaluate a specific offering
There is no sound product-level winner based on the labels alone. Before comparing a token with an MMF, find the offering documents and answer these questions for each option:
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →- What is the legal instrument? Identify whether you would hold a Treasury security, fund share, security entitlement, custodial receipt, or another contractual or securities claim.
- Who is responsible, and what record controls? Name the issuer, fund, custodian, platform, and recordkeeper as applicable. Determine which record establishes ownership and what claim you would have if a service provider failed.
- How do you get cash? Confirm whether redemption is available directly or requires a platform, or whether you must sell to another investor. Check cutoffs, business-day limits, minimums, settlement timing, and any conditions that could delay or suspend access.
- Where does liquidity come from? Distinguish a redemption promise from a secondary-market sale. Look for the source of bids or redemption funds and do not treat token transferability as proof of either.
- Who controls custody? Check whether you or a provider controls the keys, how the securities or other assets are held, whether assets are segregated, and what process applies if a custodian or platform fails. Custody arrangements are not universal across token offerings.
- What are the net return and costs? Compare dated, like-for-like yields after fees. Establish tax treatment for your situation rather than assuming that similarly named exposures receive identical treatment.
- Can you access it? Confirm investor eligibility and jurisdiction. Availability and protections may differ by investor type and location.
For an MMF, the prospectus and current redemption procedures are central to answering these questions. For a token offering, examine its governing terms alongside custody and platform terms; marketing descriptions cannot substitute for the actual legal claim and redemption route.

What this comparison can—and cannot—settle
Structurally, an MMF offers fund shares in a managed short-term portfolio, while a tokenized Treasury arrangement may represent or relate to several different legal claims. That distinction helps identify which risks to investigate, but it does not establish which choice has the higher yield, lower fees, better tax treatment, broader availability, or faster redemption. Those answers require named products, current documents, and the investor’s jurisdiction; no universal head-to-head liquidity result follows from tokenization alone.
