Tokenized Trading: How Companies and Customers Could Benefit—and What Could Go Wrong

Tokenized trading represents an asset and its ownership record as a digital token that can be transferred on a blockchain or another crypto network. It may make some transactions and post-trade processes faster or more integrated, but it does not automatically change what an investor legally owns, create a liquid market, or remove intermediaries. The outcome depends on who issued the token, the rights it carries, how it is held, and how payment and settlement work.

What does tokenized trading mean for companies and customers?

In January 2026, staff in three U.S. Securities and Exchange Commission divisions described a tokenized security as a financial instrument that meets the federal securities-law definition of a security, is represented as a crypto asset, and has its ownership record maintained at least partly on or through crypto networks. The key change is the format and location of the ownership record—not necessarily the legal nature of the investment.

For companies, tokenization could change how securities are issued, transfers are recorded, and shareholder-related processes are handled. For customers, it could change how they access or hold an investment. But a token referencing a company’s stock is not necessarily a share in that company: it might instead represent an interest held through an intermediary or provide only price exposure. The issuer, intermediary chain, governing terms, and actual rights determine the substance.

Which kind of tokenized investment is being offered?

Investor.gov describes three useful models. The label used by a trading platform is not enough to establish which model applies; customers need to read the legal documents and identify the issuer and any intermediaries.

#1 Best Overall

Model What the token represents What the holder may have
Issuer-sponsored The company, or its agent, issues the security directly on a blockchain. The same legal rights as a traditional share of the same class, though the tokenized security could be a different class. Confirm the class and its rights in the offering documents.
Custodial A token represents an indirect interest in an underlying security held through a securities intermediary. A security entitlement through the intermediary, rather than direct ownership of the underlying security. The intermediary and custody arrangements matter.
Synthetic A third party issues a linked security or derivative tied to a referenced security. Potentially price exposure without a claim against, or shareholder rights in, the referenced company. The token’s ability to track a reference price does not itself establish ownership.

Rights can differ even between tokens that refer to the same company. Check whether the holder has voting rights, dividend rights, access to company information, and a legal claim against the issuer or an intermediary. Also check what happens if the issuer, custodian, platform, or relevant network fails. SEC staff’s 2026 statement discusses how federal securities laws apply to tokenized securities, including how synthetic or swap-like structures may have different legal consequences; it does not mean every token has identical treatment or rights in every jurisdiction.

What could companies and customers gain?

Faster or more integrated settlement

U.S. equity markets operate on a T+1 settlement cycle: settlement generally occurs one business day after a trade. A tokenized transaction could move the asset and payment together in one atomic transaction, so both legs occur as a single coordinated event. That is a potential design advantage, not a guarantee that every tokenized trade will settle instantly or without intermediaries.

The IMF says programmable tokens on shared ledgers could combine trading, settlement, custody, and portfolio management in more integrated workflows. Where suitable infrastructure exists, embedded compliance and synchronized transfers of cash and assets may improve operational efficiency. Tokenized securities may also be mobilized as collateral in near real time.

More direct issuer engagement and operational changes

The SEC Investor Advisory Committee has identified potential benefits if public companies can obtain more direct, transparent, real-time information about shareholders. Tokenized systems might also reduce intermediaries in some corporate actions, such as dividend distribution or proxy voting. These possibilities depend on the system’s design and still need to account for shareholder privacy, custody, and the real-world roles of trading and other intermediaries.

Post-trade and collateral opportunities

In the United Kingdom, the Financial Conduct Authority’s 2026 feedback statement says respondents most often identified post-trade functions—particularly collateral movement—as the main opportunity in wholesale markets. Faster movement could help firms manage collateral more efficiently, especially when assets can be transferred and recorded through compatible systems. The same speed can also magnify stress, as discussed below.

What do the available figures actually show?

The figures below describe forecasts, modeled estimates, or regulatory activity—not proof that tokenization has already delivered the projected market size or savings at scale.

USD 0.6 trillion in 2025, forecast to reach USD 18.9 trillion by 2033 Tokenized assets, including stablecoins. Ripple and Boston Consulting Group’s 2025 forecast, as reported by ESMA in 2026; this is not observed market size or a forecast limited to tokenized securities.
13% fewer settlement fails and USD 340 million in annual savings for Tier 1 firms Estimated effects associated with collateral tokenization. ISSA’s 2025 estimates, relayed by ESMA in 2026. They are attributed estimates, not independently verified realized savings.
123 responses Responses to the FCA’s call for input on wholesale tokenization. Count reported by the FCA in 2026; it is not a measure of adoption or market size.
Six authorised DLT market infrastructures Infrastructures authorised under the EU DLT Pilot Regime. ESMA’s 2026 count since the regime launched in March 2023; it does not mean all tokenized assets or trading venues are covered by the regime.

ESMA characterizes adoption as limited, with activity largely in narrow applications and relatively small volumes. It cautions that some anticipated benefits are not unique to tokenization or remain unproven at scale. In particular, atomic settlement can reduce the role of netting and therefore increase liquidity needs: participants may have to provide cash or assets sooner rather than offsetting obligations across transactions.

What are the potential risks and implementation constraints?

Ownership, custody, and recourse may be complicated

A customer can face several entities between themselves and the asset: the token issuer, a custodian, a platform, and network or service providers. If a token is custodial or synthetic, the customer’s rights may be against an intermediary or token issuer rather than the company named as the reference asset. Legal finality—the point at which a transfer is legally settled—and the process for resolving disputes should be clear before a firm relies on a tokenized structure.

Cash may not move on the same system as the asset

ESMA says many tokenized assets use private ledgers controlled by one entity or a small group, which can recreate silos rather than produce an open, interoperable market. Without widely accepted on-chain cash arrangements—such as appropriate stablecoins, central-bank digital currency, or tokenized deposits—the asset may move on a ledger while payment remains on traditional rails. Systems therefore need compatible cash arrangements and clear settlement rules, not just a tokenized asset.

Automation can transmit stress as well as efficiency

The IMF notes that near-real-time collateral transfers may ease constraints in ordinary conditions but can accelerate collateral withdrawals and margin calls under stress. Automated redemption or margin mechanisms can amplify outflows. Smart contracts, data feeds, consensus mechanisms, and shared-infrastructure governance add operational failure points; faster automated markets may also leave less time for people to intervene. Permissioned ledgers can make participants easier to identify and hold accountable, but concentration in shared infrastructure can create dependencies.

Interoperability and liquidity are not guaranteed

A token on one ledger may not transfer easily to a different ledger, custodian, trading venue, or payment system. If market participants cannot move assets and cash between systems, tokenization can create new silos. Fractional ownership and continuous trading are possible design features, but they do not guarantee buyers, sellers, reliable prices, or better outcomes for retail customers.

How do the regulatory developments differ by jurisdiction?

Jurisdiction and date What the cited development covers What it does not establish
United States, 2026 SEC staff’s January 2026 statement discusses federal securities-law treatment and distinguishes issuer-sponsored from third-party tokenization. Investor.gov says tokenized securities are securities subject to SEC regulation and investor protections, while emphasizing that structures and rights differ. It does not establish that every token has the same ownership rights, protections, or legal consequences. The SEC Investor Advisory Committee’s document is a recommendation, not a binding rule.
United States, banking capital, March 5, 2026 Federal banking-agency FAQs say eligible tokenized securities generally receive the same capital treatment as their non-tokenized form, whether on a permissioned or permissionless blockchain. The guidance excludes securities that do not confer legal rights identical to the non-tokenized form. It concerns bank capital treatment—not retail investment protections or other jurisdictions—and does not displace sound risk management or other applicable rules.
United Kingdom, 2026 The FCA’s feedback statement summarizes a May 2026 joint call for input with the Bank of England and identifies post-trade collateral movement as a leading opportunity. The FCA describes the Digital Securities Sandbox as a live, regulated environment to test issuance, trading, and settlement. The sandbox is a UK initiative, not blanket permission for unrestricted activity worldwide. The FCA said a joint roadmap with the Bank of England was planned for later in 2026.
European Union, 2026 ESMA describes the DLT Pilot Regime as a framework for market infrastructures using distributed ledger technology and reports six authorised infrastructures since its March 2023 launch. The reported count does not establish broad market adoption or that all tokenized trading falls within the regime.

For U.S. banks, the Federal Reserve’s 2026 FAQ says the capital rule is technology neutral: eligible securities do not receive different capital treatment simply because a blockchain is permissioned or permissionless. That is a banking-capital point, not a general statement about investor rights.

What should a company or customer check before using a tokenized security?

Compare the actual arrangement with the traditional alternative. These questions help reveal where rights, settlement, and operational risks sit:

  • Issuer and structure: Who legally issues the token, and is it issuer-sponsored, custodial, or synthetic?
  • Rights and recourse: What voting, dividend, information, and other rights apply? Against which entity can the holder enforce them?
  • Custody and governance: Who controls the keys and ledger, who can change the rules, and what recovery or dispute process exists?
  • Cash and settlement: Does payment move on the same system as the asset? When is settlement legally final, and what liquidity must participants provide?
  • Transferability and liquidity: Which venues and counterparties accept the token, and can it move across ledgers or be redeemed? A technical ability to transfer does not ensure an active market.
  • Protections and jurisdiction: Which country’s rules apply to the issuer, platform, custody arrangement, and customer? Do not assume a regulatory sandbox or bank-capital rule provides a retail customer with a particular protection.
  • Operational resilience: What happens if a smart contract, data feed, network, custodian, or shared service fails, or if activity accelerates during market stress?
