A token is not proof that you own a company’s stock. A tokenized stock can be an issuer-recorded share, a custodial entitlement, or a separate instrument that only tracks a share’s price. The legal rights come from the instrument’s terms and the records that establish ownership—not from the use of a blockchain.
Traditional brokerage shares are usually held through a broker and securities-market infrastructure. Tokenized products may use different issuers, custodians, ledgers and trading venues. Compare the legal interest, shareholder records, voting and dividend rights, custody chain, venue rules and failure procedures before treating a tokenized product as equivalent to a normal brokerage holding.

What “tokenized stock” actually means
The U.S. Securities and Exchange Commission’s January 28, 2026 staff statement describes a tokenized security as a security represented by a crypto asset whose ownership record is maintained, in whole or in part, on or through crypto networks. That definition describes the recordkeeping format. It does not tell you which legal rights the holder receives.

Issuer-sponsored tokenization
In an issuer-sponsored structure, the company or its transfer agent integrates distributed-ledger technology into the master securityholder file. A transfer of the token changes the issuer’s ownership record, just as an entry in a conventional registrar’s database would.
The practical difference may be where the master record is maintained: on-chain rather than in an off-chain database. If the token represents the same class of share and the issuer’s records recognize the holder, the holder may have the ordinary rights attached to that class, subject to the governing documents and applicable law.
Do not assume that result. An issuer can create a different class of security in token form. A token bearing the same company reference may therefore have different voting, dividend, transfer or redemption terms from the company’s ordinary brokerage-traded shares.
Third-party custodial tokens
A third party may buy and hold the underlying shares with a custodian, then issue tokens representing an entitlement against that custodian or issuer. In this arrangement, the token holder may not appear on the company’s shareholder register. The holder’s rights depend on the contract, custody chain and insolvency treatment of the parties involved.
Questions to answer include whether the custodian holds one share for each token, whether assets are segregated, how corporate actions are passed through, and whether the holder can demand delivery or redemption. A failure by the token issuer, custodian or intermediary can affect access even if the underlying shares still exist.
Separate linked or synthetic instruments
Some products provide exposure to a stock without conveying ownership of that stock. The token may be a separate security whose value references the underlying share, or another instrument with contractual payment terms. SEC Commissioner Hester M. Peirce warned that a token can be distinct from the security held by its distributor and that a token lacking legal and beneficial ownership of the underlying security could be a security-based swap.
Her July 9, 2025 statement put the point plainly: “While blockchain-based tokenization is new, the process of issuing an instrument representing a security is not.” The legal analysis therefore starts with the instrument and its rights, not with the technology used to record it.

| Structure | What the token may represent | Where ownership or entitlement is recorded | Main question for an investor |
|---|---|---|---|
| Issuer-sponsored | The issuer’s share or a tokenized class issued by the company | The issuer’s or transfer agent’s master securityholder file, using distributed-ledger technology in whole or in part | Does this token represent the same class and rights as the ordinary share? |
| Third-party custodial | A claim or security entitlement against an intermediary holding shares | The custodian’s books, intermediary records and the token ledger | What happens if the issuer, custodian or intermediary fails? |
| Linked or synthetic | A separate instrument tied to the share’s price or performance | The issuer’s contractual records and token ledger; not necessarily the company’s register | Do I receive any ownership, voting or dividend rights at all? |
Do you own the stock, or only a claim?
Ownership is a legal conclusion supported by records. A wallet balance by itself does not establish that conclusion. For each product, identify the following chain:
- Legal instrument: Determine whether the document calls the asset a share, a security entitlement, a note, a swap or another instrument.
- Issuer: Identify which legal entity issued the token and whether it is the company whose stock the token references.
- Register: Find out whether transfers update the company’s master securityholder file, a custodian’s books, or only the token platform’s internal ledger.
- Custody: If someone holds underlying shares, identify that custodian, the account structure and the segregation or rehypothecation terms.
- Counterparty: List the parties whose performance is required for redemption, dividends, voting instructions or continued trading.
If the terms do not answer these questions in precise language, you cannot safely treat the token as equivalent to a directly held share.
Voting, dividends and corporate actions
Traditional brokerage ownership is also indirect in many cases: the broker or its nominee is shown on the issuer’s register, while the customer has a beneficial interest recorded through the brokerage chain. The broker’s agreement and market rules determine how voting materials, dividends, splits, tender offers and other corporate actions reach the customer.
A tokenized product may reproduce those rights, pass them through contractually, or omit them. Check each right separately rather than relying on labels such as “equity-backed” or “fully collateralized.”
| Right or event | Questions for a tokenized product | Why the answer can differ from a brokerage share |
|---|---|---|
| Voting | Is the token holder a registered or beneficial shareholder? How are proxies collected and counted? | A custodian or issuer may retain the vote, pass through instructions, or provide no vote for a linked instrument. |
| Dividends | Are cash dividends paid, converted, withheld or replaced by a contractual adjustment? In what currency and on what timetable? | A synthetic product may owe a payment without receiving the issuer’s dividend; a custodian may deduct fees or taxes. |
| Stock splits and mergers | Who changes token balances and under what notice period? | The platform must update its ledger and contracts, and a separate instrument may use a formula instead of issuing new shares. |
| Rights offerings and tenders | Can the holder participate, and how must instructions be submitted? | Short deadlines, investor-eligibility rules or missing connectivity to the issuer can prevent participation. |
| Transfer and redemption | Can tokens be transferred to an external wallet or redeemed for shares or cash? | Permissioned networks, whitelists, lockups and contractual gates can restrict transfers. |
How trading differs
Traditional brokerage trading
With a conventional brokerage account, an order normally travels through the broker to an applicable securities-market venue. Clearing, settlement, recordkeeping and custody are governed by established market infrastructure and the broker’s obligations. The exact route depends on the security, broker and jurisdiction, but the customer generally sees a brokerage position rather than a self-custodied token.
Tokenized trading
Tokenized trading can occur on a distinct venue and network. A platform may operate an order book, an automated market maker, a liquidity pool or another mechanism. It may impose wallet whitelisting, identity checks, transfer windows, investor-eligibility limits or network fees. A blockchain’s ability to process transactions does not make the market universally open, continuous or faster to settle.

On September 17, 2026, the SEC announced temporary, conditional exemptive relief for certain “Tokenized Securities Venues” to trade tokenized NMS stock through permissioned automated market makers and liquidity pools. The relief is limited, not a blanket approval of tokenized stocks or exchanges.
The announced conditions include:
- Limits on the symbols and trading volume covered by the exemption.
- Verification that holders of the tokenized stock receive equivalent rights and privileges.
- Notice to an issuer, and an opportunity to object, when an unaffiliated third party tokenizes its stock.
- Publicly auditable smart contracts on a public permissionless ledger.
- Trading stoppages that match those of the primary listing exchange.
- Public operating and trading disclosures.
The exemptions expire five years after publication. Their existence does not establish that a particular product qualifies, that every venue can use the structure, or that investors receive identical protections to those in a brokerage account.

Custody, keys and operational control
In a brokerage account, the broker controls the account infrastructure and handles access restoration under its procedures. In a tokenized arrangement, control may involve a private key, a custodial wallet, a smart contract and one or more permissioned addresses.
SEC Trading and Markets staff’s December 17, 2025 custody statement discusses broker-dealers carrying crypto asset securities, including tokenized equity and debt. It addresses the ability to access and transfer assets, assessment of ledger and network characteristics, private-key controls and contingency planning for network disruption or firm failure. The document states that it represents staff views, has no legal force or effect and creates no additional obligations. It is guidance, not a binding rule or guarantee that customers will recover assets.
Operational questions to ask
- Who controls the private keys, and can the customer transfer the token without the platform’s approval?
- What happens if a key is lost, stolen, frozen or used by an unauthorized employee?
- Can the platform pause transfers while the issuer, custodian or network investigates an event?
- Is there a documented process to replace a token after a ledger error or migrate it to another network?
- How are records reconciled among the blockchain, the platform’s books, the custodian and the issuer?
- What happens to customer assets if the platform becomes insolvent or stops operating?
Investor protection: regulation is not the same as a guarantee
The SEC’s January 2026 staff statement says securities laws apply whether a security is recorded on-chain or off-chain. That principle does not mean every tokenized holder receives the same practical protection as a customer holding a conventional brokerage position. The legal asset, offering registration or exemption, intermediary, custody chain, trading venue, investor eligibility and jurisdiction all matter.
Do not equate securities regulation with deposit insurance or guaranteed reimbursement. The available materials do not establish a universal answer on SIPC protection or any other compensation scheme for tokenized products. Eligibility depends on the legal asset, account, intermediary, custody arrangement and applicable law. Confirm the position with the relevant regulator, compensation scheme, broker disclosures and offering documents.

| Protection area | Traditional brokerage share | Tokenized product | What must be verified |
|---|---|---|---|
| Legal ownership | Usually a beneficial interest recorded through the broker and securities custody chain | May be issuer ownership, a custodial entitlement or a separate linked instrument | The offering terms and the records that establish the holder’s rights |
| Disclosure | Issuer filings plus broker and venue disclosures, subject to the security’s regime | Issuer disclosures plus token, smart-contract, platform and custody disclosures | Whether the token’s terms match the referenced share and identify all material risks |
| Custody failure | Broker, clearing and custody rules govern the response | Key management, ledger, custodian and platform failure procedures may all apply | Segregation, recovery, insolvency and transfer provisions |
| Trading interruption | Exchange and market-wide circuit-breaker procedures | Venue, smart-contract, network and issuer controls may add separate stoppages | Who can halt trading and whether halts align with the primary market |
| Compensation scheme | May be available depending on the account and jurisdiction | Not established universally; depends on the asset and intermediary | Written confirmation from the relevant scheme and provider |
A due-diligence process before buying
- Obtain the primary documents. Download the offering memorandum, token terms, platform customer agreement, privacy and custody policies, and any smart-contract documentation.
- Identify the legal issuer. Check the entity name, jurisdiction, registration or exemption claimed, and whether it is the company whose stock is referenced.
- Trace the ownership record. Ask whether a transfer changes the issuer’s master file, a custodian’s entitlement records or only the platform ledger.
- Match the class of security. Compare voting, dividend, transfer, redemption, liquidation and corporate-action provisions with the ordinary listed share.
- Map the custody chain. Record every custodian, nominee, broker and sub-custodian, along with segregation, lending and rehypothecation terms.
- Check transfer controls. Confirm whether external-wallet transfers are allowed, which addresses are whitelisted, and whether geographic or investor-status restrictions apply.
- Review market access. Identify the venue, liquidity model, trading hours, fees, price-discovery method and rules for halts or delisting.
- Test failure provisions on paper. Find the procedures for key loss, smart-contract bugs, ledger outages, custodian insolvency, platform closure and issuer action.
- Verify regulatory status. Determine which regulator oversees the issuer, intermediary and venue, and whether any exemption is temporary, conditional or limited to specific symbols and volumes.
- Confirm compensation limits. Ask in writing whether any investor-compensation, insurance or recovery scheme applies to this exact legal asset and account.
United States and European Union context
United States
Under the SEC’s January 28, 2026 statement, putting a security on a blockchain does not remove it from securities-law analysis. Registration, exemptions, disclosures, intermediary duties and trading rules continue to depend on the product’s structure.
The September 2026 Innovation Exemption is narrower than a general authorization. It applies to qualifying venues and specified tokenized NMS-stock activity under stated conditions, with a five-year sunset after publication. Regulatory status can change through later SEC orders or rulemaking, so a platform’s current documents matter more than a marketing label.
European Union
The European Securities and Markets Authority describes Regulation (EU) 2022/858, the DLT Pilot Regime, as a limited framework for distributed-ledger market infrastructures. It was published in the Official Journal on June 2, 2022 and began applying on March 23, 2023.
The pilot is intended to let market participants and regulators develop experience with trading and settlement in tokenized securities while considering financial stability, investor protection and market integrity. It is not a universal rule that every tokenized share in the EU has the same rights, custody protections or access conditions.
Because the U.S. and EU frameworks are different, a product authorized or piloted in one jurisdiction should not be assumed to be available, protected or legally equivalent in the other.
Common failure scenarios
The token price tracks the share, but no vote arrives
This can occur when the token is a synthetic or custodial claim rather than a registered or beneficial share. Check the voting clause and the register before buying; price correlation does not create voting rights.
Best Value
A dividend is announced, but the token balance does not change
The product may pass through only net cash, use a contractual adjustment, or exclude dividends. Review the corporate-action timetable, withholding provisions and fee schedule.
The market is open on the blockchain, but the token cannot move
Permissioned addresses, compliance holds, venue rules, issuer instructions or a network pause can block transfers. A permissionless ledger does not guarantee permissionless ownership or trading.

Your recovery depends on the custody and insolvency terms. Determine whether you have a proprietary claim to segregated shares, a general unsecured claim, or only a contractual payment obligation.
The token is delisted or the issuer changes networks
Find out whether holders can redeem, migrate, transfer to another venue or receive cash. A smart contract may continue to exist even when practical liquidity and support disappear.
Which format fits which investor?
A traditional brokerage share is generally easier to evaluate when your priority is established custody, familiar corporate-action processing and access through a regulated securities-market infrastructure. It still carries market, issuer and broker risks, and its protections vary by account and jurisdiction.
A tokenized product may be appropriate only when its specific rights are clear and you understand the additional ledger, key, platform and counterparty dependencies. Potential advantages such as programmable transfers or new settlement arrangements do not compensate for uncertainty about what the token legally represents.

Use this decision rule: choose the tokenized format only after you can state, in one sentence, whether you own the issuer’s share, hold a security entitlement against a named custodian, or own a separate linked instrument—and after you can identify who must perform if the platform, custodian, network or issuer fails.
