A token may be an issuer-sponsored security, a custodial interest linked to shares held by someone else, or a synthetic instrument that only tracks a stock’s price. Bitcoin and Ether are crypto assets, while a crypto exchange-traded product (ETP) share is a separate security that provides exposure to crypto. The legal documents—not the word “stock,” “Bitcoin,” or “Ether”—determine your rights, custody arrangements, fees, valuation and risks.
This U.S.-focused guide reflects SEC materials and statements available October 13, 2026. Product terms, listings, fees and regulatory positions can change, so check the current prospectus, token terms and custody disclosures before committing money.
What the investor actually owns
The practical comparison is between three legal instruments: a tokenized representation of a stock, direct ownership of Bitcoin or Ether, and a share in a crypto ETP. They can all trade through crypto-enabled platforms or market infrastructure, but they do not give the holder the same claim.

Tokenized stock is a category, not a legal answer
The SEC staff statement dated January 28, 2026 distinguishes issuer-sponsored tokenized securities from third-party structures. An issuer-sponsored token is created or recognized by the company whose security it represents. A custodial token can evidence a direct or indirect interest in shares held by a custodian. A synthetic token can reference a stock’s value without conveying equity in the company.
A synthetic holder may receive price exposure but no voting rights, shareholder information, dividend claim, inspection right or other corporate right. Even a custodial structure may limit how a holder can exercise rights, transfer the interest or make a claim if the platform or custodian fails. The offering’s contracts control those details.
Direct Bitcoin or Ether
With direct Bitcoin or Ether, the asset is recorded on its blockchain network. You can hold the private keys yourself or delegate custody to an exchange, broker or specialist custodian. Self-custody makes backup, recovery and transaction security your responsibility. Delegated custody adds dependence on the provider’s controls, solvency, access procedures and policies.

The SEC’s May 15, 2026 educational resource defines a digital security as a financial instrument that meets the definition of a security and is represented as or formatted by a crypto asset, with its ownership record maintained on crypto networks. In that resource’s described guidance, Bitcoin and Ether are examples of digital commodities. That description applies to the assets in the scope of the resource; it does not classify every token, fund or product connected with them.

An ETP share is a security issued by a trust or another investment vehicle. The vehicle holds, references or obtains exposure to crypto under its governing documents, while the shareholder owns the ETP share—not coins in a personal wallet. Your rights are those attached to that security, including the ability to sell the share on its trading venue during available market hours.
The ETP has an issuer, sponsor, custodian, valuation process, expenses and disclosure obligations. Its return can differ from the spot asset because of fees, trading spreads, cash holdings, creation and redemption mechanics, market timing and tracking effects.
Side-by-side comparison
| Comparison | Tokenized stock | Direct Bitcoin or Ether | Crypto ETP share |
|---|---|---|---|
| What you hold | An issuer security, custodial interest or synthetic/linked instrument, depending on the terms | A crypto asset recorded on its network, held directly or through a custodian | A security issued by an ETP trust or other vehicle that provides crypto exposure |
| Rights | Depend on the structure; issuer voting, information and ownership rights may be absent | Use and other rights depend on the asset and network; the cited SEC resource does not assess protocol-level rights | Rights belong to the ETP security and its governing documents, not to a personal wallet holding |
| Custody questions | Identify the issuer, share custodian, legal claim and counterparty dependencies | Assess private-key generation, backups, recovery and any custodial provider | Identify the named custodian, key-storage and access policies, and insurance scope |
| Costs | Review trading, platform, custody and wrapper charges in the token terms | Review trading, network, wallet and custody charges for the chosen route | Review sponsor and other expenses; asset-per-share amounts can decline as assets are sold to pay fees |
| Valuation and liquidity | Check the price linkage, trading venue, market hours, spreads, redemption route and counterparty liquidity | Consider crypto-market and venue conditions, including potentially substantial volatility | Review the benchmark or index, NAV method, underlying-market hours, liquidity and tracking behavior |
| Regulatory and product risk | Classification and protections depend on the specific structure and offering | The SEC resource cited above uses digital-commodity examples for Bitcoin and Ether; that label should not be extended to every related product | A listed security with its own issuer disclosures, custody, valuation, operational and legal risks |
Rights: why “stock” can mislead
Voting and corporate actions
Ordinary shareholders generally receive rights specified in a company’s charter and applicable securities law. A tokenized product may instead give the platform or custodian the right to receive and pass through—or retain—dividends, votes, splits and merger consideration. A synthetic token can omit those rights entirely because no share is held for you.
Look for a clear statement of whether you are the registered owner, a beneficial owner with a contractual claim, or only a counterparty to a price-linked obligation. Also check who votes, how instructions are collected, whether fractional interests can vote, and what happens during a tender offer, stock split or delisting.
Information and enforcement claims
Some token terms promise economic adjustments without granting the information, inspection or litigation rights that accompany a conventional share. Read the governing agreement for issuer notices, financial reports, dispute resolution, governing law and the procedure for making a claim if the token, platform or custodian becomes unavailable.

Custody and private-key exposure
Direct crypto custody
Self-custody means the private key—or the recovery material that recreates it—controls access. Loss, theft, malware, an exposed seed phrase or an incorrect transaction can permanently impair access. A hardware wallet for crypto can keep signing keys isolated from an internet-connected device, but it does not remove market volatility, user-error, inheritance or backup risk.
Delegated custody shifts key-management work to a provider. Confirm who can move assets, whether withdrawals can be paused, how multi-party approval works, where keys are stored, what happens after death or incapacity, and whether any insurance covers theft, operational failure, or only a narrow set of events.
Tokenized-stock and ETP custody
For a tokenized stock, determine whether the platform itself, a broker, a bank or another custodian holds any underlying shares. A legal interest in a custodian’s account is different from a direct wallet balance, and a synthetic token may involve no underlying shares at all.

These are investigation points, not assurances that every product has the same protection.
Fees, valuation and liquidity
How fees reduce exposure
Direct crypto costs can include a trading spread, blockchain network fee, wallet cost and a custody charge. Tokenized-stock platforms may add issuance, redemption, platform, custody or conversion fees. The legal terms may also include a spread between the reference stock and the token’s tradable price.
ETP expenses are deducted from the vehicle’s assets. The SEC staff statement notes that the amount of asset represented by each share can fall as assets are sold to pay fees and expenses. A low commission at purchase therefore does not mean the product has no ongoing cost.

How prices are formed
A tokenized stock may trade when the referenced exchange is closed, with a market maker setting a price based on an indicative value and available liquidity. Ask how the reference price is calculated, which exchange or data source is used, and what happens during a corporate action or trading halt.
Direct Bitcoin and Ether trade across multiple venues whose prices, order books and operating practices differ. An ETP normally publishes a net asset value (NAV) using a stated benchmark or pricing methodology. Compare the share’s market price with NAV, the bid-ask spread, creation and redemption process, and the hours when the underlying market is open.
Liquidity and exit routes
“Can I sell?” has several parts: Is there a continuous market? Are there enough buyers for your size? Can you redeem with the issuer, or only sell to another holder? Are transfers restricted by geography, identity checks, wallet whitelists or platform maintenance? A product can show a quoted price yet be difficult to exit at that price in stressed conditions.
Risk disclosures investors should investigate
The SEC’s July 1, 2025 Division of Corporation Finance statement lists topics that crypto ETP filings may need to address. It says the statement reflects staff views, has no legal force or effect, and creates no new obligations. Use its topics as a checklist rather than assuming each risk applies equally to every product:
- Price volatility and the possibility of rapid losses.
- Private-key theft, hacking, storage and access controls.
- Fraud, manipulation, front-running and wash trading on trading platforms.
- Network attacks and changes to the technology’s operation.
- Concentration of ownership and the effect of large holders.
- Changes in validator or miner incentives.
- Competing products and changes in market structure.
- Counterparty, custodian and service-provider failure.
- Valuation methods, liquidity and the ability to transact during disruption.
- Technology, cybersecurity, legal, regulatory and tax developments.
- The identity of custodians, their key-management practices and the precise scope of insurance.
A tokenized stock adds another layer: the legal status of the token, the relationship to any referenced share and the possibility that the platform’s promise is only contractual. Commissioner Hester M. Peirce stated on July 9, 2025: Tokenized securities are still securities.
That is a commissioner statement, not a Commission rule, but it underscores why a crypto-network format does not by itself remove securities-law analysis.
What the 2025 ETP approval changed—and what it did not
On July 29, 2025, the SEC approved in-kind creation and redemption for crypto ETP shares, including products based on spot Bitcoin and Ether. In an in-kind process, authorized participants can deliver or receive the underlying assets when creating or redeeming large blocks of shares instead of using only cash.

The approval concerns how authorized participants and the ETP operate. It does not mean an individual shareholder personally owns coins in a wallet, controls the ETP’s private keys or can redeem one share directly for a fraction of Bitcoin or Ether. Chairman Paul S. Atkins said the orders were expected to make products less costly and more efficient; that is an expected effect of the Commission’s action, not a measured saving for every investor.
A document-by-document due-diligence process
- Identify the legal instrument. Find the prospectus, token terms, offering memorandum or account agreement. Write down whether it is an issuer security, custodial interest, synthetic obligation, ETP share or direct crypto asset.
- Map the ownership chain. Name the issuer, broker, platform, custodian, administrator and any counterparty. Determine who owns underlying shares or coins, if any, and what claim you have if one party defaults.
- List holder rights. Check voting, dividends, distributions, corporate-action treatment, information delivery, transfer limits, redemption rights and dispute-resolution terms.
- Trace custody and access. For crypto, identify who creates and controls keys, how backups work and whether withdrawals can be frozen. For tokenized shares and ETPs, read the custodian, storage, access and insurance disclosures.
- Calculate every cost. Include commissions, spreads, network charges, custody, platform, issuance, redemption and recurring sponsor expenses. Note whether expenses reduce the asset or share balance.
- Test valuation. Record the reference market, benchmark, NAV formula, pricing time, fallback source and treatment of market closures, forks, halts and corporate actions.
- Check the exit. Confirm trading venues, market hours, minimum sizes, redemption windows, wallet restrictions, identity requirements and expected settlement time.
- Review risk and jurisdiction. Read the sections on volatility, technology, cybersecurity, counterparties, taxes and applicable law. Verify that the product is available to you in your jurisdiction and edition of the platform.
- Recheck before purchase. Product listings, fees, custodians, insurance and regulatory descriptions can change. Use the current documents, not an archived marketing page or an earlier version of the terms.
Which exposure fits which objective?
If you want shareholder-style rights
Do not infer those rights from a stock ticker or a token logo. Favor only a structure whose documents expressly describe the ownership, voting, information and corporate-action rights you require, and verify how those rights are exercised in practice.
If you want direct control of crypto
Direct Bitcoin or Ether provides the clearest connection to a wallet and network record, but it also creates private-key, recovery and transaction responsibilities. Decide whether you can maintain secure backups and an inheritance plan before choosing self-custody.

If you want exchange-traded access
An ETP can package crypto exposure in a listed security with a prospectus, NAV process and professional custody. In exchange, you accept sponsor expenses, market-price deviations, vehicle-level risks and the fact that you own the share rather than coins in a wallet.
Bottom line for a U.S. investor
Tokenized stocks, direct Bitcoin or Ether, and crypto ETP shares are different exposures. A tokenized stock may confer a security interest, a custodial claim or only synthetic price exposure. Direct crypto puts key and recovery decisions with you or your custodian. An ETP share is a separate security with its own issuer, fees, valuation, custody and liquidity. Read the current legal documents and compare rights, custody, costs, pricing and exit mechanics before treating any of them as interchangeable.
