Short answer: a token is a format for representing or transferring an investment, not proof that you own the underlying stock or bond. In the United States, tokenized securities remain securities, but your legal rights depend on the instrument’s documents and structure. An issuer-sponsored token may give you the same direct rights as a conventional share; a custodial token may give you an indirect security entitlement; and a synthetic token may provide only contractual price exposure to a reference asset. Before buying, identify the legal claim, the party obligated to you, the authoritative ownership record, and the rules governing transfers, custody, and failure.
What “tokenized security” means
“Tokenized” describes how a security is represented, recorded, or transferred. It does not describe a single legal product. A token may be recorded on a distributed ledger, linked to an off-chain database, or used as an instruction that causes an issuer or intermediary to update a conventional book-entry record.
Traditional securities are also usually electronic. A central securities depository and layers of brokers, banks, and custodians maintain book-entry records for customers. The important comparison is therefore not paper versus blockchain. It is whether the token is the legally operative ownership record, represents an entitlement held through an intermediary, or is a separate instrument linked to another security.

U.S. securities laws apply to tokenized securities. The SEC’s Investor.gov education material published in 2026 states that tokenized securities are securities and remain subject to SEC regulation and investor protections. A January 28, 2026 statement from SEC staff explains how tokenized arrangements may work, but it is expressly staff views rather than a Commission rule, regulation, or formal guidance. The legal result for any particular offering still turns on its contracts, corporate records, custody arrangement, venue, and governing law.
The three structures that determine what you own
1. Issuer-sponsored tokenized security
In an issuer-sponsored structure, the company issuing the security, or its appointed agent, creates the token and maintains or controls the official securityholder record. In the most integrated version, a transfer of the token updates that master record and changes the registered holder. The token can then represent a direct share, bond, or other security of the issuing entity.
Investor.gov describes this model as carrying the same legal rights—such as voting, dividends, and ownership—as a traditional security of the same class. That qualification matters: the token could represent a separate class with different voting, conversion, dividend, redemption, or transfer terms. “Tokenized share” is not enough information to establish that it is identical to a company’s ordinary shares.

A related model leaves the authoritative master file off-chain. The token transfer sends a message to the issuer or transfer agent, which then updates the conventional record. The blockchain entry may be useful for automation or coordination without itself being the final legal register. You must read the offering documents to determine when a transfer becomes effective and who has authority to correct an erroneous or unauthorized transaction.

2. Custodial token representing a security entitlement
Here, a broker, bank, trust company, or other custodian holds the underlying security. The token represents your indirect interest in that custody arrangement, commonly described as a security entitlement. Your rights run through the intermediary’s account and legal agreements rather than directly to the issuer’s shareholder or bondholder register.
Investor.gov gives a custodial example in which the customer receives rights, obligations, and benefits equivalent to those of a traditional shareholder. That is a description of that arrangement, not a universal rule for every custodial token. Other products may limit voting, delay distributions, impose redemption conditions, or give the intermediary discretion over corporate actions.
Identify the custodian, the account in which assets are held, the law governing the account, and the treatment of customer property if the intermediary becomes insolvent. Ask whether the token is backed one-for-one, how reconciliations are performed, and whether the customer can demand delivery of the underlying security or only cash settlement.
3. Synthetic or linked token
A synthetic token is an instrument issued by a third party whose value or return is linked to a referenced stock, bond, index, or fund. You may gain exposure to the reference asset’s price without owning it and without having a claim against the reference company.

Your counterparty is the token issuer and the contracts governing the instrument. If that issuer fails, the value of the referenced company’s shares does not by itself protect you. Depending on its terms, a synthetic product could be a security-based swap or another regulated instrument with specific offering and trading restrictions. Calling it a “tokenized stock” does not turn contractual exposure into stock ownership.
Ownership, records, and the party that owes you
| Question | Traditional security | Issuer-sponsored token | Custodial token | Synthetic or linked token |
|---|---|---|---|---|
| What is the legal claim? | Direct security or an intermediary-held entitlement, depending on registration and custody. | Usually a direct security claim if the token is integrated with the issuer’s official register; documents control. | An entitlement against the custodian or account structure, which may convey specified benefits of the underlying security. | A contractual claim against the token issuer; normally no claim to the referenced company’s shares. |
| Who is obligated to the holder? | The issuer for the security, plus any intermediary for custody obligations. | The issuing entity, and possibly its transfer agent or platform operator. | The custodian and other parties named in the custody and token agreements. | The issuer of the synthetic instrument and any guarantor or collateral provider. |
| Where is ownership or entitlement recorded? | Book-entry systems operated by a central securities depository and intermediaries. | On a distributed ledger, off-chain, or both; the documents identify the controlling record. | In the custodian’s account records, possibly mirrored by a ledger token. | In the issuer’s contractual and account records; the referenced asset’s register is separate. |
| Do you own the underlying security? | Yes if registered directly; otherwise you hold an entitlement through your intermediary. | Potentially, if the token is the legally effective record for that class. | Generally no direct registration; you hold the stated entitlement. | No. You hold price or return exposure defined by contract. |
| Voting and distributions | Set by the security’s class and account arrangement. | May match the same class, but a different class or restrictions are possible. | Passed through or exercised by the custodian according to its terms. | Only the contractual payment or adjustment promised by the issuer. |
| Main additional risk | Intermediary, settlement, and market risks already present in electronic markets. | Incorrect mapping between token and master record, key loss, governance, or platform failure. | Custodian insolvency, segregation, reconciliation, and limited customer control. | Issuer credit risk, contract terms, liquidity, and regulatory restrictions. |
How trading and settlement differ
In a conventional market, an order is routed to a regulated exchange, alternative trading system, broker, or dealer. Ownership changes through coordinated entries at the intermediary and securities depository, while cash moves through a payment and settlement system. Finality, timing, and the treatment of failed trades are defined by market rules and account agreements.
A tokenized market can automate parts of that sequence. Smart-contract rules may check eligibility, apply transfer restrictions, deliver a token against payment, or record a corporate action. A ledger can provide a shared view to authorized participants and reduce some reconciliation work. Fractionalized units and programmable transfers are possible where the security’s legal documents and applicable regulations permit them.
Those features are possibilities, not guaranteed outcomes. A token transfer does not prove that the issuer’s authoritative register changed, that cash settlement was final, or that a counterparty disappeared. A platform may rely on an off-chain master file, a custodian, a bridge between ledgers, or a separate payment token. An outage in any of those components can delay a transaction or require manual correction.
The Bank for International Settlements’ Committee on Payments and Market Infrastructures notes that tokenization may improve efficiency in some dimensions but that “the fundamental trade-offs involving credit risk and liquidity remain in a tokenised world.” Its analysis also highlights governance, third-party dependence, and interoperability between ledger-based and account-based systems. A market can therefore be faster in one step while remaining exposed to the same issuer, settlement, and liquidity risks as a conventional market.

Investor protections: what generally carries over
Securities-law coverage
Under the current U.S. framing, changing the recordkeeping technology does not remove a product from the securities laws. Registration, disclosure, broker-dealer, trading-venue, custody, and antifraud requirements may apply according to the product and participants involved. The exact obligations depend on the offering and the businesses operating it.
SEC Commissioner Hester M. Peirce wrote in a July 9, 2025 statement, “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” The same statement says, “Tokenized securities are still securities.” Those are the views of an individual commissioner, not a binding Commission rule. They express the central practical point: a token label cannot override the substance of the investment.
Economic and governance rights
Check the documents for each right rather than assuming parity with an ordinary share:

Intermediary and counterparty protections
Direct issuer ownership concentrates risk in the issuer and the market infrastructure. Custodial tokens add the custodian and its account structure. Synthetic tokens make the token issuer your primary counterparty and may provide collateral, guarantees, or only an unsecured promise. Read insolvency provisions, segregation language, rehypothecation rights, and the process for resolving a disputed or unauthorized transfer.
Trading-venue and settlement safeguards
Determine who operates the venue, what licenses or exemptions it relies on, how orders are matched, which assets settle the trade, and when settlement becomes irrevocable. Ask how the platform handles a lost private key, a compromised account, a chain reorganization, a smart-contract bug, a bridge outage, or a mismatch between on-chain and off-chain records. A venue’s user interface cannot substitute for legally enforceable rules.

What tokenization does not guarantee
- Continuous liquidity: a token can trade around the clock while having few willing buyers or sellers.
- Instant final settlement: a ledger confirmation may precede legal effectiveness or depend on a later update to a master file.
- Lower costs: automation may reduce some reconciliation or processing work while adding technology, compliance, cybersecurity, and governance expenses.
- Transparency: a visible transaction record may not reveal beneficial owners, off-chain liabilities, valuation methods, or the controlling legal account.
- Elimination of intermediaries: custodians, transfer agents, broker-dealers, payment providers, validators, and platform operators may still be essential.
- Access for every investor: eligibility, jurisdiction, transfer restrictions, and venue rules can limit who may buy or resell.
The BIS describes tokenization as an early-stage development and identifies operational complexity, liquidity pressures, and regulatory uncertainty alongside potential efficiency gains. No verified universal savings, adoption rate, or investor-return statistic establishes that tokenization is automatically better than a conventional structure.
Bank capital treatment is a separate issue
On March 5, 2026, the Federal Reserve, Federal Deposit Insurance Corporation, and Office of the Comptroller of the Currency stated that an eligible tokenized security generally receives the same capital treatment as its non-tokenized form under the bank capital rule. Their statement says technology generally does not determine that prudential treatment.

This is a statement about how banks calculate regulatory capital. It is not a guarantee that a token is safe, liquid, insured, directly owned, or protected from platform or issuer failure. Investor protections and bank capital treatment answer different questions and should not be conflated.
How to analyze a tokenized security before buying
- Name the instrument precisely. Obtain the legal name, identifier, security class, issuer, and offering document. Do not rely on an app’s marketing label.
- Identify your claim. Ask whether you receive direct ownership, a security entitlement, a debt claim, a swap-like payment promise, or another contractual interest.
- Find the obligated parties. List the issuer, custodian, transfer agent, venue, wallet or key-management provider, guarantor, and any bridge or settlement provider.
- Locate the controlling record. Determine whether the ledger, an off-chain master file, a custodian’s books, or a combination is legally authoritative. Ask which record prevails after an error.
- Verify rights and restrictions. Read voting, distributions, redemption, conversion, delivery, transfer, eligibility, and corporate-action provisions.
- Map the trade lifecycle. Document how an order is accepted, matched, paid, settled, reversed, and reported. Identify the settlement asset and the moment of finality.
- Test failure scenarios. Look for procedures covering issuer insolvency, custodian failure, platform shutdown, key loss, cyberattack, ledger interruption, bridge failure, and disputed transactions.
- Check jurisdiction and status. Confirm the offering’s U.S. registration or exemption, the venue’s regulatory status, and any limits based on your location or investor category.
- Compare the conventional alternative. If you could buy the same economic exposure through a traditional account, compare custody fees, voting, liquidity, transferability, settlement, and counterparty exposure rather than assuming the token is cheaper or safer.
Questions that reveal the real structure
- “If I transfer the token, who changes the legal ownership record?”
- “Can I demand the underlying share or bond, or only a cash payment?”
- “Who receives dividends, interest, voting materials, and corporate-action notices?”
- “What happens to my position if the custodian or platform becomes insolvent?”
- “Is the token a different class from the issuer’s ordinary security?”
- “Which law governs disputes, and where must a claim be filed?”
- “Can the issuer freeze, claw back, or reverse a transfer?”
- “What happens when the ledger and the off-chain records disagree?”
- “Are secondary sales restricted to approved investors or a particular venue?”
Common misconceptions
“On-chain means I am the registered owner.”
Not necessarily. The token may update an off-chain register, represent a custodial entitlement, or record a synthetic contract. Confirm the legally controlling record.
“Tokenized means decentralized and trustless.”
Many arrangements still depend on an issuer, custodian, transfer agent, venue operator, validator set, payment provider, or administrator. The relevant question is which parties you must trust and what recourse you have if they fail.
Best Value
“A tokenized share always has the same rights as a normal share.”
An issuer-sponsored token can be designed to match a traditional class, but a different class or contractual restriction can change voting, dividends, transferability, or redemption. Only the governing documents establish the rights.

A synthetic instrument may track a reference price while giving you no claim against the referenced company. Your protection depends on the token issuer’s promise, collateral, and solvency.
“The SEC has issued one universal tokenization rule.”
SEC investor education and staff statements explain the application of existing securities principles. The January 2026 staff statement is not a Commission rule or formal guidance, and product-specific obligations still require legal analysis.
Bottom-line decision framework
Choose based on the legal claim and risk allocation, not the presence of a blockchain. A token is closest to a conventional security when the issuer integrates it with the official register and grants the same class rights. A custodial token can be useful but requires careful review of the intermediary, account protections, and failure procedures. A synthetic token should be evaluated as a separate contractual investment whose value depends on its issuer and terms, not as ownership of the referenced asset.
For any U.S. investor, the decisive documents are the offering memorandum or prospectus, token and smart-contract terms, custody agreement, venue rules, transfer-agent procedures, and governing-law clauses. If those documents do not clearly identify your claim, the controlling record, your rights, and the remedy when something goes wrong, the token’s technical design cannot fill that legal gap.
