Contemporary reports valued the sales at approximately $63.8 million to nearly $63.9 million; the filing gives the share counts and weighted average prices, not a rounded total sale value. It also says the sales were made under a Rule 10b5-1 trading plan Cook adopted on May 28, 2026.

| 50,000 | $331.44 |
| 50,000 | $332.16 |
| 50,000 | $333.26 |
| 41,753 | $333.94 |
The SEC filing reports the individual share amounts and weighted average prices. The headline estimates of nearly $63.9 million from 9to5Mac and $63.8 million from Investing.com are contemporary reports’ rounded valuations, not a total stated by the SEC.
Were the sales made under a trading plan?
Yes. The Form 4 says the October 2 sales were made under a Rule 10b5-1 trading plan Cook adopted on May 28, 2026. The filing was signed by Sam Whittington, attorney-in-fact for Cook, and filed with the SEC on October 5, 2026. The plan disclosure establishes that the sales were made pursuant to that previously adopted plan; it does not explain Cook’s personal reason for selling.

How do the sales differ from the RSU settlement and tax withholding?
The October 2 sales were only one part of the transactions reported. On October 1, 374,541 restricted stock units (RSUs) settled into Apple shares. Apple withheld 199,038 shares at a reported $330.32 per share to meet tax-withholding requirements tied to that vesting. The filing describes these as shares withheld by Apple, not shares Cook sold on the market.
The award originated on October 1, 2023, with a target of 219,030 RSUs. Its vesting depended on Apple’s total shareholder return relative to companies in the S&P 500 over Apple fiscal years 2024 through 2026. The Form 4 reports a 90.67% Apple total shareholder return, ranking 115th among 480 companies, or in the 76.20th percentile. Under the award’s vesting schedule, 374,541 performance RSUs vested.

What other transactions and shares did the filing report?
Cook reported a gift of 26,325 shares on October 2, at a reported price of zero; the filing does not identify the recipient. After the listed transactions, he beneficially owned 3,237,843 shares through his trust, according to the Form 4. That is a beneficial-ownership figure, not a statement of cash holdings.

The SEC filing is a statement of changes in beneficial ownership under Section 16(a) of the Securities Exchange Act. Its rows distinguish sales, RSU settlement, tax withholding, and a gift. Those categories should not be combined and described as shares sold.

What does the filing say about Cook’s reason for selling?
It does not state his personal motivation. The trading-plan disclosure identifies the basis for the reported transactions, but it is not an explanation of why Cook chose to sell. The filing and contemporary reports do not provide a statement from Cook explaining his decision, and the transaction alone does not establish a view about Apple’s future stock performance.
