Newsquawk’s October 14 item presented the possibility as sell-side merger conjecture. It did not report a named bidder, an adviser mandate, board action or a regulatory filing. Those omissions matter: an analyst’s assessment of market expectations is materially different from a company disclosure that negotiations or a definitive agreement exist.

Why Tesla and SpaceX are being discussed together

Reuters also reported that Tesla supplies batteries and manufacturing technologies for some SpaceX projects. The companies are jointly developing Terafab, a semiconductor manufacturing facility intended to produce artificial-intelligence chips. These relationships can make a combination sound strategically plausible, but they do not establish that the boards have agreed on a transaction, its valuation, or its legal structure.

Musk added a process qualification on the same call: “We can’t talk about, you know, combining companies and that kind of thing on an earnings call. It’s got to be done with the appropriate process.” That statement acknowledges the need for formal procedures rather than confirming that those procedures have begun.

The approval and governance problems a deal would face
Shareholder votes
Barclays reportedly views the vote as the central obstacle. GMT Eight says shareholders of both Tesla and SpaceX may need to approve a transaction. Tesla is publicly traded, while SpaceX’s ownership and voting arrangements are different, so the exact approvals would depend on the structure of any proposed combination. Until a definitive agreement and proxy materials exist, the required vote thresholds and meeting mechanics cannot be known.
Regulatory review, including China
Reuters reported JPMorgan analysts’ concern that regulatory approvals—particularly in China—could slow or complicate a transaction. SpaceX’s ties to the U.S. government add sensitivity to any cross-border review. This is a potential bottleneck identified by analysts, not evidence that Chinese or other regulators have opened a case or indicated opposition.

Different voting power for Musk
Reuters also reported that Musk controls a much larger voting stake in SpaceX than in Tesla. That imbalance could complicate governance for Tesla’s public shareholders: the influence Musk could exercise over the combined company might not match the economic ownership or voting power held by Tesla investors. The effect would depend on the exchange ratio, share classes, governance documents and any special rights negotiated in a transaction—all details that remain undisclosed.
Process and conflicts
A merger involving companies connected to the same controlling figure would require formal board, disclosure and conflict-management procedures. Musk’s warning about using the “appropriate process” is consistent with that requirement. The cited coverage does not report that Tesla or SpaceX has announced a special committee, retained advisers or filed transaction documents.

Barclays’ description of a merger as a “consensus market expectation” describes investor and analyst sentiment; it is not a probability published by Tesla or SpaceX. A separate July estimate from Gene Munster of Deepwater Asset Management put his personal chance of a combination at 90%. That figure is Munster’s view, not Barclays’ forecast and not a company statement.
Reuters also placed the speculation in the context of SpaceX’s reported record $75 billion initial-public-offering process. An IPO process and a merger with Tesla are different paths. The existence, size or progress of an IPO plan does not by itself indicate that a Tesla transaction has been agreed.
What could confirm or derail the story before December
- Formal company announcement: Look for Tesla, SpaceX or board-issued disclosure identifying negotiations, a definitive agreement or a proposed transaction.
- Adviser and committee disclosures: A named financial adviser, independent committee or conflict-review process would be stronger evidence than commentary about market expectations.
- Regulatory filings: Proxy materials, securities filings or competition reviews would provide the transaction terms, voting requirements and timetable.
- Meeting documentation: Tesla’s official annual-meeting notice would establish the actual meeting date and whether a merger proposal is on the agenda.
- Timing slippage: If no formal announcement appears by late October or early November, Barclays’ own warning implies that completing approval at a meeting expected by December 6 would become more difficult.
Until one of those events occurs, the responsible reading is that a Tesla–SpaceX combination is a possible 2026 scenario supported by reported collaboration and analyst speculation, not a confirmed deal.
