Telefónica Reportedly Considers Loan to Buyer to Complete $450 Million Mexico Sale

Telefónica S.A. is reportedly considering lending money to Melisa Acquisition LLC, the consortium buying Telefónica Mexico, so the announced transaction can be completed. The possible financing is unconfirmed, and the sale remains pending even after Mexican competition approval.

What was reported on October 15

Bloomberg reported on October 15, 2026, that Telefónica is considering a loan for Melisa Acquisition, the buyer of its Mexican subsidiary. The report said the loan would help complete a transaction announced in April. Its quoted Spanish wording was: “Telefónica S.A. está considerando otorgar un préstamo al comprador de su filial mexicana para ayudar a completar una operación anunciada en abril, según fuentes familiarizadas con el asunto.”

Neither the amount nor the commercial terms were disclosed. Telefónica declined to comment, while representatives of OXIO Inc. and Newfoundland Capital Management did not respond to requests for comment. A proposal under consideration is not the same as an executed loan: there is no confirmation that financing has been signed, funded or made a condition of closing.

The transaction the loan would support

Telefónica announced the disposal on April 7, 2026. Its first-quarter results, published May 14, put the firm value of Telefónica Mexico at USD 450 million. That is the headline enterprise value disclosed by Telefónica, not necessarily the final cash proceeds after completion adjustments.

Item What is established What is not established
Seller Telefónica S.A. None of the proposed loan’s final lender terms
Buyer Melisa Acquisition LLC, a consortium led by OXIO Inc. and Newfoundland Capital Management How the consortium would combine any Telefónica loan with other funding
Assets 100% of Pegaso PCS and Celular de Telefonía, which together comprise Telefónica Mexico Any change to the assets or ownership scope
Announced firm value USD 450 million, according to Telefónica’s Q1 2026 results The final price after customary transaction adjustments
Closing status Announced sale with regulatory closing conditions A completed transfer of ownership

The agreement is subject to customary transaction adjustments and regulatory closing conditions. Consequently, the USD 450 million figure should not be read as a guaranteed amount that Telefónica will receive at closing.

Why a seller loan matters

A loan from Telefónica would be a form of seller financing: the seller would provide some funding to its own buyer rather than requiring the consortium to obtain every dollar from banks, private-credit funds or other outside lenders. That can help bridge a funding gap or align the timing of debt availability with regulatory and closing steps. The reported purpose is only to help complete this announced deal; the available information does not establish that Telefónica has agreed to rescue the buyer, that Melisa Acquisition is insolvent, or that outside financing has failed.

The alternative is third-party acquisition financing, in which lenders unaffiliated with Telefónica provide the purchase funding. Publicly reported information does not identify the consortium’s other lenders, leverage, equity contribution or financing commitments, so no conclusion can be drawn about the buyer’s overall capital structure.

Competition approval removed an obstacle, not the closing condition

Mexico’s Comisión Nacional Antimonopolios was reported to have approved the transaction in late September 2026. El País reported the approval on October 6. That decision removes a major competition-review hurdle, but it does not itself transfer the shares or satisfy every closing requirement.

The parties received six months from notification to close, with a possible one-time six-month extension for justified reasons. The notification date was not disclosed in the available reports, so a precise closing deadline cannot be calculated from the public information. Until the parties complete the remaining conditions and execute the legal transfer, Telefónica Mexico has not been sold.

Telefónica’s reason for selling Mexico

Telefónica has described the disposal as part of its portfolio-management policy and its strategy of exiting Hispanoamérica. The company has been reducing its exposure in the region while concentrating on core markets. Selling Mexico therefore fits a broader regional direction rather than representing an isolated transaction, although the reported loan would temporarily keep Telefónica involved as a potential creditor to the buyer.

What to watch next

  1. Financing disclosure: Look for a filing or announcement confirming whether Telefónica has committed funds and specifying the principal, security and repayment terms.
  2. Closing-condition updates: Regulatory approval is one milestone; the parties must still satisfy the agreement’s other conditions and customary adjustments.
  3. Ownership transfer: The decisive event is completion of the legal sale of all shares in Pegaso PCS and Celular de Telefonía.
  4. Final consideration: Compare the closing amount with the USD 450 million firm value only after the agreed transaction adjustments are reported.

For now, the reliable picture is narrower: Telefónica is considering seller financing for a buyer consortium, the announced transaction values Telefónica Mexico at USD 450 million on a firm-value basis, competition approval has reportedly been obtained, and legal closing is still pending.
