Separately, director William B. Gordon reported selling 10,000 Take-Two shares under a Rule 10b5-1 plan adopted months before the agreement was announced. The filings establish two events, not a connection between them.
What Take-Two’s new Xbox agreement actually does
Take-Two said in a September 28, 2026 Form 8-K, filed September 30, that it and Microsoft entered a new long-term Xbox Publisher License Agreement effective September 17. It replaces the parties’ previous Xbox publisher license agreements. The filing says the agreement gives Take-Two rights to develop, publish, manufacture, market, advertise, distribute and sell Xbox-compatible products for all Xbox devices. Take-Two’s Form 8-K

The filing describes commercial and approval provisions, but does not provide the full contract terms:
- For digitally delivered products and content sold by Microsoft, payment is at the applicable wholesale price and/or an agreed revenue share.
- Microsoft may review, evaluate and approve game concepts and final versions. Its review rights also cover packaging and marketing materials that feature Microsoft marks.
- Microsoft charges fees and royalties for each physical-media product manufactured on Take-Two’s behalf.
- Either party may terminate the agreement for material breach or insolvency. Take-Two has specified sell-off rights for existing inventory after expiration or termination.
Take-Two’s filing says its summary is qualified by the agreement itself and points to the full text being filed as an exhibit to the quarterly report for the period ending September 30, 2026. The 8-K summary does not establish exact duration, exclusivity, minimum guarantees or revenue-share rates.

What the insider share sale shows—and does not show
Take-Two director and 10% owner William B. Gordon reported three sales of common stock on September 29, 2026. His SEC Form 4 lists the following transaction lots and prices:

The reported lots total 10,000 shares. The Form 4 shows 47,187 shares directly owned after the transactions. These are the transaction figures reported in Gordon’s Form 4, not evidence by themselves of his view of Take-Two or Microsoft.

Gordon’s Form 4 checks the box for a Rule 10b5-1 trading plan and states that the plan was adopted June 23, 2026—before the September 28 public announcement of the Xbox agreement. The filing does not state why he sold. It also does not establish when each specific sale decision was made beyond the stated plan-adoption and transaction dates. Nothing in the filing connects the sales to the Xbox deal, so treating them as a reaction to the announcement or proof of a bearish outlook goes beyond what it says.

Why the agreement is not evidence of a new Xbox console
The 8-K describes a publishing license for products made for Xbox devices. It does not announce a new or redesigned Microsoft console, a release date, a Take-Two exclusive, a hardware partnership or an acquisition. The length of the agreement may invite speculation, but a publisher license is not confirmation of future hardware plans. Any console implication remains speculation unless Microsoft or Take-Two separately confirms it.

There is historical context for the replacement: Take-Two’s FY2025 annual report described earlier Xbox Series X|S and Xbox One publisher agreements dated July 1, 2020. Those agreements were set to expire March 31, 2026, with automatic one-year renewal terms absent advance notice of non-renewal. Take-Two’s filing index lists Gordon’s October 1 Form 4, a September 30 Form 8-K, several Form 144 notices and other Forms 4. A Form 144 is a notice of intended sale, not proof that a sale was completed. To describe a noticed sale as completed, look for the related Form 4 or other transaction evidence; an index listing alone is not enough.
