Strive has authorized a facility to repurchase up to $500 million of its SATA preferred stock, but its October 5, 2026 filing does not say the company will spend that amount, use cash to fund purchases, or cut SATA’s dividend rate. The authorization is a management option; any reduction in future dividends would depend on how many shares are actually retired and the rate in force.
What Strive authorized—and what it did not
In a Form 8-K filed October 5, 2026, Strive, Inc. said it had implemented a repurchase facility of up to $500 million for SATA preferred stock. The company said management may buy shares from time to time if it determines that doing so is in the long-term interests of the company and shareholders.

That is a discretionary ceiling, not a commitment to spend $500 million. The filing reports no repurchases under the new facility, sets no timetable and names no funding source. It does not say that the company will draw down cash, sell Bitcoin, borrow, or use another source of capital. The facility applies to SATA preferred shares—not ASST Class A common stock or Bitcoin.

What Strive reported about its treasury
The October 5 filing’s September 30 quarter-end figures were preliminary and unaudited because the quarter close was not complete. Strive also published a separate weekly update with figures as of October 2. They are different snapshots, so the newer weekly Bitcoin total should not be combined with the September 30 balance-sheet figures as though they were one report.
| Measure | September 30, 2026 | October 2, 2026 |
|---|---|---|
| Cash and cash equivalents | $284.722 million; preliminary and unaudited, according to Strive’s October 5 Form 8-K | $284.7 million, according to Strive’s separate weekly update |
| STRC shares held, at fair value | $50.172 million, according to the preliminary quarter-end figures | $50.202 million, according to the weekly update |
| Bitcoin holdings | 28,000 BTC; stated average acquisition cost of $90,170 per Bitcoin, according to the preliminary quarter-end figures | 29,462 BTC, according to the weekly update |
| Total treasury value | $2.675 billion; Strive’s calculation includes Bitcoin value, STRC and cash | Not stated in the weekly-update figures cited here |
| SATA shares outstanding | 12,940,621, according to the quarter-end table in the filing | 13,498,082, according to the October 2 weekly table in the filing |
Strive’s weekly update said it acquired 2,000 Bitcoin between September 28 and October 2 at an average price of approximately $84,422 per Bitcoin, including fees and expenses. Over that same reporting period, the SATA share count also increased. A larger Bitcoin balance by itself does not show that Bitcoin per common share or common-equity value increased after dilution and preferred claims are considered.
At September 30, Strive reported $1.294 billion in SATA stated amount, a $168.228 million annualized interest obligation and no debt principal balance. These are the company’s reported figures; the filing does not establish that the annualized obligation is a fixed cash expense or state how a future repurchase would change it.

Could a buyback reduce SATA dividends?
Retiring SATA shares could reduce the total dividends payable in the future because fewer preferred shares would remain outstanding. The size of any savings would depend on the number of shares repurchased, the purchase price and costs, and the applicable variable dividend rate. The October 5 filing does not announce a rate reduction.
That distinction matters because “trim dividends” can mean either paying dividends on fewer shares or lowering the dividend rate on each share. The new facility could potentially affect the first outcome if shares are actually retired; it does not announce the second. SATA’s dividends remain subject to the board’s declaration process.
Strive’s Q2 2026 filing said regular SATA dividends shifted from monthly to per-Business-Day payments beginning June 16, 2026. The company’s August earnings release said it had paid 44 consecutive dividends as of August 7, 2026. Those historical details describe the payment schedule and record at those dates; they do not establish a future rate or guarantee continued declarations.

Is the reported cash a protected dividend reserve?
Not according to the October filing. Strive reported its cash balance but did not identify it as a currently segregated SATA dividend reserve or say all of it was committed to dividends.

There is historical context: in a March 2026 update, Strive described an 18-month SATA dividend reserve consisting of 12 months of cash and six months of STRC, with the STRC portion based on then-current trading prices and subject to market conditions. That earlier description should not be treated as proof that the September cash balance is ring-fenced on the same terms today.
How management frames the capital-allocation choice
Strive said that, for Bitcoin prices below $100,000, management’s current objective is to increase and maintain its Amplification Ratio above 60%. It also said it may evaluate capital-allocation and financing alternatives that management believes could enhance long-term value for common shareholders while supporting SATA’s long-term financial strength and credit profile. The company stated: “The Company intends to remain debt-free.”

These are management objectives and intentions, not binding promises or independent evidence that a SATA repurchase would create value. A repurchase could retire preferred claims and potentially lower future dividend obligations, while using capital that might otherwise remain liquid or support other treasury priorities. The filing does not provide enough information to judge the economics of a completed transaction because no purchase price, funding source, timing or amount of actual repurchases is reported.
To evaluate any future execution, investors would need to consider the cash retained or spent, Bitcoin holdings and Bitcoin per common share after dilution, the preferred shares and senior claims retired, the dividend obligation at the rate then in force, and transaction price and costs. Strive’s stated intention to remain debt-free is relevant to its financing approach, but does not identify how it would fund purchases under the facility.

Strive reported Bitcoin Yield of 23.9% for Q2 2026 and 37.7% for the first half of 2026. These are company-defined metrics, not investment returns or SATA dividend yields. Strive defines Bitcoin Yield as the percentage change in Bitcoin per share from the beginning to the end of a period.

The company says Bitcoin Yield is not a stockholder’s investment return, operating income, or a measure of financial performance, valuation or liquidity. Related Bitcoin Gain per assumed diluted share metrics do not reflect preferred shareholders’ senior claims or all liabilities. Strive also warns that issuing redeemable preferred stock to buy Bitcoin may increase Bitcoin Yield while increasing senior dividend and asset claims that the metric does not show. The metric therefore cannot, on its own, establish that common shareholders benefited from a treasury action.
Strive’s October 5 filing also says its securities do not represent an ownership interest in or redemption right to the company’s Bitcoin holdings. As with any forward-looking capital-allocation decision, risks identified in the filing include Bitcoin price and treasury-strategy exposure, market and economic conditions, interest and exchange rates, monetary policy, regulation, dilution from issuing Class A or SATA shares, and execution or integration risks.
