STRC and Strategy’s Class A common stock (MSTR) are fundamentally different securities. STRC is a perpetual preferred security with a variable dividend rate, while MSTR is residual common equity whose value depends on what investors believe Strategy and its bitcoin-centered treasury strategy are worth. STRC has a stated priority over common equity for specified dividends and liquidation proceeds, but it remains behind debt and subsidiary liabilities, and neither the dividend nor the share price is guaranteed.

As of Strategy’s August 23, 2026 investor briefing, STRC’s regular annual dividend rate was 12.00% on a $100 stated amount. That rate can change, dividends require board declaration and legally available funds, and an investor’s realized return depends on purchase price, declared payments, taxes and sale price—not the headline annualized rate alone.

The short answer: STRC is income-oriented preferred equity; MSTR is residual upside and downside

Choosing between STRC and MSTR starts with the claim each security represents. STRC is designed to pay a variable preferred dividend when declared. It is perpetual, has no scheduled maturity or sinking-fund obligation, and has no conversion right under the company’s term summary. MSTR common stock has no comparable preferred dividend entitlement in the cited company materials and sits at the bottom of the equity stack.

That distinction changes both the risk and return mechanics:

  • STRC: declared dividends plus any change in STRC’s market price. The rate is reviewed monthly and can be reduced or increased. The stock may trade materially above or below its $100 stated amount.
  • MSTR: the residual value of Strategy after creditors and preferred securities. Its market price can respond sharply to bitcoin prices and volatility, financing conditions, dilution expectations, regulation, and changing views of the company’s strategy.

STRC’s senior position is a relative priority, not insurance. It does not remove issuer-credit risk, bitcoin-related risk, liquidity risk or the possibility of losing principal. MSTR has greater direct exposure to changes in the market value investors assign to Strategy, while STRC exchanges some of that residual-equity upside for a contractual preference and a dividend policy that is still discretionary.

This article describes the terms and risks available in company materials dated through August 23, 2026. Market prices, rates, tax rules and company policies can change after those dates.

What STRC is

A perpetual preferred security

STRC is a preferred equity security with a $100 stated amount. “Perpetual” means the instrument has no scheduled maturity date. The term summary also says it has no sinking-fund obligation and no conversion right. An investor therefore should not assume that the company will automatically repay $100 on a particular date or exchange STRC for common stock.

Because it is equity rather than debt, STRC does not create the same unconditional payment obligation as a bond. Its regular dividend is payable in cash only when and if Strategy’s board declares it from legally available funds. The certificate of designations and prospectus, rather than a plain-English term summary, control the legal rights.

The current stated rate is dated and variable

Strategy’s August 23, 2026 briefing listed a regular annual dividend rate of 12.00% for the current period, based on a $100 stated amount. At that stated rate, the annualized amount is $12.00 per share before considering the share’s market price, taxes or whether every installment is declared and paid.

The 12.00% figure is not a fixed rate for the life of an investment. Strategy said the annualized rate for record dates beginning July 1, 2026 was set at 12.00%. In its June 29, 2026 filing, the company said it intends to evaluate the rate monthly. The factors it identified include STRC’s trading levels, market yields, credit spreads, bitcoin price and volatility, USD Reserve coverage, capital-market conditions and Strategy’s overall capital structure.

Strategy also stated that it will not necessarily raise the rate merely because STRC trades below its stated amount. A rate adjustment is therefore a company policy decision, not a promise to keep the market price near $100 or to compensate investors for a decline.

Rank #2

How payments are scheduled

The August 23 briefing describes payments as semi-monthly in arrears, normally around the 15th and the end of the month. Each payment remains subject to board declaration and legally available funds. The company describes the dividends as cumulative: an unpaid installment accumulates, with compounding under the instrument’s terms. Cumulative status records an unpaid preferred claim; it does not turn the security into a guaranteed deposit or eliminate the possibility of a market loss.

What Strategy Class A common stock (MSTR) is

MSTR is common equity. Common shareholders have the residual claim on Strategy’s assets and earnings after the company’s indebtedness, preferred obligations and other senior claims. They do not have a stated preferred dividend rate in the cited materials.

The residual position gives common stock the most direct participation in changes to the value investors assign to Strategy. Strategy has stated that it remains committed to bitcoin as its primary treasury reserve asset. Consequently, bitcoin market price and volatility, the company’s financing choices, liquidity, regulatory developments and the market’s assessment of its capital structure can all influence MSTR’s valuation.

Common stock can rise substantially if investors assign a higher value to Strategy’s assets, strategy or future financing capacity. It can also fall substantially when bitcoin declines, financing becomes more expensive, dilution concerns increase, or confidence in the strategy weakens. Those are mechanisms of exposure, not predictions of a particular return.

Current STRC terms compared with MSTR

Feature STRC preferred stock Strategy Class A common stock (MSTR)
Security type Perpetual preferred equity Residual common equity
Dividend entitlement Variable stated rate; cash payments only when and if declared from legally available funds No comparable preferred dividend entitlement established in the cited materials
Rate or amount 12.00% annualized for the current period listed in the August 23, 2026 briefing, based on a $100 stated amount No stated preferred rate
Payment timing Semi-monthly in arrears, normally around the 15th and month-end, when declared No dividend schedule identified in the cited materials
Maturity No scheduled maturity; perpetual No dividend-based redemption value identified in the cited materials
Conversion No conversion right in the company’s term summary Common equity itself
Priority Senior to common equity in specified dividend and liquidation respects; behind debt, subsidiary liabilities and the securities listed ahead of it in Strategy’s framework Last among the compared equity claims
Main return components Declared dividends plus STRC market-price movement Change in the market value of residual equity

The table separates a stated dividend rate from an investor’s yield. A 12.00% rate is calculated on the $100 stated amount. If STRC trades above or below $100, the cash received divided by the purchase price will differ from 12.00%, and the eventual sale price can dominate the total result.

How STRC’s dividend can change

Monthly evaluation does not mean monthly certainty

Strategy’s policy says it evaluates the annualized STRC rate monthly. The evaluation can consider market yields, credit spreads and STRC’s trading level, but the company expressly reserves discretion. A lower rate can reduce the cash an investor receives even while the stock continues to trade. A higher rate can increase the stated distribution without ensuring that the share price reaches $100.

The company’s policy also incorporates bitcoin price and volatility and the amount of USD Reserve coverage. That means STRC is not economically isolated from Strategy’s bitcoin-centered business model or its financial condition, even though STRC has preferred terms.

Historical payments show movement, not a forecast

Strategy’s May 5, 2026 results disclosure recorded the following historical STRC rates and payments:

Payment period Annualized rate reported Payment reported per share
January 2026 11.00% $0.92
February 2026 11.25% $0.94
March, April and May 2026 11.50% $0.96

These were historical payments. They do not establish the next rate, the next installment, a minimum annual income or a total return. The later 12.00% rate listed for the current period is another dated setting, not evidence that the rate will continue indefinitely.

Where STRC sits in the capital stack

Strategy’s term summary places STRC behind debt, subsidiary liabilities and STRF, while placing it ahead of current STRE, STRK, STRD and common equity in the stated priority framework. The prospectus further explains that STRC is junior to existing and future indebtedness and structurally junior to liabilities at Strategy’s subsidiaries.

In a liquidation, creditors are paid before equity claims. Preferred holders may have a priority over common holders for specified dividends and liquidation amounts, but they receive value only after indebtedness has been paid in full and only if assets remain. Priority determines the order of claims; it does not promise that any claim will be fully recovered or that the market price will remain near the stated amount.

Why structural subordination matters

Strategy’s assets and obligations are not necessarily held in one pool available equally to every security. If assets or cash flows are located in subsidiaries, those subsidiaries’ creditors can have claims that are structurally ahead of a holding-company preferred security. This is why “senior to common” should not be read as “senior to all liabilities.”

Risk comparison

Risks specific to STRC

  • Dividend-rate risk: the annualized rate can be reduced, and an investor cannot lock in the 12.00% figure simply by buying the shares during the current period.
  • Declaration and legal-availability risk: each cash payment requires board declaration and legally available funds.
  • Price risk: Strategy says STRC may trade materially outside its targeted range around the stated amount. A dividend can be paid while the share price falls.
  • Issuer-credit and structural risk: STRC is behind debt and subsidiary liabilities. Deterioration in Strategy’s financial condition can affect both payments and market value.
  • Bitcoin-linked policy risk: the company considers bitcoin price and volatility when setting the rate, so STRC is not independent of bitcoin conditions.
  • Perpetual-instrument risk: there is no scheduled maturity requiring repayment at $100 and no conversion right that supplies an automatic exit.
  • Liquidity and market-yield risk: changes in interest rates, credit spreads or trading demand can move the price even if the stated rate is unchanged.

Risks specific to MSTR

  • Residual-equity risk: common shareholders stand behind creditors and preferred securities in a liquidation.
  • Bitcoin concentration: Strategy’s Form 10-Q discusses bitcoin market-price, concentration and liquidity risks. A large move in bitcoin can change how investors value the company.
  • Financing and dilution risk: capital-market transactions can alter the number of common shares, the company’s obligations and the value attributed to each share.
  • Regulatory and operational risk: changes affecting digital assets, corporate finance or Strategy’s operations can influence valuation.
  • No preferred income floor: common stock has no comparable stated dividend entitlement in the cited materials.

Both securities remain claims on the same issuer. Neither should be described as a way to obtain bitcoin exposure without issuer risk, market risk or capital-structure risk.

Potential returns: compare the mechanisms, not a promised percentage

There are four useful comparison axes.

1. Income terms

STRC has a stated annualized dividend rate that can change and is payable only when declared. MSTR has no comparable preferred dividend entitlement established by the cited materials. An investor buying STRC for income must monitor the rate-setting policy, declarations and the purchase price.

2. Market-price movement

Strategy has a target-oriented policy intended to support STRC trading around its $100 stated amount, but the company warns that the stock may trade materially outside that range. MSTR has no equivalent stated-amount anchor. Its price reflects the market’s changing assessment of Strategy, its bitcoin holdings and strategy, financing and future prospects.

3. Capital priority

STRC’s specified priority can improve its position relative to MSTR if value is distributed through the capital stack. That priority remains behind debt and subsidiary liabilities and cannot prevent a loss. MSTR’s residual position gives it the greatest sensitivity to the value left after senior claims.

4. Time horizon and exit assumptions

STRC is perpetual. An investor must plan to sell in the market or rely on a future corporate action that is not scheduled in the term summary. MSTR also has no dividend-based redemption value in the cited materials, so its exit depends on selling shares or a future transaction.

A disciplined total-return calculation should keep four items separate:

  1. The price paid for the security.
  2. Cash dividends actually declared and received, if any.
  3. Taxes and transaction costs.
  4. The price received when the investor sells.

Calling STRC’s 12.00% annualized rate an investor’s realized yield ignores at least the purchase-price and sale-price components. Calling MSTR’s upside a forecast would likewise go beyond the available facts.

Strategy’s USD Reserve and other capital policies

In its June 29, 2026 filing, Strategy described a board-approved USD Reserve policy intended to maintain at least 12 months of current expected preferred-dividend and interest obligations. The policy allows the board to authorize a reduction below that threshold.

The filing reported a $2.55 billion reserve balance as of June 28, 2026, including expected unsettled ATM proceeds. That is a historical snapshot, not a balance for October 2026 and not a guarantee that every future dividend will be paid. The company said the reserve can support preferred dividends and debt interest and may later be replenished through bitcoin sales or capital-markets activity.

Strategy’s broader capital framework also includes preferred-security repurchases, a Class A common-stock repurchase authorization and a bitcoin monetization program. These are authorizations and policies, not commitments to execute transactions at a particular price or to support either security’s market price.

Tax treatment: company guidance is not personal tax advice

Strategy’s May 2026 disclosure said it expected distributions on its preferred instruments to be treated as non-taxable return of capital for U.S. federal tax purposes for the foreseeable future, based on its then-current expectations about earnings and profits. The same disclosure warned that special tax considerations may apply and advised shareholders to consult their own tax advisers.

Return-of-capital treatment can affect the investor’s tax basis and may change the tax result when shares are sold. The actual treatment can depend on the investor’s situation, jurisdiction, holding period and subsequent company tax information. Do not assume that the 12.00% stated rate is tax-free income or that the company’s expectation determines your individual filing position.

How to decide which security fits your question

If your first question is “Does STRC pay a guaranteed dividend?”

No. The current stated rate is 12.00% for the period identified in the August 23, 2026 briefing, but the rate can change and each payment requires board declaration and legally available funds. Cumulative terms preserve unpaid installments under the instrument’s rules; they do not create a guarantee of cash or principal.

If your first question is “How often does STRC pay?”

The company describes semi-monthly payments in arrears, normally around the 15th and month-end, when declared. Check the current declaration and record-date information rather than assuming every scheduled date will produce a payment.

If your first question is “Can the STRC rate change?”

Yes. Strategy says it evaluates the rate monthly and considers market, credit, bitcoin-related and capital-structure factors. The July 2026 setting illustrates that the annualized rate is adjustable rather than locked for the holding period.

If your first question is “What is the difference between STRC and MSTR?”

STRC is perpetual preferred equity with a variable dividend and a priority over common equity in specified respects. MSTR is residual common stock with no comparable preferred dividend entitlement. STRC’s return is shaped by declared distributions and its own market price; MSTR’s return is shaped by the market value assigned to Strategy’s residual equity.

Questions to check before buying either security

  • Am I evaluating the stated rate, the effective yield at my purchase price, or a complete realized-return scenario?
  • Can I tolerate a price decline even if STRC continues to pay a dividend?
  • Would a lower STRC rate change my decision?
  • Do I understand that STRC has no scheduled maturity or automatic $100 redemption?
  • Can I tolerate the greater residual-equity volatility and lack of a preferred dividend entitlement associated with MSTR?
  • Have I considered issuer debt, subsidiary liabilities, bitcoin concentration, financing and regulatory risk?
  • Have I obtained tax advice appropriate to my residence and account type?

Bottom line

STRC and MSTR should not be treated as interchangeable ways to invest in Strategy. STRC offers a variable, cumulative preferred dividend framework and a claim senior to common equity but junior to debt and subsidiary liabilities. MSTR offers residual ownership with no comparable preferred dividend entitlement and more direct sensitivity to the market’s valuation of Strategy and its bitcoin-centered strategy.

The 12.00% STRC rate reported for the current period is a dated company setting, not a guaranteed yield or forecast of total return. For either security, the outcome depends on declarations, market price, issuer condition, bitcoin and financing conditions, taxes and the price at which an investor eventually exits.
