Strategy stock vs. spot bitcoin ETFs: fees, dilution, and bitcoin exposure

Strategy (MSTR) and spot bitcoin exchange-traded products are not interchangeable bitcoin investments. MSTR is common equity in an operating company whose strategy includes holding bitcoin and raising capital through common-stock and preferred-security offerings. A spot bitcoin trust is a share in a vehicle that holds bitcoin and seeks to reflect bitcoin’s price, less sponsor expenses and the effects of trading and trust mechanics.

That distinction determines what you own, how your exposure can change, and which risks sit between you and bitcoin’s price. MSTR adds corporate liabilities, financing decisions, operating-business results and equity-valuation risk. A spot trust generally provides a more direct price linkage, but it still is not direct ownership of coins and its return can differ from bitcoin because of fees, expenses, custody, valuation and market pricing.

What you actually own

Strategy Class A common stock

Buying MSTR gives you common equity in Strategy Inc. (the company changed its name from MicroStrategy Incorporated on August 11, 2025), not a share of a bitcoin trust and not a fixed claim on a specified number of bitcoin. Strategy operates an analytics business and maintains a bitcoin treasury strategy. Your result depends on bitcoin’s market price, the company’s other assets and liabilities, management decisions, financing transactions, operating performance and the price investors are willing to pay for the stock.

Common shareholders also sit within Strategy’s broader capital structure. The company can issue additional Class A common stock through at-the-market programs and can issue preferred securities when management considers the terms advantageous. New securities can alter existing owners’ percentage ownership and the amount of bitcoin represented by each common share. The eventual effect depends on the issue price, proceeds, how those proceeds are used, and the resulting share count and claims senior to common stock.

A spot bitcoin trust or ETF share

A spot product is a share in a trust that holds bitcoin. For example, the stated objective of the iShares Bitcoin Trust (IBIT) is to “seek to reflect the performance of the price of bitcoin.” That is an objective, not a promise of exact tracking. Trust shares can be created or redeemed in baskets by authorized participants. The trust’s filing describes the bitcoin amount attributable to each share after accounting for fees and liabilities.

Owning a share does not give an ordinary investor the ability to withdraw a particular coin or directly control the trust’s wallet. IBIT’s issuer states that the trust is not registered under the Investment Company Act of 1940, so it does not have the same legal requirements as a registered mutual fund or a registered fund operating under that act. An exchange listing does not change that structure.

Neither vehicle removes bitcoin volatility

Both routes are indirect exposure. MSTR adds company and capital-markets risk; a spot trust adds sponsor, custody, valuation, tracking and trading mechanics. In either case, a large move in bitcoin can dominate the result. Your account access, commissions, bid-ask spread, tax circumstances and ability to trade at a price close to underlying value can also affect the outcome.

Side-by-side structure comparison

Dimension Strategy Class A common stock (MSTR) Spot bitcoin trust example (IBIT)
Security represents Equity in Strategy, an operating company with a bitcoin treasury strategy. A share in a trust holding bitcoin and seeking to reflect bitcoin’s price performance.
Recurring published fee No ETF-style sponsor fee for holding common stock is identified in the cited company filing. Trading costs and corporate financing effects still apply. 0.25% annually for IBIT, accrued daily according to its SEC filing.
Other cited spot-trust fees Not applicable. BITB: 0.20% annually; ARKB: 0.21% annually in the cited SEC prospectus material. Confirm current filings and any waivers.
How the share base changes Strategy may issue common stock through ATM programs and issue preferred securities. Issuance changes the denominator and can change claims ahead of common stock. Shares can be created and redeemed in baskets; the trust’s bitcoin-per-share amount changes as fees and liabilities accrue.
Main causes of divergence from bitcoin Corporate assets and liabilities, financing, operating business, management decisions and the market’s valuation of the equity relative to its bitcoin exposure. Sponsor fee, trust expenses or liabilities, trading price versus NAV, and tracking and valuation mechanics.
Shared core risk Bitcoin market volatility.

Fees: the headline percentage is only one cost

Spot-trust sponsor fees

The cited 2026 filings report these annual sponsor fees:

Product Published annual sponsor fee Qualification
IBIT 0.25% Reported in the quarter ended March 31, 2026 SEC filing; accrued daily. See the IBIT Form 10-Q and issuer product page.
BITB 0.20% Reported in the cited 2026 SEC prospectus material; verify the latest prospectus and whether a temporary waiver applies. See the filing.
ARKB 0.21% Reported in the same cited prospectus material; verify current terms before trading. See the filing.

An annual percentage is a recurring charge, not a one-time purchase commission. It is deducted through the trust’s assets, so the amount of bitcoin represented by a share generally declines over time from fees and other liabilities even if bitcoin’s market price is unchanged. The dollar effect depends on the trust’s assets and the period held. Prospectuses can change, and promotional waivers can expire, so check the latest filing rather than relying on an old comparison.

What replaces a sponsor fee for MSTR

Common stock does not charge an ETF-style asset-based sponsor fee simply because you hold it. That does not make it cost-free. You pay the stock’s bid-ask spread and any brokerage commission, while the company incurs financing costs, operating expenses and transaction costs. Capital raising can affect your economic exposure, and the stock can trade at a valuation that differs substantially from the value of the company’s bitcoin and other assets. Those effects are not summarized by one annual fee percentage.

Costs investors often overlook

  • Bid-ask spread: The difference between the available buying and selling prices is an immediate trading cost.
  • Commissions and account charges: Your broker and account type determine whether these apply.
  • Premium or discount to net asset value: A listed share can trade above or below the value of the bitcoin attributed to it. The size and persistence of any difference are market-dependent and must be checked at the time of trade.
  • Tracking and valuation effects: A trust’s reference price, custody arrangements, expenses and creation/redemption process can produce returns that differ from a bitcoin quote.
  • Tax treatment: Tax rules depend on jurisdiction, account type, holding period and individual circumstances; neither structure should be selected on a tax assumption without current professional advice.

Dilution: why the word needs a precise definition

How MSTR issuance can change exposure

Strategy says it evaluates dilution along with liquidity needs, financing costs and other factors when using its common-stock ATM programs or issuing preferred securities. When new common shares are sold, existing holders own a smaller percentage of the company unless they also participate. The bitcoin represented by each common share can rise, fall or remain similar depending on the relationship between the new shares issued and the bitcoin or other assets purchased with the proceeds.

A useful conceptual measure is:

bitcoin per common share = bitcoin held by the company ÷ relevant common-share count

That ratio is only a starting point. Preferred claims, debt, cash, other assets, share-class rights and future issuance affect what common shareholders ultimately own. A share sale above the company’s underlying value can have a different effect from a sale below it; spending proceeds on bitcoin produces a different result from using them for debt repayment or corporate needs. Therefore, “new shares equal dilution” is not enough to determine whether bitcoin exposure per share fell.

Illustrative denominator-and-numerator example

Assume, purely as an illustration, that a company holds 1,000 bitcoin and has 1,000 common shares, or 1.00 bitcoin per share. If it issues 100 shares and uses the proceeds to buy 100 bitcoin, the simplified ratio becomes 1,100 bitcoin divided by 1,100 shares: still 1.00 bitcoin per share. If it issues the same 100 shares but buys only 50 bitcoin, the ratio becomes 1,050 divided by 1,100, or about 0.955 bitcoin per share. If it buys 150 bitcoin, the ratio becomes about 1.045 bitcoin per share. Real capital structures are more complicated, but the example shows why the proceeds and their use matter.

Why spot trusts use different mechanics

Spot trusts do not have an operating company issuing stock to fund a treasury strategy. Authorized participants create or redeem large baskets of trust shares, and the trust’s bitcoin and share count change together. The bitcoin attributable to each share is reduced by sponsor fees and liabilities. This process is designed to keep the market price near net asset value, but trading prices can still move away from NAV and tracking is not perfect.

What drives performance away from bitcoin’s price?

MSTR has an equity-valuation layer

MSTR’s return reflects more than the percentage change in bitcoin. Investors price the company’s bitcoin holdings, cash flows from the analytics business, debt and preferred securities, expected capital raising, management credibility, liquidity and the possibility of future strategic changes. Market sentiment can cause the common stock to rise or fall faster than bitcoin, even when the company’s bitcoin holdings have not changed. A current premium or discount to the value of those holdings requires contemporaneous market prices and filing data; the figures cited here do not establish one.

A spot trust is closer to price exposure, not identical exposure

A spot trust is designed to make the share’s value follow bitcoin more directly. The sponsor fee is a predictable drag, while custody, valuation, trust expenses, creation and redemption, and the secondary-market price can introduce smaller differences. A trust share also has no operating business whose earnings can offset or amplify bitcoin movements.

Volatility is large in both structures

In its risk disclosure, Strategy wrote: “Bitcoin is a highly volatile asset that has traded below $60,000 per bitcoin and above $120,000 per bitcoin on the Coinbase exchange (our principal market for bitcoin) in the 12 months preceding June 30, 2026.” This is a dated range reported by the company in its Form 10-Q for the quarter ended June 30, 2026, not a current quote or forecast.

Historical Strategy figures: useful context, not current exposure

Strategy’s 2025 Form 10-K reported the following as of February 13, 2026:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Figure What it means What it does not establish
717,131 bitcoin Bitcoin holdings reported by Strategy on that date. It is not a current holdings count after later purchases, sales or transfers.
$54.5 billion aggregate purchase price Historical cost basis for those reported purchases. It is not the present market value of the bitcoin or the value attributable to each share.
Approximately $76,027 average purchase price per bitcoin Average historical purchase price, including fees and expenses, as reported by the company. It is not a forecast, a current bitcoin price or a guaranteed support level for MSTR.

Because Strategy can issue securities and change its holdings, any calculation of bitcoin per share, net asset value or a stock premium must use the latest 10-K, 10-Q, earnings release and share-count information available when you make the calculation.

Risk comparison beyond price volatility

Additional MSTR risks

  • Capital-markets dependence: The company may need to access equity or preferred-security markets. Market conditions can affect the price and terms it receives.
  • Financing and senior claims: Debt and preferred securities can create obligations or claims that rank ahead of common equity.
  • Operating-business exposure: Strategy’s analytics business has its own revenue, competitive, execution and technology risks.
  • Custody and counterparty exposure: Holding large amounts of bitcoin requires custody arrangements and service providers that can fail or be compromised.
  • Regulatory, commercial and technical uncertainty: Changes affecting bitcoin, digital-asset markets or the company’s operations can affect the stock.
  • No cash flow from bitcoin itself: Bitcoin holdings do not inherently produce interest or dividends, so liquidity planning and financing decisions remain important.

Additional spot-trust risks

  • Trust structure: The share is an indirect interest in a trust, not a wallet credential or direct title to a specific coin.
  • Sponsor and operating expenses: Fees and liabilities reduce the assets supporting each share.
  • Tracking differences: The reference price, valuation time, custody process and trading frictions can prevent exact replication of bitcoin’s return.
  • Market-price variation: Shares can trade above or below NAV, particularly when market conditions or creation and redemption are stressed.
  • Counterparty and custody exposure: The trust relies on custodians and other service providers, so operational and cybersecurity risks remain.

Which route fits which objective?

There is no universal winner. Match the structure to the exposure you are actually seeking, then verify current terms.

If your priority is… The structure that more directly addresses it Trade-off to examine
Bitcoin-price exposure with fewer company-specific decisions A spot bitcoin trust. Recurring sponsor fee, tracking differences, trust structure and NAV trading.
Participation in Strategy’s corporate strategy and possible financing upside MSTR common stock. Operating-business, financing, dilution, senior-claim and equity-valuation risk.
Avoiding an asset-based sponsor fee MSTR does not identify an ETF-style holding fee for common stock. Trading costs and corporate effects can outweigh a fee comparison.
Exposure represented by a changing pool of bitcoin in a trust A spot trust. The per-share bitcoin amount declines with fees and other liabilities.
Ability to analyze a company’s balance sheet and capital structure MSTR. The analysis is more involved than comparing a fund share with bitcoin’s spot price.

A practical due-diligence process

  1. Define the exposure: Decide whether you want a company whose value includes bitcoin or a trust intended to follow bitcoin’s price.
  2. Read the current primary documents: For MSTR, review the latest 10-K and 10-Q for bitcoin holdings, debt, preferred securities, ATM activity, liquidity and share counts. The cited filings are the June 30, 2026 10-Q and the 2025 10-K. For a trust, read the latest prospectus and periodic report for the sponsor fee, waivers, custody, valuation and creation/redemption rules.
  3. Recalculate the relevant per-share measure: Do not reuse an old bitcoin-per-share or premium calculation. Use the latest bitcoin holdings, common shares, preferred claims, debt and cash, and label assumptions clearly.
  4. Compare total trading costs: Check the live bid-ask spread, commission schedule and any account restrictions for the security you would trade.
  5. Check NAV behavior: For a trust, compare the market price with published NAV over the period that matters to you. For MSTR, recognize that the stock’s valuation relative to its bitcoin and other assets can change independently of bitcoin.
  6. Stress-test volatility: Consider whether you could hold through a large bitcoin drawdown and a period when the stock or trust trades away from underlying value.
  7. Confirm tax and account consequences: Verify treatment for your jurisdiction and account with a qualified adviser before trading.

Questions to answer before placing an order

  • Am I buying common equity in an operating company or a share in a bitcoin-holding trust?
  • What are the current sponsor fee, waiver expiration date and other trust expenses?
  • Has Strategy issued common or preferred securities since the last filing, and how did it use the proceeds?
  • What is the latest bitcoin-per-share or NAV calculation, and which claims and share counts are included?
  • How wide is the current spread, and could the security trade materially away from underlying value?
  • Can my account hold and trade this listed security, and what tax reporting will apply?

Use the latest prospectus, SEC filing and market data for the date of your decision. The 0.25%, 0.20% and 0.21% fee figures above are reported figures from 2026 materials, while Strategy’s holdings and purchase-price figures are historical disclosures as of February 13, 2026.
