Strategy stock (Nasdaq: MSTR) and bitcoin are different investments. Buying MSTR gives you common shares in a public company whose balance sheet and financing strategy are heavily tied to bitcoin. Buying bitcoin directly gives you exposure to the asset itself, with access controlled through your own private keys or a custodian. MSTR adds corporate debt, preferred securities, equity issuance, governance, operating costs, and management decisions; direct ownership adds custody, key-management, cyber, and intermediary risks.
Neither choice is a one-for-one substitute for the other. Strategy’s common shareholders do not own a redeemable slice of the company’s bitcoin, and MSTR’s market value can diverge substantially from bitcoin’s price. The right comparison is therefore not “which is bitcoin?” but “which set of risks and responsibilities fits the exposure I want?”

What you actually own
An MSTR share is corporate equity
When you buy MSTR, you buy common stock in Strategy Inc. Your legal interest is in the company, not in a specified number of bitcoin. Strategy controls its treasury assets, decides how to finance acquisitions, and determines how its capital is allocated. A common shareholder has the rights attached to that class of stock, subject to the company’s charter, other securities, creditors, and applicable securities law.
Strategy describes a financing approach that uses equity and debt capital-market transactions, along with operating cash flows, to accumulate bitcoin. It can also pursue bitcoin-related liquidity strategies. Those decisions affect common equity even when the bitcoin price is unchanged. New share issuance can dilute existing holders; debt and preferred securities can create claims senior to common stock; and restricted access to financing can limit what the company can do.

- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
Direct bitcoin is an asset position
When you buy bitcoin directly, your exposure is to bitcoin’s market price, less transaction, spread, and custody costs. You may hold the coins yourself or leave them with an exchange, broker, or other custodian. In either case, access depends on control of the relevant private keys. If you self-custody, you are responsible for securing the keys and recovery information. If a third party holds the keys, you exchange some personal responsibility for counterparty and platform risk.
Direct ownership does not automatically mean self-custody. A balance shown in an account may represent a claim on a custodian rather than keys you can use yourself. The custody arrangement, withdrawal rules, security controls, and legal terms determine what you can actually access.
At-a-glance comparison
| Question | Strategy common stock (MSTR) | Bitcoin bought directly |
|---|---|---|
| What is held? | Shares in Strategy, a public company with a bitcoin-focused treasury strategy. | Bitcoin held under your control or through a custodian, with access linked to private keys. |
| Source of bitcoin exposure | Indirect exposure through company assets, financing, capital structure, and the stock market’s valuation. | Direct exposure to bitcoin’s market price, before custody and transaction costs. |
| Corporate capital structure | Debt, preferred securities, common-stock issuance, liquidity needs, and management decisions can affect common equity. | No Strategy corporate capital structure. An exchange or custodian can still create intermediary exposure. |
| Custody | Strategy manages custody of its treasury bitcoin. Shareholders do not control the company’s private keys. | You or a custodian manage the keys. Losing or compromising them can permanently remove access. |
| Additional risks | Corporate operations, governance, financing access, regulation, tax and accounting effects, and stock-market valuation. | Protocol, market, custody, cybersecurity, counterparty, regulatory, tax, and accounting risks. |
| Redemption | A common share is not a contractual right to receive a proportional amount of Strategy’s bitcoin. | Bitcoin can be transferred according to the network’s rules, subject to the custody arrangement and transaction process. |
This is a qualitative framework, not a ranking of which investment is safer or more profitable. The risks can overlap, but they are not interchangeable.
What Strategy’s bitcoin strategy means for MSTR holders
The company’s reported holdings are not your personal balance
In its Form 10-Q for the quarter ended June 30, 2026, Strategy reported approximately 846,000 bitcoin, with a carrying value of $49.67 billion on that date. That is an issuer-reported, dated balance—not a real-time count and not the number of bitcoin represented by each share. The filing also said bitcoin had traded below $60,000 and above $120,000 on Coinbase during the preceding 12 months. Those figures describe the filing period and historical range; they are not current quotes.
The company’s holdings are concentrated. A change in bitcoin’s market value can therefore have a material effect on Strategy’s reported results and financial condition. Strategy’s disclosures describe bitcoin as highly volatile and warn that a significant decline could materially adversely affect earnings.
Financing changes the behavior of common equity
Strategy says it generally uses preferred securities and Class A common-stock offerings when it considers those transactions advantageous. Debt, preferred instruments, and common equity have different claims and costs. If the company issues more common stock, each existing share may represent a smaller percentage of the company. If it raises debt or preferred capital, those securities can have payment obligations or priority over common equity.
Financing can also affect the company’s ability to buy, hold, or monetize bitcoin. Strategy’s June 2026 capital-management framework described a U.S.-dollar reserve policy and a bitcoin monetization program. That is a disclosed policy framework, not a promise to sell at a particular bitcoin price or a forecast of future transactions. The company’s actual choices will depend on market conditions, liquidity, securities terms, and management decisions.

Stock valuation can diverge from bitcoin
MSTR’s market value reflects more than the marked value of Strategy’s bitcoin. Investors price the company’s debt and preferred securities, expected dilution, access to capital, operating business, cash needs, governance, tax and accounting effects, and the possibility of future purchases or sales. Sentiment and supply and demand for the shares can also move the stock independently of bitcoin.
As a result, a rise in bitcoin does not guarantee the same percentage rise in MSTR, and a fall in bitcoin does not describe the entire stock risk. The stock can outperform or underperform bitcoin over a chosen period. A meaningful return comparison requires a defined start and end date, price source, treatment of dividends and distributions, and share-count basis; no such comparison is established here.
Shareholders cannot demand the company’s coins
Common stock does not give you a wallet address, private key, or a contractual right to withdraw a proportionate amount of Strategy’s treasury bitcoin. The company controls those assets. A shareholder’s economic outcome depends on the value of the equity after all company-level claims, obligations, and decisions are considered.
How direct bitcoin ownership works
Custodial ownership
With a custodial arrangement, a platform holds the private keys and records your account balance. This can simplify access and recovery, but it introduces reliance on that intermediary’s security, solvency, withdrawal process, compliance decisions, and operational continuity. A problem at the custodian can prevent access even if the bitcoin network itself is operating normally.

With self-custody, you control the private keys. That removes dependence on a custodian for ordinary transfers, but it makes key protection your responsibility. A lost seed phrase, damaged backup, phishing attack, malware infection, or unauthorized disclosure can permanently remove access. The network generally cannot reverse a transfer made with a compromised key.
A hardware wallet can be an optional tool for keeping keys isolated from an internet-connected computer. It is not a guarantee against theft, user error, loss, malicious firmware, poor backup practices, or protocol risk. The important decision is the custody design—how keys are generated, backed up, protected, and recovered—not a particular device brand or model.
Transaction and operational costs
Direct purchases can involve trading spreads, commissions, withdrawal charges, and network fees. Self-custody also requires a process for verifying addresses, testing backups, and planning inheritance or recovery. These costs and responsibilities do not appear as a corporate line item for an MSTR shareholder, but they are part of the practical burden of holding bitcoin directly.

Risk comparison by category
Market and volatility risk
Both choices are exposed to bitcoin-related volatility, but through different channels. Direct bitcoin responds most directly to the market price. MSTR responds to bitcoin plus the market’s assessment of Strategy’s assets, liabilities, financing prospects, and management. Strategy’s filings warn that a significant decline in bitcoin could materially hurt earnings.

Leverage, senior claims, and dilution
MSTR holders face the company’s capital structure. Debt and preferred securities can rank ahead of common equity and may require payments or compliance with terms. New common-stock offerings can dilute existing holders. These effects can magnify the consequences of a bitcoin move, but the direction and size depend on the specific securities and market conditions.
Direct bitcoin has no Strategy debt or preferred-stock layer. If you use a custodian, however, you still face that intermediary’s financial and operational risks. Buying without leverage avoids corporate leverage, but it does not eliminate price volatility or custody risk.
Custody and key risk
Strategy’s treasury bitcoin is held under company-controlled custody arrangements. Shareholders do not select the wallets, sign transactions, or recover keys. Their exposure is to the company’s ability to safeguard and manage those assets.
A direct holder chooses between personal control and third-party custody. Personal control can reduce intermediary dependence but creates a single-user failure mode: losing the key can mean losing the asset. Third-party custody can provide operational support while adding platform, counterparty, withdrawal, and account-access risks.

MSTR includes risks unrelated to the bitcoin protocol: management execution, board and governance decisions, financing access, the operating business, accounting treatment, tax effects, regulatory changes, and liquidity needs. A direct holder does not have those corporate exposures, but still faces regulation, tax treatment, software and protocol changes, cyber threats, and market infrastructure risk.
Liquidity and forced-action risk
Strategy’s ability to raise capital or pursue liquidity strategies can affect common shareholders. A financing window may close, terms may become more expensive, or the company may choose to monetize bitcoin under its disclosed policies. None of those events automatically means insolvency, and the filings do not establish a required bitcoin sale price.

Direct holders decide whether and when to sell, subject to their custodian, trading venue, available liquidity, and transaction process. Self-custody avoids a company’s financing timetable but leaves the holder responsible for arranging a sale or transfer.
A practical decision framework
Use these questions to identify which exposure you are actually considering:
- Do you want a security or the asset? MSTR is equity in a company. Direct bitcoin is an asset position, held personally or through a custodian.
- Are you willing to analyze corporate finance? MSTR requires attention to debt, preferred securities, issuance plans, liquidity, governance, and company disclosures.
- Who should control the keys? Direct ownership requires a deliberate choice between self-custody and a custodian. MSTR leaves custody with Strategy.
- Can you tolerate dilution and senior claims? Common shareholders are affected by future financing and by securities that rank ahead of them.
- What would you do after a large price decline? A plan should distinguish bitcoin volatility from a company-specific financing or governance problem.
- What records do you need? Direct transactions can create detailed acquisition, transfer, and disposal records. MSTR transactions are equity trades, but tax and accounting treatment still depends on your jurisdiction and circumstances.
If your objective is direct control of bitcoin, MSTR does not accomplish that objective. If your objective is exchange-traded equity exposure to a company pursuing a bitcoin treasury strategy, holding bitcoin directly does not reproduce the company’s capital structure or market behavior.
Due diligence before buying MSTR
- Read the latest filings. Start with the most recent Form 10-Q and Form 10-K, then check subsequent financing announcements. Confirm the date of the reported bitcoin balance rather than treating it as current.
- Map the capital structure. Identify outstanding debt, preferred securities, conversion or redemption terms where disclosed, common shares outstanding, and recent or planned issuance. Ask which claims rank ahead of common equity.
- Separate assets from equity value. Do not divide the company’s reported bitcoin by the share price and assume the result is a redemption value. Consider liabilities, other assets, operating cash needs, and dilution.
- Review custody and counterparty disclosures. The annual filing discusses private-key loss, cyberattack, custody, counterparty, regulatory, and liquidity risks. Check how those risks apply to the company’s arrangements.
- Read capital-management language literally. A reserve policy or bitcoin monetization program describes a framework, not a guarantee of future purchases, sales, or prices.
- Define your measurement period. If you later compare MSTR with bitcoin, record the exact dates, price sources, dividends or distributions, fees, and share-count basis.
Due diligence before buying bitcoin directly
- Choose the custody model. Decide whether a regulated intermediary, another custodian, or self-custody fits your ability to manage keys and recovery. “Direct” exposure alone does not answer this question.
- Verify withdrawal and recovery procedures. Before committing a large amount, understand withdrawal limits, address-whitelisting rules, account recovery, and what happens if the platform is unavailable.
- Secure the key material. For self-custody, create backups that are protected from fire, theft, water, unauthorized viewing, and accidental destruction. Never share a seed phrase or private key with support personnel or a website.
- Test with a small transaction. Confirm that you can receive, verify, back up, and send bitcoin before increasing the amount. Check every address on the signing device or trusted display.
- Plan for loss or incapacity. Decide how a trusted person could recover the assets without giving routine access to the keys. Document the process without recording the secret itself in an exposed location.
- Keep transaction records. Save purchase dates, quantities, fees, transfers, and disposal information so you can address tax reporting in your jurisdiction.
Common failure modes and what they mean
“Bitcoin rose, but MSTR fell”
That outcome can occur because the stock reflects financing terms, expected dilution, operating or liquidity concerns, governance, and changing market valuation—not just the company’s bitcoin. Check for a capital-market transaction, a change in the perceived premium or discount, or a company-specific announcement before attributing the move solely to bitcoin.
“The company owns hundreds of thousands of bitcoin, so each share must represent a fixed amount”
The reported approximately 846,000 bitcoin belonged to Strategy as of June 30, 2026. Shares represent equity in the whole company, after its obligations and other securities. The bitcoin balance per share can change when the company buys or sells bitcoin or issues, repurchases, converts, or otherwise changes securities.
“A hardware wallet makes direct ownership safe”
A hardware wallet can reduce some online-key exposure, but it cannot correct a copied seed phrase, an incorrect address, an unsafe backup, a compromised recovery process, or a user-authorized scam. Security depends on the complete operating procedure.
“A price decline automatically means Strategy must sell bitcoin”
The disclosed risks do not establish an automatic sale trigger or a mandatory price. Strategy describes financing and liquidity policies, but actual actions depend on the company’s circumstances and decisions.

“Direct bitcoin has no counterparty risk”
Self-custody can remove an exchange from the holding chain, but buying through an intermediary creates counterparty exposure. Even self-custody involves software, hardware, network, and protocol dependencies. The relevant question is which counterparties and failure modes you are prepared to manage.
Taxes, accounting, and regulation
Strategy identifies tax and accounting effects among the risks associated with its bitcoin strategy. A shareholder’s tax treatment for buying, holding, or selling stock is not automatically the same as an individual’s treatment for buying, transferring, or disposing of bitcoin. Jurisdiction, account type, transaction history, and applicable law matter.
Regulatory treatment can affect both the company and direct holders. Strategy faces rules governing public companies, securities, reporting, financing, and custody. Direct holders face rules affecting digital assets, exchanges, transfers, reporting, and taxation. The filings establish that these areas can change; they do not provide individualized tax or legal advice.

- Would I still want this position if bitcoin were flat but the company’s financing terms changed?
- Would I rather manage a private key or accept a company or custodian managing it?
- Can I explain how dilution, debt, and preferred securities affect common equity?

Frequently asked questions
Is MSTR a bitcoin ETF?
No. MSTR is common stock in Strategy, a public company. Its bitcoin exposure is indirect and can diverge from bitcoin because of corporate assets, liabilities, financing, dilution, operations, and market valuation.
Does owning MSTR give me private-key control?
No. Strategy controls the private keys for its treasury bitcoin. Shareholders own stock and do not receive the company’s keys or a wallet balance.
Is direct bitcoin ownership always self-custody?
No. You can buy bitcoin directly and leave the keys with a custodian. Self-custody is a separate choice that gives you key control while making you responsible for backups, security, and recovery.
How much bitcoin did Strategy hold?
Strategy reported approximately 846,000 bitcoin as of June 30, 2026, with a carrying value of $49.67 billion on that date. The figure is dated and issuer-reported, not a live balance.

Which choice has less risk?
Neither can be labeled universally safer from the available facts. MSTR adds corporate and capital-structure risks to bitcoin-related exposure. Direct bitcoin removes those company risks but requires a custody decision and exposes you to key, cyber, intermediary, protocol, and market risks.
