Strategy is seeking shareholder approval to move its STRC preferred shares from semi-monthly dividends to daily dividend accruals and payments. The proposed change is intended to support price stability and reduce the delay between earning and receiving a dividend, while keeping the regular rate at 12.00% per annum. It does not increase the annual income produced by a $100 STRC share: 12% remains $12 per year before market-price effects, taxes and other considerations.
What Strategy declared
In its September 30, 2026 Form 8-K, Strategy said the regular STRC dividend rate would remain 12.00% per annum for semi-monthly periods beginning on or after October 16, 2026. Management recommended maintaining that rate while STRC works toward sustained, healthy trading near $100.

The board made two related declarations:
- Period ending October 31, 2026: $0.50 per STRC share, payable October 31 to shareholders of record on October 15.
- Period ending November 15, 2026: $0.50 per share, but only if the proposed daily-dividend amendments are approved and the amended STRC certificate is filed and becomes effective on time.
The October payment is the normal semi-monthly dividend already declared. The November 15 declaration is a bridge arrangement: if the daily structure starts November 1, daily accruals and payments replace that conditional semi-monthly payment.

Strategy scheduled a shareholder vote at its 2026 special meeting, with voting materials scheduled to begin mailing October 5. If shareholders approve the amendments and the amended certificate is timely filed and effective, November 1, 2026 is the first daily STRC dividend record date. The first payment under that structure would be made November 2.

Until the required vote and filings are complete, investors should treat daily payments as proposed rather than guaranteed. The governing certificate, prospectus, SEC filings and applicable law control if they differ from an investor presentation or webpage.
Current and proposed structures compared
| Feature | Current semi-monthly structure | Proposed daily structure |
|---|---|---|
| Payment frequency | Semi-monthly | Daily accruals and payments |
| Regular annual rate | 12.00% per annum for the applicable periods | 12.00% per annum, subject to the governing terms and company actions |
| Near-term dates | $0.50 for the period ending October 31; payable October 31 to October 15 record holders | First proposed record date November 1; first proposed payment November 2 |
| Approval required | No new approval for the already declared October payment | Shareholder approval plus timely filing and effectiveness of the amended certificate |
| Cash timing | Larger, less frequent payments | Smaller, more frequent payments intended to reduce reinvestment lag |
| Price objective | Strategy currently intends for STRC to trade around $99-$100, but this is not a contractual guarantee or an automatic rate formula | |
Why Strategy is proposing daily dividends
Reducing reinvestment lag
Strategy says the change is designed to “reduce reinvestment lag.” Receiving cash daily can let an investor reinvest sooner than waiting for a semi-monthly distribution, although the practical benefit depends on brokerage processing, fees, tax treatment and what investment is available.

Supporting price stability
The proposal also aims to “support price stability.” Strategy’s stated objective is for STRC to trade around $99-$100, and management has recommended keeping the 12.00% rate while the shares establish sustained, healthy trading near $100. The company’s investor briefing emphasizes that “No single input determines the rate.” There is no disclosed automatic price-only formula that raises or lowers the rate whenever STRC crosses a particular price.

Strategy reported approximately $150 million in 30-day average daily trading volume as of October 8, 2026. That points to an actively traded preferred security at that measurement date, but volume can change and does not guarantee a particular bid-ask spread or execution price.
Does paying daily increase annual income?
No. At a $100 stated amount, a 12% annual rate equals $12 per year. Daily payments divide that annual amount into smaller accruals and distributions, with periodic true-ups, rather than creating an additional annual return. The amount an investor actually earns can differ because STRC is traded in the market: buying above or below $100 changes the effective yield, and selling at a gain or loss changes total return.
Daily cash also does not eliminate ordinary investment constraints. A brokerage may credit payments on its own timetable, taxes may apply when dividends are received, and reinvesting every day can produce different results depending on price and transaction costs.

Important risks and limits
- Approval and filing risk: The daily structure depends on the shareholder vote and an amended certificate being filed and effective on time.
- Dividend declaration risk: STRC is perpetual preferred equity, not a bank deposit or debt instrument. Cash dividends are not guaranteed; payments require board declaration and legally available funds.
- Market-price risk: The $99-$100 objective is a current intention, not a promise. STRC can trade materially above or below its $100 stated amount.
- Rate risk: The rate can change under the governing certificate and company policy. The current 12.00% recommendation is not an irrevocable contractual commitment.
- Yield misunderstanding: The quoted annual rate is tied to the stated amount, while an investor’s effective yield depends on the purchase price and any later sale price.
What STRC holders should check now
- Confirm the record-date and payment-date treatment for the October 31 dividend with your broker.
- Review the proxy materials for the 2026 special meeting and vote if you want your shares counted.
- Check whether the amended certificate has both been filed and become effective before assuming daily payments have started.
- Read the filed certificate and prospectus, not only a presentation or webpage, for the controlling dividend terms.
- Compare the market price with the $100 stated amount before estimating your personal yield.
Bottom line for investors
Strategy’s plan changes the timing of STRC’s distributions, not the basic annual arithmetic: 12.00% on a $100 stated amount is $12 per year. The October 31 semi-monthly payment is already declared, while the November 15 payment is conditional because it is intended to bridge the proposed November 1 start of daily dividends. Daily payments remain contingent on shareholder approval and effective filings, and neither the $100 trading objective nor future cash dividends is guaranteed.
