Startup funding disputes usually begin when the deal described in a term sheet differs from the signed financing documents, a closing condition or milestone is disputed, governance rights are misunderstood, or the securities offering was not handled correctly. The practical response is to assemble the complete executed deal package, identify the governing law and dispute procedures, preserve evidence, and obtain jurisdiction-specific legal advice before a closing deadline or claim becomes harder to manage.
This guide focuses on U.S. venture financings, with Delaware contract law and U.S. Securities and Exchange Commission (SEC) guidance as examples. A Delaware decision does not make every term sheet binding, and SEC guidance does not decide the merits of an individual claim. The company’s signed agreements, approvals, transaction structure and governing law control.

What a funding-round dispute involves
A financing round is not a single document. It is normally a coordinated package that can include a term sheet, certificate of incorporation or amendment, stock purchase agreement, investors’ rights agreement, voting agreement, and right-of-first-refusal or co-sale agreement. Side letters, bridge instruments, confidentiality provisions, exclusivity commitments and written waivers may also affect the parties’ obligations.

Investors and founders may disagree about whether a condition to closing was satisfied, whether a tranche milestone was achieved, who could waive a requirement, whether a board or stockholder approval was obtained, or whether a later contract changed a preliminary term. Private-company shares may also be difficult to transfer, creating disputes when an investor expects liquidity that the documents or securities laws do not permit.

Which documents determine the parties’ rights?
Read the signed documents together rather than treating the term sheet as the entire deal. The following instruments commonly allocate different rights:
| Document or record | What it may address | Questions to check |
|---|---|---|
| Term sheet | Headline economics, proposed security, conditions, exclusivity, confidentiality and negotiation commitments | Which clauses are expressly binding? Does it incorporate another document? Is there a governing-law or forum clause? |
| Charter or certificate amendment | Share classes, liquidation preferences, conversion, voting and protective provisions | Was it properly approved and filed? Does it match the stock purchase agreement? |
| Stock purchase agreement | Shares issued, price, representations, warranties, closing conditions and termination rights | What evidence proves each condition? Who may waive it, and in what form? |
| Investors’ rights agreement | Information, registration, participation and other continuing investor rights | Do reporting duties and consent thresholds align with the charter? |
| Voting agreement | Board election and stockholder voting commitments | Which matters require specified votes, and for how long? |
| Right-of-first-refusal/co-sale agreement | Restrictions and procedures for transfers by founders or other holders | What notice, timing and response rules apply to a proposed sale? |
| Cap table, approvals and closing records | Ownership, authorization and proof that the transaction occurred | Do issued shares, board minutes, stockholder consents and payment records reconcile? |
The National Venture Capital Association (NVCA) describes its model legal documents as industry model forms and a starting point to tailor, not universal legal advice. Its materials cover core agreements and mechanics such as time- or milestone-based tranches. A company should not assume that downloading a model form resolves conflicts between its actual documents.
Common causes of startup financing disputes
Preliminary terms and final agreements do not match
A term sheet may state that most provisions are nonbinding while separately binding the parties to confidentiality, exclusivity, expenses or good-faith negotiations. Later documents may omit a term, define it differently or leave a material point open. The resulting question is document-specific: what did the parties sign, what did they incorporate, and what obligation was intended to survive?
Closing conditions are vague or disputed
Financings often require specified representations to remain accurate, delivery of legal opinions, regulatory or corporate approvals, completion of diligence, or the absence of a defined adverse event. Conflict arises when a party says a condition was not met, was waived, or changed materially between signing and closing. Drafting should identify the evidence required, the decision-maker, the date for testing the condition, and whether a notice-and-cure process applies.

Milestone and tranche mechanics are undefined
In a tranched financing, a later installment may depend on revenue, product, regulatory, hiring or other milestones. A target is not operationally clear unless the agreement specifies the measurement method, data source, measurement date, decision-maker, notice of failure, cure period and consequence. Otherwise, one side may view the milestone as objective while the other treats it as discretionary.
Governance and consent rights collide
Board designation, voting commitments, protective provisions, information rights and transfer restrictions can be distributed across the charter and several contracts. A board action may require a class vote, an investor consent or a contractual notice even when the corporate statute alone would permit it. Confusion over which instrument controls can turn an ordinary financing or operating decision into a claim for breach.

Private-company securities sales remain subject to federal securities regulation. Errors involving an exemption, investor eligibility, required filings or misleading disclosures can create liability, rescission-related exposure and reputational damage that affects later fundraising. The SEC states that it regulates offers and sales of all securities, including those by private companies; compliance must be assessed for the actual offering structure.
Liquidity expectations exceed legal transfer rights
Investors may expect a secondary sale, redemption or other liquidity event, while private-company shares are often illiquid. Securities laws, the charter and transfer agreements may restrict a sale or require a right-of-first-refusal or co-sale process. A missed notice, an unauthorized transfer or an assumption that a private share can be freely sold can create a separate dispute.
When can a term sheet be enforceable?
There is no universal rule that a term sheet is either binding or nonbinding. Courts examine the wording, the parties’ conduct, incorporated documents and the specific obligation at issue. A document can make economic terms nonbinding while creating enforceable duties concerning confidentiality, exclusivity or negotiation procedure.

The Delaware Supreme Court’s decision in SIGA Technologies, Inc. v. PharmAthene, Inc. illustrates the distinction. The parties had signed agreements that expressly required good-faith negotiations by reference to a term sheet. The court reaffirmed: “We reaffirm that where parties agree to negotiate in good faith in accordance with a term sheet, that obligation to negotiate in good faith is enforceable.” The court also held that expectation damages may be available when the evidence supports a finding that the parties would have reached an agreement but for bad-faith negotiation.

That holding arose from particular signed agreements and extensive factual findings. It does not create a general right to enforce an unsigned or mostly nonbinding term sheet, compel every investor to close, or guarantee lost-profit damages. The governing law in another state or country may analyze the documents differently.
What to do when a dispute appears
Act methodically before sending an accusation, refusing to close or destroying a business relationship. A financing deadline or statutory limitation period can make delay costly.
- Collect the complete record. Gather the signed term sheet, definitive agreements, amendments, side letters, cap table, issuance records, board and stockholder approvals, diligence materials, milestone reports, notices, waivers, payment evidence and relevant messages.
- Make a document-control chart. For each disputed point, record the exact clause, document date, defined terms, amendment history and any conflict rule stating which document controls.
- Identify procedural requirements. Check governing-law and forum clauses, notice addresses, deadlines, cure periods, mediation or arbitration requirements, fee provisions and conditions for termination.
- Preserve evidence. Suspend routine deletion for relevant email, messaging, financial and product records. Keep dated copies of redlines, approvals and milestone data.
- Separate business negotiation from legal positions. A proposed compromise, waiver or extension should state whether it is binding and who has authority to approve it.
- Obtain qualified counsel early. Counsel can assess contract, corporate, securities and tax issues together, especially if closing, rescission, a demand letter or a filing deadline is imminent.
Resolution options and how to choose among them
The best route depends on the strength of the written obligation, urgency, confidentiality needs, cost and the remedy realistically available under the governing law.
| Route | When it may fit | Trade-offs to assess |
|---|---|---|
| Continued negotiation | The relationship remains valuable and the disagreement may be cured by clarification, a waiver, revised milestones or an amended closing schedule | Can preserve the deal, but informal concessions may create unintended waivers or delay |
| Contractual notice and cure | The agreement requires notice before termination or a claim | Missing the specified method or deadline can weaken a position; document delivery and receipt |
| Mediation | Parties want a confidential, nonbinding process with a neutral facilitator | Usually requires cooperation and does not itself compel performance |
| Arbitration | A signed agreement requires or permits arbitration | May be private and streamlined, but scope, emergency relief, costs and appeal rights are limited by the clause and applicable law |
| Litigation | A party needs a court order, damages or a declaration and the forum clause permits it | Public, expensive and disruptive; success depends on proof, jurisdiction and available remedies |
| Securities-law response | There may be an offering-exemption, disclosure or filing defect | Potential liability and rescission consequences are fact-specific and may involve regulators as well as private claims |
Do not assume that a court can force a closing, award lost profits or permit a private-share transfer. Those outcomes depend on the contract, proof, equitable principles, securities restrictions and governing law.

What the SEC rules mean for a private round
The SEC’s “Private Companies and the SEC” guidance states that the agency regulates the offer and sale of all securities, including those offered and sold by private companies. A financing must fit an available registration exemption or be registered, and the company must satisfy the conditions of the exemption it relies on.
For example, current SEC small-business guidance for Rule 506(b) states that Form D is filed within 15 days after the first sale. That timing applies to the guidance’s Rule 506(b) context; it should not be generalized to every financing structure. Investor accreditation, solicitation, disclosure and state-law requirements may differ by exemption and transaction.
If compliance is questioned, preserve subscription agreements, questionnaires, disclosure packages, investor communications, filings and evidence of payment. A securities-law issue can affect the current round and later rounds, so it should be reviewed separately from a disagreement over valuation or governance.
Prevention: build an auditable financing process
Make the term sheet a precise drafting map
Mark every provision as binding, nonbinding or subject to a later definitive agreement. State which clauses survive termination, identify any exclusivity period and specify the governing law and forum. Include a conflict rule for the term sheet and final agreements so the parties do not debate hierarchy later.

Define conditions, milestones and waivers objectively
Use measurable tests, named data sources, fixed measurement dates and a responsible decision-maker. State how notice is given, whether the recipient has a cure opportunity, how a disputed result is reviewed and whether a missed milestone delays, reduces or terminates funding. Require written waivers from the person or body authorized to give them.
Best Value
Map governance rights across documents
Create a schedule showing board seats, voting commitments, protective provisions, information rights, transfer restrictions and consent thresholds. Reconcile the schedule with the charter, investors’ rights agreement, voting agreement and transfer agreement. Confirm that corporate approvals and filings match the rights promised to investors.
Control versions and approvals
Maintain a dated execution set, redline history, approval minutes, stock ledgers, wire confirmations and closing checklist. Limit signature authority and record who approved amendments, waivers and milestone determinations. A clean record often resolves factual disputes before they become litigation.
Handle securities compliance as a workstream
With qualified counsel, confirm the exemption, investor eligibility, disclosure package, state notices and federal filings. Do not treat a private placement as outside securities regulation, and do not copy a model form without adapting it to the company, investors, jurisdiction and security.
Use diligence and legal review proportionately
NVCA’s operating principles recommend reasonable diligence and legal review, while its model-document page emphasizes that forms are starting points to tailor. Review intellectual property, capitalization, debt, employment, privacy, regulatory and litigation issues that could affect representations or closing conditions.
Questions to ask before signing or closing
- Which exact clauses are binding now, and which require definitive agreements?
- What event permits a party to delay, refuse or terminate the closing?
- Who decides whether a condition or milestone is satisfied, and what evidence is conclusive?
- Can a disputed milestone be cured, independently reviewed or waived?
- Which document controls if the charter, term sheet and purchase agreement conflict?
- What board, stockholder, class or investor approvals are required?
- What notices, filings and exemption conditions apply to this offering?
- Are transfers, secondary sales or liquidity events restricted by contract or securities law?
- What notice, mediation, arbitration, forum, fee and attorney-cost provisions apply?
- Is the requested remedy legally available and provable on the current record?
When specialist advice is urgent
Seek startup-financing counsel promptly if an investor threatens to withdraw after signing, a closing condition is disputed, a tranche is withheld, a board or stockholder approval is challenged, a securities exemption may have failed, or a demand letter or arbitration notice arrives. Bring the executed documents and a chronology rather than relying on memory or an unsigned draft. Counsel in the governing jurisdiction can distinguish a negotiable business issue from a breach, statutory exposure or deadline that requires immediate action.
