Sources: Seagate and Toshiba Vie for TDK’s HDD Head Business

Seagate and Toshiba are reportedly competing to acquire TDK’s hard-disk-drive (HDD) magnetic-head business, but TDK has not confirmed a sale or selected a buyer. Bloomberg reported on October 6, 2026, citing people familiar with private discussions, that Toshiba began talks in spring and Seagate made a higher offer in summer. Bloomberg said a possible transaction could be worth as much as several billion dollars. TDK said the same day that media reports about the business were not based on a company announcement and that it had made no decisions.

What is confirmed—and what is only reported?

TDK’s public position is that it has made no decision about its HDD-head business. In its October 6, 2026 statement, the company said: “Certain media reports have been published regarding HDD head business of the Company. However, these reports are not based on any announcement made by the Company.” TDK’s statement does not confirm negotiations, a sale process, or a transaction.

The bidding account comes from Bloomberg, which reported that Seagate Technology Holdings Plc and Toshiba Corporation were competing for the business. Its reported timeline and the potential value—up to several billion dollars—are attributed to unnamed people familiar with the discussions, not to TDK. As of October 7, 2026, the available statements establish neither a winning bidder nor a completed or signed deal. Bloomberg’s report is partly paywalled.

What does TDK’s HDD-head business make?

Magnetic heads are specialized components that read and write data on HDD platters. TDK’s materials discuss both HDD heads and suspension assemblies—the components that position the head over the disk. These are parts of the drive-manufacturing supply chain, not consumer replacement products.

TDK’s FY March 2026 briefing describes investment in recording heads and related technology. It says demand for nearline HDDs is increasing alongside demand for high-capacity storage, and that drive makers are seeking to raise capacity per unit rather than simply increase the number of drives. TDK identifies microwave-assisted magnetic recording (MAMR), heat-assisted magnetic recording (HAMR), and tri-stage actuator suspension (Tri-SA) among its HDD priorities. TDK’s FY March 2026 briefing says MAMR heads had been in mass production since 2021; its statement that HAMR head mass production was expected in two years was a forecast from that presentation, not confirmation that mass production has since begun.

Why are Seagate and Toshiba interested?

Bloomberg’s account places the reported competition in the context of demand for data-center storage. A manufacturer that gains access to a specialized head business could strengthen its position in the supply chain or gain closer access to technology and production capacity. That is a possible strategic rationale, not a confirmed motive or an established consequence of a transaction.

TDK’s own description helps explain why the component matters: its Magnetic Heads Business Company has prioritized MAMR, HAMR development, and Tri-SA suspensions for high-capacity nearline drives. In TDK’s 2025 integrated report, business-company CEO Albert Ong described its mission as “to maintain its status as the premier independent manufacturer in magnetic head storage, meeting the demands of the large-capacity data storage era.” TDK’s 2025 integrated report reflects the company’s stated priorities; it does not establish how a change of ownership would affect customers or competitors.

How Toshiba’s HDD roadmap fits the story

Toshiba is itself pursuing higher-capacity data-center HDDs. In an October 14, 2025 release, the company said it had verified 12-disk stacking technology and aimed to introduce 40TB-class 3.5-inch data-center HDDs in 2027 by combining that technology with MAMR. That is a company target, not evidence that those drives were already shipping. Toshiba also noted that formatted capacity can vary. Toshiba’s announcement shows its stated roadmap, but does not confirm why it may be pursuing TDK’s business.

What remains unknown

TDK has not announced a sale or a decision, and Bloomberg’s reported bidding details remain attributed to unnamed sources. The available statements do not establish deal terms, financing, regulatory review, the identity of a selected buyer, or what a transaction would mean for component availability and customer access. Any claim about those outcomes would be speculation until the companies provide further information.
