Sources: Decagon hires bank for acquisition interest as ServiceNow talks remain preliminary

Decagon has hired a bank to evaluate acquisition interest and has held early discussions with ServiceNow and other potential buyers, according to a report published October 13, 2026. No acquisition has been announced: there is no confirmed buyer, signed agreement, purchase price, exclusivity arrangement or board approval.

What the October 13 report says

The reported process is at an exploratory stage. Decagon is said to have engaged a bank to assess interest from possible acquirers and to have spoken with ServiceNow among other companies. “Early discussions” can cover anything from an initial approach to preliminary strategic conversations; it does not indicate that negotiations have reached definitive terms.

Business Insider was cited as the source for the report. Neither Decagon nor ServiceNow has announced a transaction in the information available for this report. Until a company confirms a signed agreement, readers should treat the ServiceNow angle as reported interest rather than a pending acquisition.

Did ServiceNow try to buy Decagon?

The available reporting supports only this narrower answer: ServiceNow was named as one of the companies involved in preliminary discussions. It does not establish that ServiceNow made a formal offer, that Decagon selected it, or that a deal is likely to close.

ServiceNow is a plausible strategic name because it sells enterprise workflow and AI-agent products to many of the same large organizations that buy customer-service automation. That overlap explains why the companies might talk, but market overlap is not evidence of an agreement. Other potential buyers were mentioned without being identified publicly.

What Decagon’s AI customer-service software does

Founded in 2023 by Jesse Zhang and Ashwin Sreenivas, Decagon provides AI agents for enterprise customer-service operations. The agents can handle interactions through chat, email and voice rather than being limited to a single support channel.

Examples described in company and media coverage include tracking orders, issuing returns and booking travel. In practice, the value proposition is not simply answering questions: an agent is intended to complete a service workflow, use the company’s underlying systems and resolve an inquiry without handing every step to a human representative.

Bloomberg reported that Decagon added more than 100 corporate clients in the preceding year, naming Avis Budget Group and Deutsche Telekom among them. That customer growth is one reason a large enterprise-software company could view Decagon as a distribution or product-extension opportunity, although customer counts do not by themselves establish revenue, profitability or retention.

Decagon’s funding and private valuation timeline

Date Event Reported valuation or amount What it establishes
January 28, 2026 Series D financing reported by Bloomberg $250 million raised at a $4.5 billion valuation The financing was led by Coatue Management and Index Ventures, with existing investors including Andreessen Horowitz, Accel and Bain Capital Ventures.
March 4, 2026 First employee tender offer announced by Decagon Same $4.5 billion valuation Decagon said the tender was led by its Series D investors, allowing employees to sell vested shares.
March 4, 2026 Employee participation details reported by TechCrunch More than 300 employees could sell a portion of vested shares The report describes a liquidity opportunity for employees, not a sale of the company.

The $4.5 billion figure is therefore a private financing and tender-offer valuation reported in 2026. It is not a public-market price, and it does not guarantee that an acquirer would pay that amount. A purchase price could be higher, lower or structured with cash, stock, earn-outs or other conditions.

Why a buyer might want Decagon

Any prospective acquirer would likely assess Decagon along several strategic and financial dimensions:

  • Workflow overlap: whether Decagon’s customer-service agents complement existing enterprise workflow and automation products.
  • Distribution: whether the buyer can introduce the agents to a large installed customer base instead of building that reach from scratch.
  • Integration and governance: whether the buyer can connect the product to enterprise data, permissions, security controls and service-management processes.
  • Financing capacity: whether the buyer can support a transaction at a price informed by Decagon’s $4.5 billion private valuation.
  • Product independence: whether Decagon’s roadmap would remain intact or be absorbed, narrowed or replaced by the buyer’s existing tools.

For ServiceNow specifically, the strongest strategic case would be combining Decagon’s customer-facing agents with enterprise workflow infrastructure and distribution. The main uncertainty is execution: integrating an independent agent platform can affect its product roadmap, customer relationships and ability to serve companies outside the acquirer’s ecosystem.

What the employee tender offer means

Decagon’s March 4 announcement was an employee liquidity event, not an acquisition announcement. The company said the tender was conducted at the same $4.5 billion valuation as the Series D. Chief executive Jesse Zhang wrote: “At Decagon, we want our team to be able to benefit from the equity they’ve earned, and we seek opportunities for more prosperity as we build together.”

Because the tender involved vested employee shares, it gives some employees a way to realize part of their equity without waiting for an acquisition or initial public offering. It also provides a recent reference point for the company’s private valuation, while leaving ownership and control of the business unchanged unless separately disclosed.

What would confirm an acquisition

The current report does not establish a transaction. More definitive evidence would include:

  • a joint announcement from Decagon and a named buyer;
  • 공개 terms such as purchase price, consideration, closing conditions or an expected completion date;
  • regulatory or shareholder filings where applicable;
  • confirmation that Decagon’s board approved a definitive agreement; or
  • statements describing exclusivity, integration plans or the future of Decagon’s product.

Until one of those milestones occurs, the most accurate description is that Decagon is evaluating acquisition interest and has held preliminary discussions, including with ServiceNow.

Bottom line on Decagon’s $4.5 billion valuation and sale talks

Decagon was reported at a $4.5 billion valuation after a $250 million January 2026 financing, and the company later offered employees liquidity at that same valuation. On October 13, 2026, reports said it hired a bank and began early conversations with possible buyers. ServiceNow is one reported participant, but no acquisition has been announced and no buyer, price or deal terms are confirmed.
