What happened in the August pledge?
ScanX reported that Smiti Holding and Trading Company Private Limited pledged 41,66,000 Asian Paints shares to Bajaj Finance on August 6, 2026, as loan collateral. It said the disclosure was submitted to BSE and NSE on August 7 under Regulations 31(1) and 31(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations.

After the transaction, the report put Smiti Holding’s total encumbered Asian Paints shares at 4,03,84,000, equal to 4.21% of the company’s share capital. These are figures reported by ScanX; the underlying exchange filing was not independently verified here. ScanX’s August report.

It is the rounded form of the post-transaction cumulative total—4,03,84,000 encumbered shares—not the August pledge itself. The newly pledged amount was 41,66,000 shares, or 41.66 lakh. In other words, the headline-sized number describes the total reported as encumbered after the transaction, while the smaller figure describes the new pledge to Bajaj Finance.

How does the September report differ?
A separate ScanX report describes later pledges on September 16–17, 2026. It says Smiti pledged 26.79 lakh additional shares across lenders, including 6.11 lakh to Bajaj Finance, and reported a post-pledge encumbered total of 3,86,70,000 shares, or 4.03% of Asian Paints’ share capital. The September report’s total and percentage differ from the August report’s figures. They relate to a distinct later event and should be quoted with their own dates and context, not combined into a single running figure.

What is known—and not known—about the pledge?
The reports describe the shares as pledged for a loan. They do not establish how any loan proceeds were used or specify repayment terms or covenants. The August report concerns an encumbrance of promoter-held shares; it does not report a resulting change to Asian Paints’ operations or financial performance.
