Skydance’s Media Giant: Big Assets, Big Debt and Bigger Challenges After the WBD Deal

Skydance’s media business now includes Paramount and Warner Bros. after Paramount completed its acquisition of Warner Bros. Discovery (WBD) on October 6, 2026. The deal adds major studios, streaming services, libraries and news organizations—but also substantial debt and a difficult integration. It is a separate transaction from Skydance’s 2025 combination with Paramount.

How Skydance became a larger media company

Skydance and Paramount became subsidiaries of Paramount Skydance Corporation on August 7, 2025. A little over a year later, on October 6, 2026, Paramount completed its acquisition of WBD. That sequence matters: the 2025 combination created Paramount Skydance; the 2026 transaction brought WBD into the group.

The Associated Press reported the WBD acquisition at $81 billion excluding debt and nearly $111 billion including debt. Those are transaction-value measures, not the company’s net debt after closing.

What does Skydance own now?

The combined portfolio brings together two major Hollywood studios, a group of streaming services, extensive film and television libraries, broadcast and cable networks, and the CNN and CBS News organizations. Among the well-known properties in the libraries are Star Trek, Top Gun, Harry Potter, Superman, Barbie and The Godfather. Their inclusion in the portfolio does not mean every title is available on every service.

  • Studios: Paramount Pictures and Warner Bros.
  • Streaming services: Paramount+, HBO Max, Discovery+, Pluto TV and BET+.
  • News: CBS News and CNN, now under common ownership.

The breadth of the portfolio is a potential advantage: the company can draw on more titles, brands and distribution outlets. It also has to decide how to manage overlapping businesses and where to invest across a much larger collection of assets.

How large is the company, and how much debt did it take on?

The figures reported after the WBD acquisition use different bases and should not be treated as interchangeable. The transaction value, the estimated net debt, and revenue figures each describe something different.

Measure Reported figure What it represents
WBD acquisition value $81 billion excluding debt; nearly $111 billion including debt Transaction-value figures reported by the Associated Press in 2026; not post-close net debt.
Estimated net debt after the acquisition Around $80 billion Morningstar estimate, as reported by the Associated Press in 2026; not an audited company figure.
Annual revenue after the acquisition Nearly $70 billion Company-reported figure from Skydance, as reported by the Associated Press in 2026.
Combined revenue for the 12 months ended in June $65.3 billion FactSet figure, as reported by the Associated Press in 2026. This covers a specified period and is a separate reported measure from Skydance’s nearly $70 billion figure.
Share of total TV viewing in July 11.8%: Paramount 6.5% plus WBD 5.3% Nielsen figure, as reported by the Associated Press in 2026.

The estimated net debt makes financing and repayment a central challenge alongside the integration itself. The company will need to weigh investment and cost reductions against debt management in a changing media market. These October 2026 figures are snapshots; financing and operations may change as integration proceeds.

Will Paramount+ and HBO Max become one streaming service?

Skydance said it planned to unify its streaming products into a single service over time. The Associated Press reported that the name, consumer pricing, launch timing and effect on consumer choice were not established. The services remain distinct products in the cited reporting; a completed consolidation should not be assumed.

CEO David Ellison said, “Our viewpoint is, HBO should stay HBO.” He described the strategy as allowing content to reach a broader audience through the platforms. The comment expresses his stated approach, not a finalized product design or guarantee that each service will remain unchanged.

One reported market-share figure needs careful interpretation: JustWatch put Paramount+ and HBO Max together at 14% of the U.S. streaming market. Nielsen’s separate 11.8% figure measures total TV viewing in July for Paramount and WBD properties. They cover different markets and are not directly comparable.

What commitments apply to film production and theatrical releases?

As reported by the Associated Press in connection with settlement terms, Skydance committed to release 30 theatrical films annually for the first two years, followed by 32 annually for the next three years. Only half of those films need to be produced or jointly produced by the combined company. Skydance also committed to at least $1.5 billion in additional U.S. film-production spending over five years.

These are commitments, not evidence of box-office demand, commercial success, or which specific projects will be made. Their practical significance will depend on execution and on what audiences choose to watch.

What challenges does the combined company face?

Debt and integration

Bringing the businesses together requires decisions about operations, technology, distribution and investment while the company manages a large financing burden. Expected synergies may depend on making difficult changes, and the eventual results are not yet established.

Cost reductions and employment

Regulatory filings discussed in Associated Press coverage indicated that the new ownership would pursue cost reductions, including layoffs and downsizing overlapping operations. Industry participants and critics have raised concerns about job losses and which creative projects will receive funding. These are expected plans and expressed concerns—not confirmation that particular cuts have already happened or that specific projects will be cancelled.

Competition and consumer choice

A combined studio and streaming portfolio gives one company more entertainment assets and distribution options. At the same time, the eventual shape of its streaming offer remains uncertain: a future unified service could affect pricing and consumer choice, but the reported plan does not yet specify its price, name or launch date.

News independence and ownership influence

Common ownership of CNN and CBS News has drawn scrutiny, including because of the Ellison family’s relationship with President Donald Trump. Ellison said CNN’s editorial independence would be maintained. The September settlement with states also called for a “News Editorial Independence Board.” These are stated commitments and settlement provisions; they do not independently establish how newsroom decisions will be made in practice.

The Associated Press also reported that the FCC approved indirect Gulf sovereign-fund ownership that could reach nearly 50% of equity interests without voting rights, and approved a request allowing for potential future investment up to 100%. Critics raised concerns about possible influence. The distinction between economic ownership and voting rights is material, and the reported potential for future investment should not be described as a completed ownership stake.

What the scale does—and does not—tell us

The acquisition gives Paramount Skydance a broader collection of studios, franchises, services and news organizations. Scale alone does not establish that the combined business will reduce costs successfully, keep creative output healthy, improve streaming value for subscribers, or preserve newsroom independence. Those outcomes depend on decisions and performance that the October 2026 reports do not yet settle.
