Should You Acquire a Healthcare Center or Build One in the GCC? Costs, Risks and Trade-Offs

Acquire a healthcare center when a suitable target’s operating value—its license scope, staff, patient base and commercial relationships—can be verified and retained after closing. Build organically when control over location, design or service mix is essential and you can fund approvals, construction, hiring and patient ramp-up. Neither route is inherently cheaper or faster across the GCC: the answer depends on the country, facility class, ownership structure, site and scope of services.

What counts as a healthcare “center” changes the decision

A medical center, specialized clinic, one-day surgery center and hospital are not interchangeable investments. They can have different capacity, service, site and approval requirements. Before comparing a purchase with a new build, define the facility category, specialties, intended capacity and catchment area. Compare options that can deliver roughly the same services to the same population; otherwise, apparent differences in cost or speed may reflect different projects rather than different entry routes.

The GCC is not a single licensing jurisdiction. Confirm the country, city or emirate, applicable health authority, facility classification and ownership vehicle before assuming that an existing license can transfer or that a proposed project is eligible for approval. For example, Saudi Arabia’s Ministry of Health licensing service includes issuing, renewing, cancelling and transferring ownership of health-facility licenses. That does not establish that a particular transaction can operate solely through a transfer; the transaction structure and other applicable approvals still need to be checked.

Abu Dhabi’s Department of Health describes foreign-owned facility eligibility by facility class and capacity or specialty need. Its guidance, for example, ties certain hospital categories to a 50-bed minimum and the Healthcare Capacity Master Plan, while medical centers, one-day surgery centers and specialized clinics are discussed in relation to rare or undersupplied specialties in that plan. These are Abu Dhabi-specific conditions, not a GCC-wide ownership rule. The Department also cautions that a DoH license does not necessarily provide insurance coverage or government land.

Compare total capital and recurring costs, not headline prices

A purchase price is not the full capital required to acquire and stabilize an operating center. Nor is a construction or fit-out quote the full cost of a new one. Abu Dhabi’s Health Facility Guidelines identify capital (construction) and recurrent (running) costs as separate elements of feasibility and advise assessing both early. The guidelines also caution that varying inclusions and costing methods make benchmarks less reliable. Request a common scope and define what is included before comparing offers or estimates.

Cost or operating question Acquisition Greenfield
Capital before opening or completion Purchase consideration, transaction and diligence costs, debt funding needs, and any required remediation or pre-close investment. Site acquisition or lease and development, design and engineering, approvals, fit-out, equipment, and other pre-opening project costs.
Capital after opening or completion Working capital, integration, retention arrangements and funds for changes needed to sustain or improve operations. Recruitment and pre-opening burn, opening working capital, and funding for a slower-than-planned patient ramp.
Recurring operating costs Test whether revenue, payer arrangements, utilization, staffing costs and maintenance costs are durable after the transaction. Model staffing, site and facility costs, maintenance and other running costs against realistic utilization and payer-mix assumptions.
Route to revenue An operating platform may shorten the path, but transfer conditions, payer and IT connections, and post-close changes may affect continuity. Revenue depends on completing approvals, design and construction, inspections, hiring and patient acquisition in sequence.
Core downside exposure Overpaying for value that does not transfer, inherited obligations, clinician departures or integration problems. Delays, cost overruns, approval changes, hiring constraints or slower patient acquisition than planned.

There is no evidence-based universal cost winner in this comparison. For each route, estimate capital through opening and stabilization, then test recurring economics under conservative utilization and revenue assumptions. Ask for line-item estimates and identify exclusions, contingency, working-capital assumptions and the point at which the project is expected to break even. A quote that ends at construction completion cannot be fairly compared with a purchase estimate that includes operating runway.

How quickly could either route generate revenue?

Acquisition can provide access to an existing team, patient panel and operating platform, but those assets only create a time advantage if the transaction closes and the value survives diligence, required approvals and integration. A new build must move through site selection, planning, approvals, construction or fit-out, equipment installation, inspections, recruitment and patient ramp-up.

A June 2026 comparison by BHC UAE estimates that a UAE primary-care acquisition may reach revenue 30–90 days after completion, while a UAE greenfield primary-care clinic may take a minimum of 12–18 months from site selection. These are one consultancy’s estimates for that scope—not regulator service targets, independently established benchmarks or GCC-wide averages. They are not directly comparable unless the starting point, included work and definition of “revenue” are aligned. A project should build its own schedule around the relevant authority’s current process, transaction conditions and site-specific dependencies.

In the UAE, the approval sequence matters. MOHAP’s initial-approval guidance says a facility must meet healthcare engineering guidelines and submit plans reviewed and stamped by specialist healthcare design or planning engineering consultants. It says construction, finishing and furnishing should not begin before initial approval of the facility drawings. The initial approval is valid for one year and does not authorize practice or operation. The applicable emirate authority and current rules must be confirmed; this summary should not be treated as a complete licensing checklist.

What to investigate before acquiring an operating center

Acquisition exchanges some start-up execution risk for transaction, continuity and inherited-history risk. Treat the following as diligence questions to resolve for the specific target—not as a claim that every item is a universal legal requirement.

License scope, transfer and approvals

  • What facility class, specialties, capacity and locations does the current license cover, and do they match the intended operating model?
  • What approvals or conditions apply to the ownership change, and what is the current transfer process for this facility and jurisdiction?
  • Which proposed changes to services, capacity, premises or ownership structure require additional review?

Compliance and liabilities

  • Review inspection history, open corrective actions and any unresolved compliance matters.
  • Assess potential claims, insurance exposure, contractual obligations and other liabilities with qualified local advisers.
  • Check the condition, ownership and remaining useful life of equipment and other material assets; identify near-term replacement or remediation spending.

Revenue durability and clinical continuity

  • Test whether reported revenue and utilization are supported by records and are likely to continue after closing.
  • Review payer arrangements and their terms, including whether they continue after a change of control. Do not assume that a facility license guarantees insurance-network participation.
  • Identify clinicians whose departure could disrupt services, particularly owner-doctors or other key staff. Confirm what retention, credentialing and contract-assignment arrangements are practical.

Integration and value transfer

  • Map the work needed to connect or replace billing, clinical records, IT, procurement and operating processes.
  • Separate value that is demonstrably transferable from value dependent on the seller, individual clinicians, existing contracts or local relationships.
  • Build a post-close plan for maintaining patient access and clinical operations while making any intended changes to brand, staffing or services.

What to validate before building from scratch

Greenfield gives the investor more control over the site, layout, brand and intended service mix, but control does not remove regulatory or commercial uncertainty. The project needs a viable catchment and an approval path for the proposed facility category before major design and build commitments are made.

  1. Define the service model and catchment. Specify specialties, capacity and target patients, then test whether the proposed location and category fit applicable local planning and need requirements.
  2. Confirm site and ownership feasibility. Check whether the ownership vehicle and proposed site are suitable for the facility and whether land, lease or development assumptions are realistic. Do not treat facility licensing as a guarantee of land or payer access.
  3. Map approvals before committing to works. Establish which authority reviews the project, the required design and engineering standards, the order of approvals and the conditions that must be met before construction or operation.
  4. Cost the complete facility scope. Include design, engineering, fit-out, equipment, approvals and a contingency, with a separate estimate for recurrent costs and pre-opening burn. Abu Dhabi’s official costing guidance warns that benchmarks can mislead when scope and costing methods differ.
  5. Plan clinical staffing early. Identify the medical director and key clinicians, assess local availability and credentialing needs, and test compensation assumptions before relying on an opening date.
  6. Fund the ramp, not just the opening. Model patient acquisition and utilization over time, payer mix, working capital and the runway required if early volumes fall short of plan.

Saudi Ministry of Finance loan documentation illustrates the level of project definition that may be needed for financing: it lists a licensed Arabic feasibility study, relevant project and municipal or building permissions, approved engineering drawings, technical specifications, bills of quantities, and proposed medical-equipment and furniture lists. The published rules page is dated 9 May 2017, so its financing terms and caps should not be treated as current without direct verification. Its figures are not project cost benchmarks.

Choose by fit, execution capability and downside tolerance

Acquisition is a stronger fit when

  • A suitable target is available in the right catchment, with a facility scope and operating capability that match the strategy.
  • Diligence can establish that the value being paid for—such as staff continuity, patient demand and operating capacity—can survive closing and any required transfer or integration.
  • The buyer has the expertise and capital to investigate inherited exposure and manage post-close integration without disrupting care.

Greenfield is a stronger fit when

  • The strategy depends on a location, layout, brand or service model that existing targets cannot provide.
  • The proposed facility category and site appear feasible under the jurisdiction’s current rules, and the investor can fund design, approvals, construction, recruitment and ramp-up.
  • The investor prefers to develop its own operating model rather than take on a target’s history and integration burden.

Neither set of conditions removes execution risk. The practical choice is the route whose risks you can verify, finance and manage for the particular project—not the route with the more attractive headline timeline or price.

Use market activity as context, not as a deal thesis

Alpen Capital’s 2025 GCC Healthcare Industry Report records 16 healthcare M&A deals in 2023 and 8 completed transactions in 2024. It attributes the slowdown in part to macroeconomic uncertainty, integration work, inflation and higher interest rates, alongside greater focus on organic growth and operating efficiency. Those counts describe reported market activity; they do not establish the likely return, valuation or best entry route for an individual center.

The same report lists selected transaction consideration values involving different asset scopes and stake sizes, so they are not comparable center valuation benchmarks. Separately, Alpen Capital estimates that the GCC will require approximately 12,317 additional hospital beds from 2024 to 2029, around 1.9% average annual bed growth and total capacity near 140,572 beds by 2029; that forecast is reproduced in GFH Financial Group’s 2025 annual report. Regional bed projections do not prove demand for a particular clinic, specialty or catchment. Local feasibility and payer access still need to be established.
