SGX vs UMS Integration: How Their Businesses and Investment Risks Differ

Singapore Exchange Limited (SGX) operates financial-market infrastructure: trading venues, clearing houses, settlement and depository systems, market data, indices and related platforms. UMS Integration Limited (UMS) manufactures semiconductor-equipment components and integrated systems, with smaller aerospace and materials-distribution businesses.

That difference matters more than their share-price labels or headline profit figures. SGX is principally exposed to market activity, transaction mix, platform demand, regulation and technology resilience. UMS is exposed to customer orders, semiconductor-equipment investment, manufacturing capacity, product mix and the timing of production ramps. The latest figures also cover different periods: SGX’s financial year ended 30 June 2026, while UMS’s cited full year ended 31 December 2025.

The two listed companies are not similar businesses

The initials can create a misleading comparison. In this article, SGX means Singapore Exchange Limited, the listed parent and operator of Singapore’s exchange-related businesses. UMS means UMS Integration Limited, a separately listed engineering and manufacturing supplier. One earns fees from operating market infrastructure and associated services; the other sells manufactured products and engineering output to industrial customers.

For an investor, the useful question is therefore not simply which company reported the larger profit. It is how each company converts activity into cash, what can interrupt that process and how much of the business depends on a particular market, customer group or investment cycle.

How Singapore Exchange earns revenue

SGX’s FY2026 audited disclosures divide its operations into four operating segments, plus a corporate segment that is non-operating. The segments combine transaction-linked activities with services that are less directly tied to daily trading volumes.

Fixed Income, Currencies and Commodities

This segment provides fixed-income issuer services, derivatives trading and clearing, and collateral-management services. Its results can reflect activity in several asset classes rather than a single securities market.

Equities-Cash

Equities-Cash covers issuer services, securities trading and clearing, settlement and depository management. It links the process of bringing securities to market with the post-trade infrastructure used after a transaction occurs.

Equities-Derivatives

Equities-Derivatives provides derivatives trading and clearing together with collateral management. Derivatives activity can differ from cash-equity activity, so the two equities segments should not be treated as interchangeable sources of revenue.

Platform and Others

Platform and Others includes market data, connectivity, indices, membership subscriptions and related platform services. SGX describes the revenue in this segment as mainly non-transactional. That does not make it immune to business conditions, but it gives investors a different operating driver to monitor from trading and clearing fees.

At group level, SGX also describes activities that include an integrated securities and derivatives exchange, related clearing houses, an electricity market in Singapore, bulk-freight indices and information, index administration, electronic foreign-exchange trading platforms and investment holding.

How UMS Integration earns revenue

UMS describes itself as an equipment-manufacturing and engineering-services provider to original equipment manufacturers in semiconductors and related products. Its reported segments are Semiconductors, Aerospace and Others.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Semiconductors

The semiconductor business focuses on front-end semiconductor-equipment contract manufacturing. It makes components and integrated systems used by equipment customers. This creates exposure to customers’ equipment programs, factory ramps, order schedules and product requirements rather than to financial-market turnover.

Aerospace

Through subsidiaries, UMS manufactures high-precision aircraft parts. Aerospace adds a separate industrial end market, although it was much smaller than the semiconductor segment in the latest cited year.

Others

The Others segment consists mainly of materials distribution. It provides another activity, but it does not change the fact that semiconductor manufacturing is the economic center of UMS’s reported sales.

Latest reported scale: read the periods and accounting labels carefully

The most recent figures cited for the two companies do not describe the same twelve-month period. SGX’s FY2026 ended 30 June 2026; UMS’s FY2025 ended 31 December 2025. Their accounting presentations also differ: SGX reports both operating revenue and net revenue, with transaction-based expenses netted in the net-revenue presentation. UMS reports product and service revenue in the conventional way used in its annual statements.

Risk channel 1: what creates revenue?

SGX: activity, mix and service demand

SGX has several businesses whose revenue is connected to trading, clearing, settlement or issuance activity, alongside Platform and Others revenue that SGX describes as mainly non-transactional. An investor should track the balance between those sources instead of treating “exchange revenue” as one uniform stream.

Questions to monitor include whether activity is broad across asset classes, whether growth is concentrated in one derivatives or cash-equity product, how issuer and listing services are performing, and whether demand for data, connectivity, indices and memberships is expanding. A busy market can help some transaction lines, while a change in product mix can affect the fees and costs associated with that activity. No single activity measure guarantees a particular earnings result.

UMS: orders, product mix and delivery

UMS converts customer programs into manufactured components and integrated systems. Revenue therefore depends on purchase orders, production schedules, specifications, shipment timing and the company’s ability to execute at the required quality and cost. Component and integrated-system sales can move differently, so reported growth should be examined by product type.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

In FY2025, UMS reported growth in component sales and a slight decline in integrated-system sales. That combination is more informative than total revenue alone because it shows that the product mix changed even as the overall business grew.

Risk channel 2: diversification and concentration

SGX’s diversification is across services and asset classes

SGX reports multiple operating segments covering fixed income, currencies, commodities, cash equities, equity derivatives and platform services. This gives an investor several activity indicators to follow. It does not eliminate risk: the segments still rely on functioning markets, participants, technology and regulation, and segment labels do not reveal how many customers contribute to each line.

UMS has smaller non-semiconductor businesses

UMS’s FY2025 external sales were S$214.735 million in Semiconductors, S$24.592 million in Aerospace and S$11.736 million in Others, from total revenue of S$251.063 million. Semiconductor sales therefore represented the overwhelming majority of reported sales in that year. Aerospace and materials distribution provide breadth, but their size means they cannot automatically offset a major semiconductor downturn.

The figures also do not establish the number, identity or negotiating strength of UMS customers. Customer concentration is an important diligence question, but the cited disclosures do not quantify it. Investors should look for customer mix, backlog information, contract terms and order visibility in complete filings rather than infer those facts from segment names.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Risk channel 3: customer demand and capital spending

UMS’s customers are semiconductor-equipment makers. Their demand can be affected by chip-industry capacity plans, technology transitions, inventory corrections and the timing of new-factory or tool deployments. Those factors can create uneven order patterns even when long-term demand for semiconductor equipment appears attractive.

UMS management described investment in capacity for anticipated production ramps. That makes several operating questions central: when the ramps arrive, whether new capacity is used efficiently, whether customer programs remain on schedule and whether the resulting cash returns justify the investment. Capacity spending can increase fixed costs before revenue arrives, so utilization and working-capital conversion deserve attention alongside sales growth.

Management’s view of future semiconductor-equipment demand should be treated as a management expectation, not as a guaranteed industry “super-cycle.” The cited material does not establish such a forecast independently.

SGX faces a different investment cycle. Its capital and execution questions concern exchange technology, connectivity, data infrastructure, clearing systems and controls. Spending is intended to support reliable market operation and new services, but the financial payoff depends on adoption, volumes, pricing and competitive conditions.

Risk channel 4: operational and technology resilience

Why resilience matters at SGX

Trading, clearing, settlement, depository and data services depend on platforms operating correctly when market participants need them. A serious interruption could affect customers, confidence, service levels and the costs of remediation. Clearing activity also involves risk-management processes and collateral handling.

This is an analytical risk lens derived from SGX’s business model, not a claim that a specific outage or control failure occurred. The practical diligence questions are whether the company discloses resilient architecture, recovery testing, cyber controls, incident reporting and investments needed to maintain capacity as products and volumes change.

Why execution matters at UMS

UMS’s resilience is primarily manufacturing and supply-chain resilience. It must obtain materials, maintain precision equipment, meet specifications, manage production yields and deliver on schedule. A customer ramp can create opportunity, but rapid expansion can also expose bottlenecks, quality problems or working-capital pressure.

Investors should distinguish an increase in orders from an increase in profitable, cash-generating output. The relevant evidence includes production capacity, utilization, inventory, receivables, capital expenditure and operating cash flow.

Risk channel 5: regulation, competition and market structure

SGX operates in a regulated financial-market environment. Changes to market rules, clearing requirements, product permissions, reporting obligations or competitive arrangements could alter costs, customer behavior or the attractiveness of a service. Competition from other venues and platforms is also a market-structure consideration.

The available company material does not establish a specific pending regulatory action. The appropriate approach is to monitor actual rule changes and consultations in the jurisdictions relevant to each SGX service rather than assume that regulation will help or hurt earnings.

UMS’s regulatory exposure is more closely related to manufacturing, export controls, customer qualification, workplace requirements, environmental rules and aerospace or industrial standards. The cited disclosures do not provide a quantified scenario for any particular rule change. For UMS, the more immediate analytical link is often whether a customer can place, approve and receive equipment components under applicable trade and quality requirements.

Cash generation and the meaning of the reported profits

SGX reported S$698.411 million of net profit after tax on S$1,478.321 million of FY2026 net revenue. Because SGX’s net-revenue measure nets transaction-based expenses against operating revenue, comparing its margin mechanically with UMS’s revenue and profit can mislead. The figures should first be put on consistent accounting definitions, periods and per-share bases.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

UMS reported S$41.6 million of net attributable profit on S$251.063 million of FY2025 revenue. Its operations review described a 4% increase in revenue, from S$242.115 million in FY2024 to S$251.063 million in FY2025. The chief executive also stated that the group generated positive operating cash flow and free cash flow in FY2025. That quotation is management’s description of the year, not independent confirmation of future cash generation.

For SGX, useful cash questions include the proportion of income linked to transaction activity, recurring platform and data revenue, technology investment and clearing-related financial requirements. For UMS, compare profit with operating cash flow, inventory and receivables movements, capital expenditure and the cash cost of capacity expansion. Neither company’s one-year profit figure is enough to determine durability.

UMS’s October 2026 placement: a live per-share issue

UMS investor-relations announcements in October 2026 refer to a placement involving up to 52,941,100 new ordinary shares. Allotment and issuance notices and listing and quotation notices were dated 9 and 12 October.

The announcement listing alone does not establish the final number issued, placement price, proceeds, use of funds or post-issue share count. Those details matter for any calculation of dilution, earnings per share, net asset value per share or ownership percentages.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Locate the complete placement and allotment filings, not only the announcement index.
  2. Confirm how many shares were actually issued and the final issue price.
  3. Reconcile the new shares with the latest issued-share count and treasury-share information, if applicable.
  4. Read the stated use of proceeds and compare it with the capacity and working-capital plans described by management.
  5. Recalculate per-share measures using the post-issue denominator and keep the calculation date visible.

Until those checks are complete, the 52,941,100 figure should be described as the announced maximum or proposed placement amount, not as a completed dilution percentage.

A practical framework for comparing the shares

Start with the exposure you want to own

SGX gives exposure to the operation of financial-market infrastructure and the mix of services built around it. UMS gives exposure to industrial manufacturing tied heavily to semiconductor-equipment customers. Decide which economic driver you are analyzing before comparing valuation multiples.

Normalize the financial statements

Use matching fiscal periods, consistent revenue definitions and the correct share count. SGX FY2026 and UMS FY2025 are six months apart at the reporting-date level. SGX’s operating revenue and net revenue are not interchangeable, and SGX’s transaction-expense netting makes a casual margin comparison unreliable.

Trace each company’s earnings bridge

  • For SGX, separate transaction-linked lines from Platform and Others, then examine activity, pricing, listings, data and connectivity.
  • For UMS, separate component and integrated-system trends, then examine aerospace and materials distribution as smaller contributors.
  • For both, connect revenue changes to operating costs, capital spending and cash conversion rather than stopping at profit.

Test concentration and timing

Ask how much of the outcome depends on one asset class, one product family, one customer program, one production ramp or one investment cycle. The cited disclosures establish UMS’s segment concentration but do not quantify customer concentration; that distinction should remain explicit.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check resilience and downside controls

For SGX, review platform availability, cyber controls, clearing risk management and regulatory compliance. For UMS, review quality systems, supplier dependencies, capacity utilization, inventory, receivables and the payback of expansion spending.

Recheck current filings before using per-share data

This is particularly important for UMS because of the October 2026 placement announcements. A historical earnings figure paired with an outdated share count can produce a false impression of per-share growth or dilution.

What the latest results do—and do not—tell you

SGX’s FY2026 results show a large, multi-segment market-infrastructure group with net revenue across four operating segments. They do not prove that future earnings will rise with every increase in market volatility, nor that Platform and Others revenue will remain stable in every environment.

UMS’s FY2025 results show modest total-revenue growth, strong dependence on semiconductor manufacturing and management-reported positive operating and free cash flow. They do not prove that anticipated customer ramps will occur on schedule, that new capacity will earn an adequate return or that semiconductor demand will follow a smooth cycle.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Relative company size, revenue growth, profit, dividend declarations or a single year’s cash flow cannot establish investment suitability. The comparison becomes useful only when those figures are connected to the different operating risks behind them.

Bottom line

Owning SGX is principally a decision about financial-market infrastructure: trading and clearing activity, listings, data and platform services, regulation and operational resilience. Owning UMS is principally a decision about industrial execution and semiconductor-equipment demand: customer orders, component and system mix, capacity, utilization and cash conversion, with aerospace and materials distribution providing smaller additional activities.

The companies should therefore be analyzed with different checklists and on synchronized financial definitions. Keep SGX’s FY2026 ending 30 June 2026 separate from UMS’s FY2025 ending 31 December 2025, treat SGX net revenue and UMS revenue as different accounting labels, and verify UMS’s final October 2026 placement details before making any per-share comparison.
