Bloomberg Law reported on October 6, 2026, that Seagate made a higher offer than Toshiba for TDK’s hard-drive magnetic-head business. Toshiba disputed the account, and the available reporting does not establish that TDK has agreed to sell or that any bid has been accepted.

What Bloomberg Law reported

Bloomberg Law’s October 6, 2026, report, by Kentaro Tsutsumi and Takashi Mochizuki, attributed the account to people familiar with private discussions. Those people said Toshiba began talks with TDK in spring 2026 and Seagate submitted a higher offer in summer 2026. They put the potential value at as much as several billion dollars; no precise valuation or confirmed deal terms were reported.

The report placed the companies’ interest in the context of demand for storage devices used in AI data centers. Its account describes a reported bidding contest, not a publicly confirmed sale process or transaction.

What Toshiba said—and what remains unknown

Investing.com reported on October 6, 2026, that a Toshiba spokesperson called Bloomberg’s account “inconsistent” with the company’s understanding. Japan Industrial Partners, described by Investing.com as Toshiba’s principal backer, expressed the same view. Toshiba also denied that three-party discussions involving Toshiba, TDK, and Seagate had taken place about HDD head supplies.

Those responses are reported statements, not a company filing establishing what happened in private discussions. The available accounts do not show whether a sale process is continuing, whether TDK has received or accepted an offer, or whether an agreement has been signed or completed.

Why a hard-drive magnetic head matters

A magnetic recording head reads and writes data on a hard drive’s magnetic platters. It is a key component in the drive’s recording system, so access to capable heads can matter to manufacturers’ production and technology plans.

A 2011 European Commission decision in the Seagate/Samsung HDD business merger case provides historical context, not a current supply map. At that time, the Commission described TDK’s SAE Magnetics as the only merchant-market supplier of HDD read/write heads. It said Toshiba and Samsung relied exclusively on TDK, while other hard-drive suppliers mostly manufactured heads internally. Seagate and Western Digital also bought TDK heads to cover demand peaks and keep pace with technology.

That 2011 account does not establish how dependent any manufacturer is on TDK today, or whether the same supply relationships still apply in 2026.

What a change of ownership could mean

If a hard-drive manufacturer were to own an independent supplier whose components other manufacturers also buy, the questions would include whether customers retain access, how supply is allocated, and whether the buyer’s position changes bargaining power. The historical Commission account shows why those questions are relevant: TDK’s heads served manufacturers with differing levels of reliance on outside supply.

Neither the reported bidding account nor the historical decision establishes that a change in access, bargaining power, or supply continuity would occur. The available information also does not support a conclusion about regulatory review, competitive effects, or consumer prices.
