The deal is pending shareholder and regulatory approvals, and Schneider expects it to close by the third quarter of 2027. Schneider’s stated rationale is to connect PTC’s product-design and engineering software with its own industrial and energy data—not a documented claim that data-center demand caused the purchase.
What Schneider Electric agreed to pay
The companies announced a definitive agreement on October 5, 2026. Schneider will pay $205 in cash for each outstanding PTC share. The transaction announcement values PTC’s equity at approximately $22.6 billion (€20.1 billion) and its enterprise value at approximately $23.7 billion (€21.1 billion). Those are different measures: equity value represents the value attributed to shareholders’ stake, while enterprise value is the broader transaction valuation.

The offer represents a 42.3% premium to PTC’s last closing price and a 46.1% premium to its average share price over the preceding 30 trading days, according to the announced terms. Schneider Electric’s announcement and PTC’s SEC-filed transaction exhibit set out the deal figures.

No. The October 5 announcement describes an agreement, not a completed acquisition. Closing remains subject to customary conditions, including approval by holders of at least a majority of PTC’s outstanding shares at a special meeting and required regulatory approvals. Schneider said it expects closing by Q3 2027; that is a target, not a confirmed completion date.

What does PTC make?
PTC sells software used by manufacturers and product companies across the product lifecycle. Its portfolio includes computer-aided design (CAD), product lifecycle management (PLM), application lifecycle management (ALM), and service lifecycle management (SLM). Together, these tools support product design and engineering, management of product-related information and software development, and the organization of service activity.
Why is Schneider Electric buying PTC?
Schneider says PTC’s product and engineering data can complement its existing process and energy data. Its strategic goal is to connect information about how products are designed and built with the operating context of factories, infrastructure, and energy systems, extending software coverage from design through operation and maintenance.

The companies also point to opportunities to sell products across their respective customer bases and develop digital-thread solutions. These are Schneider’s stated strategic aims and expected benefits, not results established by the announcement. Schneider CEO Olivier Blum called the deal “an important step forward in our ambition to lead the new era of Energy and Industrial Intelligence.”

PTC’s reported financials and growth forecast
Schneider’s announcement reports PTC’s calendar-year 2025 revenue at €2.4 billion and its adjusted EBITA margin at approximately 40%. Schneider also forecast that PTC revenue and annual recurring revenue would each grow about 10% annually through 2029. The 2025 figures are historical results as presented by the buyer; the growth rate is a forecast, not a guarantee.
Synergy estimates
Schneider estimates annual cost synergies of €250 million by Year 3 and approximately €800 million in revenue synergies. It attributes the expected gains to cross-selling, broader channels and end-market access, geographic expansion, and joint development of digital-thread solutions. These are management estimates, not savings or revenue already achieved.

Is the data-center boom driving the acquisition?
The available transaction statements do not establish data-center demand as a direct cause of Schneider’s agreement to buy PTC. Schneider operates in markets that include data centers, buildings, industry, and infrastructure, so infrastructure investment is relevant context for the company. But the stated acquisition rationale centers on industrial software, engineering and product-lifecycle data, and industrial intelligence. It would overstate the evidence to say the data-center boom drove this deal.

Axios reported that the purchase is Schneider’s largest-ever, comparing it with the company’s $11 billion Aveva acquisition in 2023. That provides scale context; the transaction terms and strategic rationale above come from the companies’ announcement and regulatory filing.
