SaaS annual recurring revenue (ARR) is a point-in-time estimate of the recurring customer value a software business would generate over a year under its stated policy. It is not recognized revenue, cash collected, bookings, or a guarantee of future sales. The useful number is the one whose contract scope, activation rules, discount basis, churn timing, and usage methodology are explicit.
What does ARR mean for a SaaS company?
ARR means Annual Recurring Revenue. In SaaS reporting, it annualizes eligible recurring customer commitments as of a specified measurement date. The SaaS Metrics Standards Board describes ARR as recurring revenue under the company’s revenue-recognition policy, annualized. Under that standard, one-time implementation fees, professional services, and other non-recurring charges are excluded.

ARR is an operating metric rather than an accounting measure. A company can use it to monitor subscription scale, expansion, contraction, and retention, while recognized revenue is recorded over a reporting period under the applicable revenue-recognition rules. Public companies may publish their own ARR definitions, so two businesses can use the same label for differently constructed figures.
A credible ARR disclosure should therefore identify:

- the measurement date;
- which contracts or subscriptions are eligible;
- whether service activation is required;
- how contract duration and ramp schedules are annualized;
- whether amounts are net or gross of discounts;
- how cancellations, nonrenewals, and contractions are timed; and
- how usage-based commitments are treated.
Without those policies, an ARR figure is difficult to compare with another company’s number.
How do you calculate ARR from a contract?
Start with recurring value that is active and eligible under the company’s policy, remove excluded charges, normalize the amount to one year, and then aggregate all qualifying customers at the measurement date. A practical contract-level process is:
- Identify the recurring component. Separate subscription licenses, hosting, support, or other recurring services from setup, consulting, training, overage, and other one-time items.
- Check the service status. Determine whether the contract has started and whether the relevant service component is active on the measurement date.
- Apply the contract’s price basis. Use the amount the customer is contractually obligated to pay under the company’s stated discount policy, rather than silently switching between list and negotiated prices.
- Normalize the period. Annualize the eligible recurring amount according to contract duration and the company’s day-count or annualization convention.
- Exclude uncounted future components. If a contract contains a later ramp, add the higher tier only when the policy says that component is active or otherwise eligible.
- Aggregate and classify movements. Add new and expanded recurring value, and separately identify churn, contraction, and other changes.
For a simple one-year subscription with an active annual recurring charge of $24,000, the contract ARR is $24,000 before any policy-specific exclusions. A six-month active subscription priced at $12,000 would annualize to $24,000 if the company’s convention is to multiply the eligible six-month value by two. That arithmetic does not decide whether the contract is eligible; activation and policy rules come first.

Does ARR include signed contracts that have not started?
There is no universal answer. The decisive question is whether the company counts only active service terms or also includes signed commitments that have not begun.
PTC defines ARR as the annualized value of its active subscription software, SaaS, hosting, and support contracts at the end of the reporting period. Its filing says a contract is counted from the date its service term starts and excludes ramp components that are not yet active. Other issuers describe SaaS ARR more broadly around active or signed contracts. Those are different operating definitions, not interchangeable accounting treatments.

When reading or building an ARR schedule, record the contract’s:
- execution date;
- service start date;
- service end date;
- activation status at the measurement date; and
- policy treatment of signed-but-unstarted commitments.
If a company includes unstarted agreements, its ARR may rise before those services produce billings or recognized revenue. If it excludes them, the same signed deal may appear in bookings or contract value but not in ARR until activation.

Annualization should turn an eligible recurring amount into a comparable one-year run rate, but a multi-year contract with staged pricing requires a stated rule. The safest approach is to count the recurring component that is active on the measurement date and disclose how future committed increases are handled.
PTC’s disclosed method annualizes active contract value by contract duration and days in the year. It does not include future committed ramp increases before those service components begin. Under that approach, a three-year agreement priced at $10,000 in year one, $15,000 in year two, and $20,000 in year three contributes $10,000 of ARR while the first-year component is active, not $20,000 based on the final planned tier.
Another company could adopt a different policy, such as including contractually committed future increases. That would not make either figure inherently wrong, but it would make cross-company comparisons misleading unless the ramp convention is aligned.

Do discounts reduce ARR?
Discount treatment must be visible because the sources reviewed do not establish a universal gross-versus-net ARR convention. A company may annualize the net recurring amount contractually payable after discounts, or it may publish a list-price operating measure. The policy should say which basis it uses.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →For example, a subscription listed at $30,000 per year with a contractual 20% discount produces a net annual obligation of $24,000. A net-based ARR policy would report $24,000 for that contract. A list-price policy would report $30,000 and should label the figure accordingly. Mixing the two approaches across customers or reporting periods obscures expansion and retention.
Stripe’s recurring-metrics guidance notes that changes such as lowering a discount can change MRR. That operational guidance supports showing discount changes in a recurring-metric bridge, but it does not create a mandatory ARR standard.
Document these points in the metric definition:
- whether discounts are deducted;
- whether temporary promotional pricing remains in effect for the measurement date;
- how credits, concessions, and price increases are treated; and
- whether the same basis is used for new ARR, expansion, and renewal calculations.
When do you count churn in ARR?
Churn removes recurring value when a customer cancels or does not renew. The SaaS Metrics Standards Board says churned ARR is deducted in the month the contract expires or is not renewed. That timing should be applied consistently in an ARR bridge and tied to the company’s stated policy.
Churn is not the same as contraction:
- Logo churn: the customer relationship ends and its recurring value is removed.
- Contraction: the customer remains but renews at a lower recurring amount, reduces seats, downgrades, or otherwise commits to less value.
- Expansion: an existing customer increases its recurring commitment through more seats, products, capacity, or price.
Suppose a customer has $100,000 of ARR, renews at $70,000, and remains active. The $30,000 reduction is contraction, not churn. If the customer does not renew at all, the full $100,000 is churned when the contract expires or reaches the policy’s nonrenewal point.

A useful monthly bridge lists beginning ARR, new ARR, expansion, contraction, churn, foreign-exchange or other policy-defined adjustments, and ending ARR. Keep the movement date consistent with the contract event; otherwise renewal performance can shift between months merely because invoices or internal approvals were delayed.
How do you calculate ARR for usage-based pricing?
Usage-based pricing requires a separate eligibility test. Under the SaaS Metrics Standards Board’s rule, if a usage model has no contracted recurring minimum commitment, there is no ARR under that standard. Purely variable consumption can be revenue without being recurring contracted ARR.
Some issuers publish alternative methods for consumption contracts that meet their own conditions. The disclosed approaches in the sources include:
| Approach | Eligibility or calculation | Important limitation |
|---|---|---|
| Contracted minimum | Count the recurring minimum stated in the subscription agreement. | Without a contracted recurring minimum, the standards-board method reports no ARR. |
| Rolling four-quarter usage | Include incremental value measured over the previous four quarters for qualifying contractually recurring consumption. | This is an issuer-specific method, not a universal standard. |
| Recent-consumption annualization | Annualize recent consumption revenue for a defined category of contractually recurring subscriptions with a measurement period shorter than one year. | Recent usage is a run-rate estimate, not a guarantee that the customer will consume the same amount. |
To calculate a usage-based figure responsibly, disclose the minimum commitment, measurement window, eligible contract category, annualization formula, and treatment of unusually high or low consumption. Do not present a recent usage run rate as committed future revenue unless the contract actually guarantees it.

Is ARR the same as recognized revenue?
No. ARR is a point-in-time annualized operating measure; recognized revenue is the amount recorded over a reporting period under revenue-recognition rules. Contract activation, invoice timing, deferred revenue, ramp schedules, seasonality, consumption, and renewal assumptions can make the figures diverge.
Best Value
PTC states that its ARR is not calculated from recognized or unearned revenue. A separate SEC-filed SaaS issuer says its SaaS ARR should be viewed independently of revenue and does not represent revenue under ASC 606 on an annualized basis because contract start and end dates and renewal rates affect the operating metric.
For example, a customer may sign a $120,000 annual contract in December, start service in January, and pay quarterly. Depending on the company’s policy, the $120,000 may enter ARR when the service starts, while recognized revenue is recorded over the service period. Conversely, usage revenue may be recognized as consumption occurs without creating ARR when no recurring minimum exists.
How should you compare ARR reported by two companies?
Do not compare headline figures until the underlying definitions match. Use this checklist:
Recommended Free Tools
| Comparison axis | Question to ask | Why it changes the result |
|---|---|---|
| Contract status | Are signed-but-not-live agreements counted, or only active service terms? | Including unstarted contracts brings value into ARR earlier. |
| Contract schedule | Are future ramp increases counted before their service components begin? | Including planned tiers raises current ARR relative to an active-tier method. |
| Usage commitment | Is ARR based on a minimum, trailing usage, or annualized recent consumption? | Each method captures a different level of commitment and variability. |
| Discount basis | Is the amount net of discounts or based on list price? | Gross and net measures can differ materially for the same customer book. |
| Churn timing | Is lost value removed at expiration, nonrenewal, or another stated date? | Timing changes monthly bridges and retention calculations. |
| Revenue relationship | Is the figure a run rate or recognized revenue over a period? | ARR should not be substituted for GAAP or statutory revenue. |
Also check currency treatment, acquisitions and divestitures, customer exclusions, and whether the company has changed its methodology between periods. If a disclosure does not state a comparable value, mark it as “not stated” rather than infer one.
What should an ARR policy document contain?
A short policy can prevent most disputes between finance, sales operations, and investors. At minimum, define:
- Scope: products, regions, customer types, and recurring contract components included.
- Activation: whether a signed contract enters ARR before its service term begins.
- Annualization: the formula for monthly, quarterly, partial-year, and multi-year terms.
- Ramps: whether only active tiers count or future committed increases are included.
- Discounts: net contractual value versus list-price value.
- Usage: minimum commitments, trailing windows, qualifying contract categories, and annualization limits.
- Movements: definitions and timing for new, expansion, contraction, churn, and reactivation.
- Reconciliation: how ARR is kept distinct from billings, bookings, deferred revenue, and recognized revenue.
Apply the policy consistently, retain the contract-level evidence behind each movement, and disclose material changes in methodology. A clearly labeled company-specific ARR is more useful than a larger number with an unclear scope.
Common ARR mistakes and how to fix them
- Counting every signed deal immediately: separate execution from service activation and state the chosen rule.
- Including one-time services: remove implementation, consulting, training, and setup fees.
- Counting future ramp tiers too early: include them only when the policy says they are active or eligible.
- Mixing gross and net prices: choose a discount basis and use it for every comparable movement.
- Calling every reduction churn: classify a lower renewal as contraction when the customer remains active.
- Annualizing all usage automatically: test for a contracted minimum or an explicitly disclosed usage methodology.
- Equating ARR with revenue: present ARR as an operating run rate and reconcile it separately from recognized revenue.
The Bottom Line
SaaS ARR is useful only when its policy is explicit. State which recurring commitments are active, how discounts and ramps are treated, when churn is removed, how usage is annualized, and why the result is separate from recognized revenue.
