Schneider Electric is reportedly nearing a deal to acquire US engineering software firm PTC for about $20 billion, but the transaction has not been confirmed. Reuters relayed a Financial Times report based on people with knowledge of the matter and said it could not immediately verify the report. The same account said discussions were continuing and might not result in a deal.
Is Schneider Electric buying PTC?
There is no confirmed acquisition in the available reporting. On 4 October 2026, Reuters reported that the Financial Times said Schneider Electric was nearing a deal to buy PTC, citing people with knowledge of the matter. Reuters said it could not immediately verify the FT report. Neither company had immediately responded to Reuters’ requests for comment outside regular business hours; that does not establish whether either responded later.

That distinction matters: “nearing a deal” is reported language, not an announcement that the companies have signed an agreement or completed a transaction. The stronger “advanced talks” wording in some descriptions should likewise be understood as a characterization of the report, not independently confirmed deal status. Reuters’ account and the PTC investor relations page are the places to check for developments and official company information.
How much could the reported PTC deal be worth?
The Financial Times report, as relayed by Reuters on 4 October 2026, put the possible transaction value at about $20 billion. These are reported potential terms, not confirmed purchase price or final deal terms. Reuters separately cited LSEG data putting PTC’s market value at $15.63 billion. Market value and a reported transaction value are different measures and should not be treated as interchangeable.

When might a deal be announced?
Reuters’ account said an announcement could come as soon as Monday, 5 October 2026. That was a reported possibility, not a scheduled announcement: the same account said discussions were ongoing and there was no certainty they would produce a deal. The timing should not be read as evidence that an agreement was reached.
What do the companies do?
PTC describes itself as a software provider serving industrial companies on its investor relations page. The current reporting does not establish the companies’ strategic rationale for a potential transaction, expected synergies, market-share effects, financing, transaction structure, or impact on product roadmaps. Those details should not be inferred from the reported price.

How does PTC’s 2026 software-business sale fit in?
PTC’s sale of Kepware and ThingWorx was a separate transaction, not part of the reported Schneider Electric discussions. In a filing with the US Securities and Exchange Commission, PTC said it sold those businesses to an entity controlled by TPG-affiliated investment funds on 13 March 2026. The filing reported total consideration of $530.8 million, with up to $125 million in contingent consideration possible under certain circumstances. PTC’s SEC filing is the source for those figures.
