REITs vs direct property investment in India: costs, risks, and liquidity

For most investors, listed Indian REIT units are the easier way to obtain diversified real-estate exposure: the initial investment is structurally smaller, units can be traded on an exchange, and one purchase can spread exposure across multiple properties or tenants. Buying a property directly gives you control over a specific asset, but usually requires substantially more capital, concentrates risk in one location, and can take much longer to sell.

Neither route guarantees rental income, capital appreciation or a profit. The right choice depends on whether you value control and the possibility of managing a particular asset more than diversification, simpler administration and a more accessible exit. The comparison below covers listed REIT units—not fractional-property platforms or shares of property companies—against direct ownership in India.

What you actually own

Listed REIT units

A real estate investment trust pools money from investors and holds income-producing real-estate assets. When you buy a listed REIT unit, you own a unit in the trust, not a deed to any individual office, warehouse, mall or other building. The trust and its appointed professionals make property-level decisions within the applicable regulatory framework.

SEBI Investor describes listed REITs as exchange-traded instruments. Your result therefore depends on both the underlying properties and the market price at which units trade. Rental receipts, property-level expenses, financing, management decisions and eventual property sales can all affect the cash available to investors and the unit price.

Direct property

Direct investment means purchasing a specific property or a legally defined ownership interest in it. You choose the location, building, tenant strategy and timing of a sale, subject to title, zoning, lease, financing and other legal constraints. The return is tied closely to that asset and its local market rather than to a portfolio selected by a trust manager.

Physical ownership is tangible, but tangibility does not remove risk. SEBI says real-estate risk varies with the type of property, its location and market conditions, and characterises real estate as lacking liquidity.

At-a-glance comparison

Factor Listed REIT units Direct property
Ownership claim Units in a trust that owns real-estate assets. A specific property or relevant ownership interest.
Initial capital Lower investment quantum in the structural comparison published by SEBI Investor and the Indian REITs Association. Higher investment quantum in that comparison; the amount varies by property, location and financing.
Trading and exit Exchange-traded, with SEBI describing reasonable liquidity; price and execution still depend on market activity. No continuous exchange market. A sale can require valuation, marketing, negotiation, documentation and transfer formalities.
Diversification Potential exposure to several properties, tenants, sectors or cities through one trust. Usually concentrated in the selected asset and its local market.
Control Limited control over individual buildings, leases and capital projects. Direct control over use, leasing and improvements, within legal and contractual limits.
Income sources Property income and gains from asset sales, after trust, management and professional costs; unit prices also fluctuate. Rent and any gain or loss when the property is sold, after ownership and transaction expenses.
Main cost groups Investor trading costs and taxes, plus trust management and professional costs reflected in distributions. Purchase and sale charges, ownership and operating expenses, vacancy costs and applicable taxes.
Primary risks Market-price, interest-rate, tenant, vacancy, concentration, inflation, regulatory, tax and management risks. Property-specific, location, market, operating, concentration and exit-timing risks.

How much capital do you need?

The Indian REITs Association’s comparison labels REIT units as a low-minimum-investment option and physical ownership as a high-investment-quantum option. Those labels describe the structure; they are not a current quotation for a minimum order or a particular property. A listed unit can generally be purchased in a small portfolio-sized allocation through a demat and trading account, while a direct purchase normally requires enough money for the asset, transaction charges and an adequate reserve for repairs, taxes, vacancies or financing.

Do not compare only the headline purchase price. A direct buyer may need to fund due diligence, legal work, registration-related charges, brokerage, renovation, furnishing, insurance, maintenance and periods without a tenant. A REIT investor avoids those property-level tasks but pays for professional management and trust operations indirectly, and may incur account and trading charges.

Capital allocation matters as much as the minimum ticket

Lower entry capital does not automatically make a REIT suitable for every portfolio. Listed units can still be volatile, and a small purchase can become an outsized position if it is the investor’s only real-estate exposure. Conversely, a direct property can dominate a household balance sheet and leave little cash for emergencies or other assets. Decide the allocation first, then choose the ownership format that fits it.

Costs: compare the complete cash flows

There is no single India-wide percentage that fairly represents the cost of either route. Charges differ by state, transaction, property type, intermediary, financing arrangement and investor. The Indian REITs Association primer identifies transaction costs for physical ownership and reports no REIT entry or exit load in its comparison, but it is not a complete, universally current fee schedule.

Cost bucket What to examine for a REIT What to examine for direct property
Acquisition Brokerage or other order-related charges, account charges and any applicable taxes when buying units. Purchase transaction charges, state- and transaction-specific duties, registration, legal review, valuation, brokerage and financing fees.
Ongoing operations Trust management, administration, property-management and professional costs deducted before cash is available for distribution. Maintenance, repairs, insurance, utilities that the owner bears, property management, security, compliance and financing costs.
Income leakage Vacancy, tenant defaults, rent concessions, capital expenditure and interest costs at the trust or property level. Vacancy, arrears, tenant turnover, repairs between leases, collection costs and periods when the owner cannot let the property.
Exit Brokerage, exchange-related charges, bid-ask spread, account charges and taxes applicable to a sale; the realised price depends on the market. Brokerage, legal and documentation costs, transfer-related charges, taxes and the cost of carrying the property while waiting for a buyer.
Taxes Tax treatment can depend on the character of distributions, sale gains and the investor’s circumstances. Tax treatment can depend on rental income, deductions, sale gains, holding period, ownership structure and local rules.

Build a side-by-side cash-flow sheet before investing. For a REIT, record the amount invested, all purchase and sale charges, distributions actually received, trust-level costs disclosed in reports, taxes and the market value at exit. For a property, add the full acquisition outlay, recurring operating costs, financing, vacancy assumptions, capital repairs, taxes, sale expenses and the value of your time. This prevents a gross rent figure from being mistaken for a net return.

Liquidity: easier does not mean instant

How REIT liquidity works

Listed REIT units can be bought or sold during exchange trading hours through the normal order process. SEBI Investor says that because REIT and InvIT units are listed, “there is reasonable liquidity (an exit option) for both the existing investors and the new investors..” That is a relative advantage over selling a building, not a promise that every order will execute immediately or at the price you want.

A SEBI-hosted risk disclosure warns that REIT trading volumes may be limited compared with equities. A thin order book can produce a wide bid-ask spread, partial execution or a price below the last traded price, particularly during market stress. A market order prioritises execution but gives up price control; a limit order controls the minimum sale price but may remain unfilled.

Why a property sale takes longer

Direct real estate has no continuous public order book. The owner normally must establish a realistic value, find and screen buyers, negotiate, complete title and encumbrance checks, arrange financing and documentation, and wait for registration and transfer. The process can be prolonged when demand is weak, the title is complicated, a tenant is in place or the property requires repairs. A quoted valuation is not the same as cash that can be accessed today.

A practical liquidity test

  1. Decide how quickly you might need the money: days, months or several years.
  2. For a REIT, examine recent trading activity, spreads and the size of the order you expect to place; do not rely only on the fact that the unit is listed.
  3. For a property, obtain a realistic sale estimate and ask how long comparable assets in the same micro-market take to close.
  4. Keep an emergency reserve outside either investment so that a forced sale does not determine the price.

Income and return mechanics

REIT income can come from rent and other property receipts, with property-sale gains also contributing in some circumstances. Those amounts are reduced by vacancies, tenant defaults, operating expenses, financing and management or professional costs before cash is available to investors. The unit price can rise or fall independently of a distribution because it reflects interest rates, expectations, risk appetite and the value investors place on the trust.

Direct property income is usually rent, while the other major outcome is a gain or loss on sale. Net income depends on occupancy, lease terms, collection, maintenance, taxes, insurance, financing and the owner’s ability to control costs. A property that appears to offer a high gross rent may produce little cash after vacancy and repairs.

Neither structure provides a guaranteed yield or appreciation rate. Treat projected rent, distribution or price growth as an assumption to test, not as an entitlement.

Risk comparison: where losses can originate

Risks specific to REIT investors

  • Market-price risk: the exchange price can fall even when rents are stable, and can move before the underlying properties are revalued.
  • Interest-rate risk: higher rates can increase borrowing costs, reduce property valuations and make income-oriented units less attractive relative to other investments.
  • Tenant and vacancy risk: a major tenant default, lease expiry or prolonged vacancy can reduce cash flow.
  • Sector and geographic concentration: a trust focused on one property type, city or tenant group may suffer a sharper downturn than a diversified portfolio.
  • Inflation and lease structure: fixed or slowly escalating rents may not keep pace with operating costs and inflation.
  • Regulatory and tax risk: changes to property, securities or tax rules can alter cash flows or investor obligations.
  • Management and operating risk: acquisition decisions, leverage, related-party arrangements, capital expenditure and execution affect results.
  • Trading-volume risk: limited activity can make it difficult to exit at a favourable price.

Risks specific to direct ownership

  • Single-asset concentration: one building and one location can determine most of the investment result.
  • Physical and operational risk: damage, obsolescence, inadequate maintenance or regulatory non-compliance can reduce rent and value.
  • Tenant risk: a vacant property or a non-paying tenant can interrupt income while expenses continue.
  • Local-market risk: new supply, infrastructure changes, zoning decisions or an economic slowdown can affect one neighbourhood disproportionately.
  • Execution and legal risk: title defects, disputes, encumbrances, documentation errors or delayed approvals can impair ownership or sale.
  • Leverage risk: loan repayments continue even if rent stops, and refinancing may become more expensive.
  • Exit-timing risk: the owner may have to accept a discount or wait through a weak market to obtain liquidity.
  • Management burden: leasing, repairs, collection and compliance require time or a paid manager, and the quality of service affects net income.

Physical ownership is not automatically safer because it cannot be repriced every second. Its value may appear stable simply because transactions are infrequent; an eventual sale can reveal the same market weakness that an exchange price would have shown earlier.

Diversification versus control

A REIT can spread exposure across properties, tenants, sectors or cities without requiring the investor to negotiate each lease. That diversification can reduce the damage from one vacancy, but it does not eliminate concentration: a trust may still depend heavily on one sector, geography or group of tenants. Read the portfolio and revenue concentration disclosures rather than assuming the word “REIT” means broad diversification.

Direct ownership gives control over the selected asset. You can decide whether to renovate, change the tenant mix, alter the lease strategy or sell, within the law and existing contracts. Control also means responsibility: a poor location choice, weak tenant screening or delayed repair is not diluted across a portfolio.

Tax: verify the rules that apply to you

Tax treatment can differ according to the type of REIT income, the nature and timing of a unit sale, the property’s rental income, the holding structure and the investor’s residential status. The Indian REITs Association primer dated September 2024 provides a comparison framework, but it should not be treated as a statement of tax law in force for every investor today.

Before committing money, check the current provisions, the trust’s latest distribution disclosure and your own filing position with a qualified tax adviser. Do not assume that a distribution, a property rent receipt and a capital gain are taxed in the same way, or that a rule applying to one investor applies to another. Keep contract notes, distribution statements, purchase documents and sale records so the calculation can be supported.

How to choose between the two

If your priority is… The structure that may fit better What you still need to accept
Starting with a smaller allocation and spreading exposure Listed REIT units Unit-price volatility, trust-level decisions and market-dependent execution.
Owning and managing one identifiable asset Direct property Large capital needs, concentrated risk and a potentially lengthy sale.
Access to money on a planned, shorter horizon Usually listed units, subject to trading volume and price An exchange listing does not guarantee a favourable or immediate exit.
Control over renovations, leasing and timing Direct property Operating work, legal obligations and exposure to one local market.
Delegating property operations Listed REIT units Management fees, governance risk and less influence over individual assets.
Using a property for your own occupation or business Direct property Occupancy decisions can reduce investment flexibility and liquidity.

A simple decision sequence

  1. Set the purpose. Decide whether the goal is diversified financial exposure, a specific operating property, rental use, or a combination.
  2. Set the time horizon. Money needed in the near term should not depend on selling an illiquid asset or on an uncertain market price.
  3. Set a maximum allocation. Include existing home ownership, loans and other real-estate exposure before adding either option.
  4. Stress-test cash flow. Model vacancies, higher interest rates, repairs, weaker rents and a delayed sale rather than using only an optimistic case.
  5. Check the evidence. For a REIT, review portfolio concentration, leases, debt, distributions, governance and trading activity. For a property, verify title, approvals, physical condition, comparable transactions, tenant quality and all ownership costs.
  6. Confirm taxes and documentation. Apply current rules to your facts before placing an order or signing a purchase agreement.

Due-diligence checklists

Before buying listed REIT units

  • Read the latest offer, periodic and financial disclosures available for the trust.
  • Identify the property types, cities, largest tenants, lease expiries and concentration levels.
  • Review debt, refinancing dates, interest-rate exposure and planned capital expenditure.
  • Check how much cash is generated by operations and how much depends on asset sales or other non-recurring items.
  • Observe trading volume and spreads for the order size you expect to place.
  • Understand management, trustee, related-party and conflict-of-interest disclosures.
  • Estimate investor-level charges and the tax treatment that applies to your account.

Before buying a property directly

  • Obtain independent title, encumbrance, approval and land-record checks.
  • Inspect construction quality, maintenance needs, access, utilities and compliance status.
  • Compare realistic rent and sale evidence from the same micro-market, not only the seller’s projection.
  • Review the lease, deposits, escalation clauses, termination rights and tenant payment history.
  • Budget for transaction charges, repairs, insurance, maintenance, taxes, vacancy and professional management.
  • Test the purchase against higher borrowing costs and a delayed sale.
  • Plan how ownership will be transferred, financed and documented if you need to exit.

Common mistakes to avoid

  • Confusing listing with liquidity: an exchange makes trading possible, not frictionless or price-certain.
  • Comparing gross rent with a REIT distribution: both figures need to be adjusted for their different operating and management costs.
  • Ignoring concentration: a single property and a narrowly focused REIT can carry similar exposure to one sector or city.
  • Using stale tax assumptions: rules and personal circumstances change; the September 2024 industry primer is not a substitute for current advice.
  • Counting unrealised appreciation as cash: a valuation or quoted price becomes a return only when an executable sale occurs.
  • Borrowing to force a decision: leverage can magnify a loss and can turn a temporary vacancy or market decline into a payment crisis.
  • Forgetting the investor’s time: direct management, tenant calls and repairs have an economic cost even when no cheque is written.

Bottom line

Choose listed REIT units when you want a comparatively accessible, exchange-traded way to diversify real-estate exposure and are prepared for market-price and trust-level risks. Choose direct property when you have the capital, expertise, time and long horizon to manage a specific asset and accept concentrated exposure and a slower exit. Compare both on net cash flow, total costs, concentration, tax treatment and the price-and-time risk of selling—not on a promised yield or the comfort of owning something tangible.
