For an active ransomware incident, hire a qualified incident response (IR) firm first. Its job is to determine what happened, identify affected systems and attacker activity, contain the intrusion, preserve evidence, and coordinate safe recovery. A ransomware negotiator can be added if your organization is considering communication with the extortion actor, but negotiation is a bounded workstream—not a substitute for technical response.
Bring in organizational leadership, internal IT and security, cyber-insurance representatives, counsel, and appropriate public agencies at the same time. U.S. federal agencies, including CISA, the FBI, and the NSA, strongly discourage paying ransom; payment may encourage attackers and does not guarantee decryption or deletion of stolen data.

Incident response firm and ransomware negotiator: the practical difference
The two roles can overlap commercially, but they answer different questions. An incident response firm answers: What happened, what is affected, how do we stop the attacker, and how do we recover safely? A negotiator answers: If we communicate with the extortion actor, who will handle that communication and how will it fit our decision process? This is a practical distinction, not a universal industry standard. Some providers offer both services, while others subcontract one of them, so the engagement must state who performs each task.
| Capability | Incident response firm | Ransomware negotiator |
|---|---|---|
| Primary purpose | Technical investigation, containment, mitigation, and recovery coordination | Communication with an extortion actor and advice on a negotiation process |
| Questions answered | Which accounts, endpoints, servers, cloud resources, and backups were compromised? Is the attacker still present? What can be isolated safely? | Should communication occur, who should communicate, and how should messages and proposals be managed? |
| Typical evidence work | Log, malware, phishing-email, storage-media, and system analysis; compromise assessment; threat hunting; evidence collection | Messages, deadlines, claimed data, and demands supplied by the attacker; it does not independently establish the full technical scope |
| Recovery role | Eradication recommendations, restoration sequencing, validation, and coordination with internal teams and vendors | May support a decision about communication or payment logistics, but cannot ensure decryption, data deletion, or future non-targeting |
| Decision authority | Advises technical leaders and incident leadership; the organization retains business and legal decisions | Advises on the communication workstream; leadership, counsel, and the insurer determine whether and how to proceed |
Because official guidance does not define a standard negotiator scope, never assume that a person called a “negotiator” also performs forensics, or that an IR firm automatically provides negotiation. Ask for a written division of labor, the names or roles of the people doing the work, and the person with authority to approve communications.

Why technical response comes before negotiation
Containment prevents a second wave
Ransomware operations often involve stolen credentials, active remote access, scheduled tasks, or persistence in cloud and on-premises systems. Until those footholds are identified and contained, restoring a server or paying an attacker can leave the organization exposed to reinfection. An IR team can recommend isolation, credential resets, blocking, and monitoring based on evidence rather than on the extortion note alone.
Scope determines the real decision
An extortion actor may claim to have copied data or encrypted every system. Those claims are not proof. Investigators examine authentication records, endpoint telemetry, network and cloud logs, backup activity, malware, and affected storage to establish what was accessed, altered, or encrypted. The result informs notification duties, operational priorities, safety decisions, and any discussion about recovery options.
Recovery needs independent validation
Decryptors can fail, contain additional malware, or restore files that remain unsafe to use. A technical team should identify a clean recovery point, remove persistence, test restored systems, and monitor for renewed attacker activity. A negotiator can relay a key or deadline, but cannot validate that the environment is clean or that a promised deletion has occurred.

What to do in the first hours
Use your incident-response plan if one exists. CISA’s September 2023 joint ransomware guide recommends a checklist, coordinated incident-response and communications plans, leadership updates, and engagement with relevant stakeholders. The following sequence adapts those priorities for an active event.
- Declare an incident and assign one incident lead. Record the time discovered, systems showing encryption or suspicious activity, ransom notes, usernames, phone numbers, cryptocurrency addresses, and observed deadlines. Restrict public statements to the designated communications lead.
- Preserve evidence before changing systems. Save ransom notes, phishing messages, relevant logs, volatile data where feasible, and images or copies requested by investigators. Do not wipe or rebuild machines solely to make them operational; doing so can destroy evidence and persistence indicators.
- Contain with technical guidance. Ask internal security staff or the IR firm how to isolate affected segments, disable compromised accounts, block known command-and-control paths, and protect backups without interrupting safety-critical operations. Avoid improvised actions that could erase evidence or spread encryption.
- Activate the response team. Notify leadership, IT and security, legal counsel, the cyber insurer or broker, and critical service providers. Check the policy for notice requirements, panel counsel, approved vendors, consent rules, and documentation expectations; those terms vary by policy and jurisdiction.
- Contact public agencies when appropriate. CISA, the local FBI field office, the FBI Internet Crime Complaint Center (IC3), and the U.S. Secret Service are identified in the joint guide as possible sources of assistance. Prompt reporting can help agencies connect related incidents and preserve intelligence.
- Engage an IR firm. Give the firm the available timeline, network diagrams, identity architecture, backup information, ransom notes, and insurance contacts. Confirm the on-call number and who can authorize urgent containment work.
- Decide whether a negotiation workstream is needed. Let the incident lead, counsel, insurer, and leadership determine whether contacting the actor is useful or safe after the technical team has established the initial facts. If communication is approved, route it through the designated negotiator and keep all messages in the incident record.
What an incident response firm should deliver
Compromise assessment and forensic investigation
Ask how the firm will identify the initial access vector, compromised identities, lateral movement, persistence, data access, encryption activity, and remaining attacker presence. Scope should name the systems and data sources covered, the evidence format, retention period, and reporting cadence. CISA describes federal asset-response assistance that can include remote compromise assessment, analysis of submitted phishing emails, storage media, logs, and malware, and full-disk forensics when needed. A private firm’s exact services depend on its contract.

Containment, eradication, and threat hunting
The statement of work should explain how investigators turn findings into actions: isolating hosts, disabling or rotating credentials, removing persistence, blocking malicious infrastructure, checking for dormant access, and monitoring for re-entry. Clarify which actions the firm may take directly and which require your approval. Ask whether it can hunt across endpoints, identity systems, cloud workloads, virtual infrastructure, and backup environments relevant to your organization.
Recovery coordination
Recovery is more than restoring files. The provider should help prioritize business services, verify that backups are usable and not contaminated, coordinate with infrastructure and application owners, test restored systems, and define heightened monitoring after restoration. Confirm whether it will remain available during rebuilds or hand off to your managed service provider.

When a ransomware negotiator adds value
Communication is a controlled decision, not an automatic step
A negotiator may help interpret an actor’s messages, establish a controlled communication channel, ask operational questions, and manage deadlines if leadership authorizes contact. The negotiator should not decide alone whether the organization will pay, disclose information, or accept a proposed condition. Keep technical findings and business, legal, and safety considerations in the decision record.
Set boundaries before the first message
Agree in writing on who approves each communication, what information may be disclosed, who speaks for the organization, how messages are authenticated and archived, and when contact stops. Include a rule that the negotiator must immediately report threats to publish data, evidence of continuing access, changes in demands, or requests that could create legal or safety risk.

Understand what negotiation cannot promise
- A threat actor’s statement that data was deleted is not independently verifiable merely because the actor says so.
- A decryptor, if supplied, may not recover every file or may contain harmful code.
- Payment does not guarantee recovery, confidentiality, or that the organization will not be targeted again.
- A negotiator cannot replace forensic scoping, containment, eradication, or recovery validation.
Some IR firms combine negotiation and technical work. If yours does, ask whether the same team controls both functions, whether subcontractors are involved, and how conflicts are handled when a negotiation recommendation could increase technical or legal risk.

Questions for every provider
- Technical scope: Do you provide digital forensics, affected-system scoping, threat hunting, containment recommendations, eradication guidance, recovery support, and post-restoration monitoring? Which items are excluded?
- Staffing: Who will lead the case, who performs the work, and are subcontractors used? Can the same people remain assigned through recovery?
- Availability: What is the actual on-call path, escalation process, and contractual response commitment? Do not rely on a marketing claim; put the arrangement in the engagement letter.
- Negotiation boundaries: Is negotiation offered at all? Who approves contact, who communicates, and what decisions remain with the client?
- Independence: Do you have relationships with payment facilitators, insurers, technology vendors, or other parties that could create incentives or conflicts? How are those conflicts disclosed and managed?
- Evidence handling: How are images, logs, credentials, and reports protected? What are the retention, access, export, and deletion terms?
- Reporting support: Will you brief leadership, counsel, the insurer, regulators, and law enforcement? Can you provide a defensible timeline and indicators of compromise?
- Commercial terms: What are the hourly or fixed-fee rates, retainer drawdown rules, travel charges, minimums, scope limits, termination rights, and overage approvals?
No standard market price or universal service level is established by the federal guidance cited here. Compare the actual engagement documents rather than assuming that a familiar label includes a particular tool, response time, or outcome.
Insurance, counsel, and public agencies must be coordinated
CISA identifies cyber insurers, organizational leadership, IT teams, and managed security providers as relevant stakeholders. Notify the insurer promptly if the policy requires it, and ask whether consent is required before hiring counsel, an IR firm, a negotiator, a payment facilitator, or a restoration vendor. A policy may have a preferred panel or reimbursement conditions, but there is no universal rule that a particular vendor will be covered or that a ransom payment will be reimbursed.
Counsel should coordinate legal holds, privilege strategy, notification analysis, sanctions review, and communications. The IR firm supplies technical facts; counsel decides how those facts are used in legal and regulatory work. Keep the roles distinct even when one company offers several services.
Federal asset-response assistance may include remote assessment, containment and mitigation recommendations, analysis of submitted evidence, investigation, evidence collection, intelligence, identification of related incidents, and coordination with threat-response functions. These are possible public resources, not a guaranteed service level and not a replacement for a private provider when the organization needs immediate, hands-on support.

The FBI advises prompt reporting of suspected compromise. Its published statement is direct: Victims with incident response plans are often able to respond faster and more efficiently and can significantly limit the damage caused by a ransomware incident.
Reporting also gives investigators a chance to connect infrastructure, malware, and victim information across cases.
Payment, sanctions, and reporting obligations
Payment is discouraged and uncertain
CISA, the FBI, and the NSA strongly discourage ransom payment. Their BlackMatter advisory warns that payment may embolden adversaries and does not guarantee file recovery. Do not present a negotiator as someone who can secure a reliable decryptor, deletion of stolen data, or immunity from another attack.
Sanctions review is mandatory before any transaction
The 2023 response checklist points to Treasury Office of Foreign Assets Control (OFAC) guidance concerning sanctions risks associated with facilitating ransomware payments. A payment decision should involve qualified counsel and the insurer and should account for current designations, jurisdiction, intermediaries, cryptocurrency procedures, and documentation. Screening an address or intermediary once is not a substitute for current legal advice.
Check whether a 24-hour federal reporting rule applies
A 2024 U.S. Code text cited in federal materials states that a covered entity making a ransom payment must report it to the responsible agency no later than 24 hours after payment. The text allows a covered entity to use a third party—such as an IR company, insurer, service provider, information-sharing organization, or law firm—to submit required reports. This is not a universal rule for every organization or jurisdiction. Counsel must verify covered-entity status, current amendments, implementing rules, and any other applicable federal, state, or non-U.S. reporting duties before relying on it.

Hiring a negotiator before finding the attacker
Early communication can consume attention while an attacker remains inside the environment. Make technical scoping and containment the first procurement priority, then add negotiation under the same incident command structure if needed.
Best Value
Assuming a label equals a capability
“Ransomware specialist,” “crisis response,” and “negotiator” are not standardized service definitions. Request a task-by-task scope, named personnel, subcontractor disclosures, and examples of the reports you will receive.
Letting a vendor make the pay/no-pay decision
The decision affects operations, legal exposure, sanctions, ethics, insurance, and public trust. The provider can supply facts and options, but leadership, counsel, and the insurer should own the decision.
Restoring before proving the environment is clean
Rebuilds performed without checking identity systems, management tools, backups, and persistence can reintroduce the attacker. Require eradication evidence, credential controls, backup validation, and monitoring criteria before declaring recovery complete.
Free tools Windows power users keep installed
One-click scans. No signup required.
Ignoring contract mechanics during a crisis
Ambiguous scope, unclear authority to isolate systems, missing evidence terms, and surprise fees slow response. Have counsel and the insurer review the engagement letter as soon as practical, while preserving the ability to authorize urgent containment work.
A decision framework for leadership
- Protect people and critical operations. Identify safety-critical or legally protected systems and establish who can order an emergency shutdown.
- Establish facts. Use IR expertise to determine initial access, current attacker presence, affected assets, encryption status, and data exposure.
- Set governance. Name the incident lead and define approval paths for technical actions, external communications, law-enforcement contact, and any payment discussion.
- Evaluate options. Compare restoration from clean backups, rebuilding, decryption if lawfully obtained, and other recovery paths. Include downtime, data integrity, legal, sanctions, and safety consequences.
- Document and report. Preserve decisions, evidence, provider advice, insurer instructions, and agency reports. Recheck deadlines as facts and laws change.
In practical terms, the answer to “Which should we hire?” is usually not either/or. Hire the IR firm that can immediately scope and contain the compromise; use a negotiator only when leadership, counsel, and the insurer decide that controlled communication with the actor is a useful and lawful part of the response.
