Do not treat ransom negotiation as a recovery plan. First activate your approved incident-response plan, contain the intrusion, preserve evidence, involve leadership, counsel and your insurer, and assess clean-backup or rebuild options. If payment is being considered, require documented answers about recovery, data theft, legal exposure, sanctions and transaction controls. If you may hire a negotiator, verify exactly what that person will do, how they protect sensitive information, how they coordinate with responders and counsel, and what happens if negotiations or decryption fail.
U.S. federal guidance does not encourage ransom payment. The FBI, CISA and Australia’s ACSC state that payment does not guarantee file recovery. CISA, the FBI, NSA and MS-ISAC also warn that payment does not ensure decryption, uncompromised systems or data, or that stolen information will not be leaked.

What to do before anyone negotiates
In an active incident, negotiation is only one workstream. Use the organization’s approved incident-response plan and establish a single decision structure for technical, legal, operational and communications actions.

- Identify what is still operating. Record critical services, dependencies, safety systems, backups, identity infrastructure and externally hosted systems that remain available. Determine whether the attacker still has access.
- Bring in the right stakeholders. Include executive leadership, internal or external incident responders, legal counsel, privacy and compliance staff, the cyber insurer and any managed security provider. Assign who can recommend an action and who has authority to approve it.
- Protect communications. Use known-clean channels and restrict discussion of the incident to people who need the information. Assume compromised email or collaboration accounts may be monitored.
- Report and request help promptly. In the United States, CISA’s guidance points organizations to CISA, the local FBI field office and the FBI Internet Crime Complaint Center (IC3). The Play ransomware advisory urges reporting whether or not a victim pays.
Do not wait for a negotiator to begin containment, restoration planning or mandatory notifications. A negotiator cannot remove persistence, rebuild compromised systems or determine every reporting duty.

What payment can and cannot buy
A ransom demand is an attacker’s claim, not an assurance. Payment may result in a decryptor, a promise to delete stolen data or a short-term reduction in pressure, but each outcome remains uncertain. The decryptor may be defective, incomplete or too slow for the organization’s needs. Criminals may retain copies of data, sell access or attack again. Systems can remain compromised even after files are decrypted.
The joint #StopRansomware response checklist states that paying will not ensure that data is decrypted, systems or data are no longer compromised, or data will not be leaked. The FBI, CISA and ACSC similarly say that payment does not guarantee victim files will be recovered. Payment can also embolden further attacks, which is why federal guidance does not recommend it.
As of May 2025, the FBI reported that approximately 900 entities had allegedly been affected by Play ransomware. That figure describes reported allegations, not a universal probability of compromise or a payment-success rate. No reliable industry-wide payment or negotiation success percentage is established by the cited government material.

What is the strongest recovery path without paying?
Ask the technical response team to compare clean backups, offline or immutable copies, rebuilds, restoration from unaffected systems and incident-response-led recovery. Require an estimate of time to restore each critical service, the data that would be lost, dependencies that must be rebuilt and the tests needed to establish that restored systems are trustworthy.
Backups are not automatically safe. Confirm when they were last tested, whether attackers reached backup administration, whether credentials or recovery keys were exposed and whether restoration can occur in an isolated environment. A payment decision should not substitute for eradication and rebuilding trust in identity, endpoints, servers and cloud services.

What exactly is affected?
Separate encrypted systems from systems merely unavailable because they were disconnected. Identify affected business units, geographic locations, critical processes, privileged accounts and third parties. Determine whether the attacker still has command-and-control access and whether reinfection could occur during restoration.
Is there evidence that data was stolen?
Ransomware groups often combine encryption with extortion, but a claim of exfiltration is not proof. Ask for forensic indicators such as unusual outbound transfers, archive creation, cloud-storage activity, data-volume estimates and the time window of access. Document what is known, what is inferred and what remains unverified.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minutePotential theft can trigger privacy, contractual, sector-specific and customer-notification duties. The correct deadline and authority depend on the jurisdictions and data involved; have counsel map those obligations rather than assuming that payment or a deletion promise ends them.
What would payment actually provide?
Obtain the proposed deliverables in writing: a decryptor, keys for specified systems, technical instructions, a test process, a claimed deletion commitment, a deadline and any conditions. Ask how the decryptor will be tested on representative copies before broad deployment, who bears the risk of corruption and what support exists if the tool fails.
List what payment does not provide: certainty of decryption, restoration of applications, removal of attacker access, proof that stolen data was deleted, immunity from future targeting or relief from notification duties.

Have law enforcement and government responders been engaged?
Prompt reporting can provide technical assistance, threat intelligence and coordination. In the United States, consider CISA, the local FBI field office and IC3, following the channels in your response plan. Share ransom notes, cryptocurrency addresses, timelines, indicators and contact details when permitted. Reporting is appropriate whether the organization pays or refuses.
Has counsel reviewed sanctions and transaction risk?
U.S. sanctions can prohibit transactions involving designated or blocked persons and entities. The U.S. Treasury’s sanctions guidance explains that a payment can create exposure when a sanctioned party or prohibited jurisdiction is involved and encourages reporting incidents and payments with a potential sanctions nexus.
Use current sanctions lists and case-specific advice from qualified sanctions counsel or compliance professionals before authorizing any transfer. A negotiator, broker or cryptocurrency intermediary cannot make the organization’s legal determination. Preserve the screening results, approvals and transaction records.
Are leadership and the insurer aligned?
Confirm who can approve a payment, who can authorize public statements and who communicates with customers, regulators and employees. Notify the insurer through the policy’s required channel and ask whether prior consent, an approved vendor, a panel counsel arrangement or specific documentation is required. Coverage and consent depend on the actual contract; government guidance does not decide whether a particular policy covers negotiation fees, incident response or a ransom.
Questions to ask before hiring a ransomware negotiator
There is no universal government-approved negotiator credential identified in the cited federal guidance. Treat hiring as due diligence, not as a search for an official badge.

Define the role and decision rights
- Will the negotiator handle communications only, threat-actor analysis, payment logistics, incident-response coordination or a combination?
- Who performs each task, and who owns the final decision to pay, refuse, notify or restore?
- Will the negotiator communicate directly with the attacker, and how will those communications be logged and preserved?
- What work is explicitly outside the engagement, such as forensic imaging, legal advice, sanctions determinations or public-relations management?
Test relevant experience
Ask for comparable incidents by sector, operating environment, ransomware behavior and business impact. Request substantiated examples without demanding another client’s confidential information. Experience with a particular threat actor is useful context, not a guarantee that the current actor will honor a promise or provide a working tool.
Get scope, availability and fees in writing
- Specify deliverables, milestones, response times, after-hours coverage and an escalation path.
- Ask whether fees are hourly, fixed, contingent on the amount negotiated or contingent on a ransom being paid.
- Identify cryptocurrency, transfer, travel, subcontractor and emergency charges.
- Require conflict-of-interest disclosures and explain how competing engagements are handled.
- Define termination rights if the attacker disappears, negotiations become unsafe or leadership chooses recovery without payment.
Protect data, credentials and privilege
Ask what information and credentials the negotiator needs, whether access can be read-only or time-limited, where data is stored, who can access it, how it is encrypted and when it is deleted. Establish retention and breach-notification terms. Coordinate the engagement with counsel if preserving legal privilege is important, while recognizing that privilege rules vary and are not created merely by labeling a vendor “confidential.”
Require coordination and evidence preservation
The negotiator should work within the incident command structure and coordinate with internal responders, counsel, the insurer, law enforcement and government response teams as authorized. Require preservation of messages, timestamps, wallet addresses, offers, decryptor samples and decision records so they can support investigation, reporting and later legal review.
Clarify sanctions and compliance responsibilities
Ask who performs sanctions screening, which current lists and legal authorities are used, what qualifications support the advice and how a potential match is escalated. The organization’s counsel and compliance function must make or approve the legal determination. Do not accept an intermediary’s assurance as a substitute for that review.
Demand a failure plan
Before signing, ask what happens if negotiations fail, the actor stops responding, a decryptor corrupts files or stolen data is published despite payment. The plan should cover continued containment, restoration, notification, law-enforcement updates, customer communications and monitoring for follow-on attacks.
Best Value
Compare the real response options
Put payment alongside recovery alternatives rather than treating it as the default. Score each option using the same facts and assumptions, and record uncertainty.
| Option | Questions to evaluate | Important limitations |
|---|---|---|
| Clean-backup restoration and rebuild | How quickly can critical services return? Are backups isolated, complete and tested? What must be rebuilt? | Restoration can be slow; compromised identity, endpoints or applications may require extensive eradication and validation. |
| Incident-response-led recovery | Can responders identify persistence, scope and safe recovery order? What evidence and specialist capacity are available? | Findings may change as evidence is collected; recovery time and cost are case-dependent. |
| Negotiation without payment | Can communication yield intelligence, time or a safer path to restoration while recovery proceeds? | Attackers may stop responding, provide false information or continue extortion. |
| Payment after documented review | What specific deliverables are offered, and have legal, sanctions, insurer and leadership approvals been obtained? | No guarantee of decryption, data deletion, confidentiality, no reinfection or freedom from notification duties. |
Evaluate every option against six criteria: time and probability of restoring critical operations; completeness and integrity of recoverable data; persistence, exfiltration and reinfection risk; legal, sanctions, privacy and regulatory exposure; direct cost and insurance conditions; and effects on employees, customers, patients or public services.
Legal, privacy and insurance questions are separate from negotiation
Payment does not erase the underlying incident. Counsel should determine whether personal, health, financial, regulated or contractually protected data was accessed, what notices are required and whether regulators, customers, employees or business partners must be informed. Preserve a factual timeline and avoid promising that data was deleted unless evidence supports that statement.

Sanctions analysis is time-sensitive. Recheck current U.S. Treasury requirements and lists immediately before a transaction, and document the identity information used for screening. Organizations outside the United States may face different sanctions, anti-money-laundering, reporting and payment rules; obtain advice in every relevant jurisdiction.
Insurance coordination should begin early because policies may impose notice deadlines, consent requirements, approved-provider rules, sublimits, deductibles or exclusions. Ask the insurer what documentation it needs, but do not assume an insurer’s preferred vendor or approval resolves legal, technical or governance responsibilities.
Reporting and assistance in the United States and elsewhere
CISA’s #StopRansomware guidance describes voluntary federal assistance that can include technical support, remediation advice and coordination. The FBI/CISA/ACSC Play advisory urges prompt reporting regardless of whether the victim pays. Share enough information for responders to act while following counsel’s guidance on confidentiality and disclosure.
U.S. channels are not universal. Organizations elsewhere should contact their national cyber-incident authority, local law enforcement and any sector regulator required by local law. Cross-border victims may need coordinated advice because the affected entity, data subjects, infrastructure and attacker can be in different countries.
After the decision: recovery and follow-through
- Keep containment active. Rotate exposed credentials, remove unauthorized persistence, segment networks and monitor for renewed access.
- Validate restoration. Restore into an isolated environment, scan and test systems, verify application dependencies and confirm that identity and administrative controls are trustworthy before reconnecting production.
- Continue evidence handling. Preserve negotiation records, forensic images, logs, payment approvals, transaction records and communications under the organization’s retention and legal-hold procedures.
- Complete notifications and reports. Update law enforcement, government responders, the insurer, regulators and affected parties as facts become established and deadlines require.
- Review resilience. Close exploited access paths, improve multifactor authentication and privileged-access controls, test offline recovery, and update the incident-response plan with lessons that do not expose confidential details.
A refusal to pay still requires full recovery work, and a payment still requires full recovery work. The objective is to restore safe, reliable operations and meet legal and reporting duties—not merely to obtain a code or end a chat with an attacker.
