Questions to Ask Before Buying Shares in a Highly Leveraged AI Company

Start with debt service and liquidity, not the growth story. An AI company can report surging demand and still destroy shareholder value if operating cash cannot cover interest, maturities, maintenance capital expenditure and the cost of replacing obsolete equipment. Before buying, map every obligation, test a downside cash runway, identify refinancing and covenant failures, calculate fully diluted ownership, and verify that data-center assets can earn an acceptable return after power, depreciation and financing costs.

This is a due-diligence framework, not a recommendation to buy or sell any security. Use the issuer’s latest Form 10-K, Form 10-Q, debt agreements, earnings release and proxy statement; refresh balances, maturities, share counts, concentrations and capex assumptions each reporting period.

1. What makes this company “highly leveraged”?

There is no universal debt-to-equity threshold that defines dangerous leverage for an AI business. The useful question is whether recurring cash generation and readily saleable assets can meet fixed obligations through a normal downturn. AI infrastructure often combines debt, equipment leases, data-center leases, power commitments and customer prepayments, so balance-sheet debt alone can understate the claim on future cash.

  • Finance leases, operating leases, take-or-pay power contracts and data-center commitments.
  • Supplier financing, guarantees, letters of credit, special-purpose entities and other contingent liabilities.
  • GPU or other equipment financing, including collateral and required replacement spending.

Calculate net debt-to-EBITDA only when EBITDA is a meaningful, recurring measure. For loss-making or rapidly expanding companies, net debt-to-operating-cash-flow and fixed-charge coverage are more informative. Reconcile non-GAAP EBITDA to GAAP operating income and cash flow; exclude “one-time” costs only when the evidence shows they will not recur.

Read the financing dependency warning

Applied Digital’s 2026 Form 10-Q risk disclosure says planned expenditures may require customer prepayments, operating cash and new equity or debt, and warns that financing may not be available on favorable terms. That is a direct test of the business model: if the next build-out depends on repeatedly accessing capital markets, a credit-market shutdown can halt growth or force an expensive, dilutive raise.

2. Can operating cash cover interest, principal and required AI capex?

Revenue growth does not pay lenders; cash does. Reconcile the cash-flow statement to the claims made in the earnings presentation and then calculate what remains after the obligations that cannot be deferred.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Perform a cash-coverage bridge

  1. Start with cash flow from operations, using the reported period and a normalized working-capital assumption.
  2. Subtract cash interest, mandatory principal amortization and required lease payments.
  3. Subtract maintenance capital expenditure needed to keep existing GPUs, networking, cooling and facilities productive.
  4. Separate growth capex from maintenance capex. A company may pause expansion, but it cannot indefinitely avoid replacing failed or obsolete equipment.
  5. Adjust for customer prepayments and deposits. Treat them as financing until the related service is delivered, not as freely available profit.
  6. Compare the resulting amount with scheduled maturities and the next twelve months of committed spending.

A positive accounting operating margin can coexist with negative free cash flow when receivables grow, customers pay late or equipment purchases accelerate. Conversely, a temporary customer deposit can make one quarter look strong. Examine several quarters and the cash-flow statement, not just adjusted earnings.

Use coverage ratios that match the risk

Interest coverage is EBIT or operating cash flow ÷ cash interest. Fixed-charge coverage adds lease payments and other unavoidable charges. If either ratio relies on a forecast rather than demonstrated cash generation, show the forecast assumption beside the ratio. A company that covers interest but not principal or maintenance capex still requires outside funding.

Veritone’s 2026 annual report warns that failing to refinance its convertible notes could require significant cash at maturity in 2026 and that operating cash flow may be insufficient to pay its obligations. The warning illustrates why “interest covered” is not the same as “solvent”: a single maturity can overwhelm otherwise acceptable quarterly coverage.

3. How long will the cash last in a downside case?

Liquidity runway should be calculated from unrestricted cash and committed revolver capacity, then tested against a realistic operating shock. Do not count restricted cash, undrawn facilities subject to unmet covenants or an equity raise that has not been committed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Calculate a transparent runway

  1. List unrestricted cash, cash equivalents and available borrowing capacity as of the latest reporting date.
  2. Subtract debt service, lease payments, contractual capex and other unavoidable cash uses during the period.
  3. Apply a conservative operating burn based on recent cash flow, not management’s most optimistic forecast.
  4. Stress lower GPU or facility utilization, delayed customer payments and weaker pricing.
  5. Model the date on which cash falls below the company’s minimum operating balance.
  6. Run a second case in which new shares are issued at a depressed price and calculate the ownership transferred to new investors.

Present the result as months of liquidity under each case. A runway calculation is not a promise that cash will last that long; it is a way to expose which assumption causes the shortfall.

Why losses matter even during growth

C3.ai reported net losses of approximately $288.7 million in fiscal 2025, $279.7 million in fiscal 2024 and $268.8 million in fiscal 2023. Multi-year losses do not automatically make an AI company uninvestable, but they make revenue growth an incomplete liquidity answer. Determine whether losses are narrowing, whether gross margin is improving and whether operating cash flow is approaching self-funding before assuming that scale will solve the problem.

4. Which refinancing or covenant event could break the thesis?

Construct a maturity wall listing every borrowing and lease obligation by quarter. Include mandatory prepayments, springing maturities, collateral releases and change-of-control provisions. Then read the covenant definitions: “adjusted” leverage and EBITDA can differ materially from the numbers in the income statement.

Stress the refinancing assumptions

  • What if benchmark interest rates are higher when the debt matures?
  • What if lenders refuse to roll the debt or demand additional collateral?
  • What if a utilization or minimum-liquidity covenant is breached?
  • What assets can be sold quickly, and are they already pledged?
  • Does a change of control accelerate repayment or restrict a strategic sale?

Model refinancing at a higher spread, a smaller principal amount and a lower valuation. If the company must issue equity to repay debt, include that dilution in the per-share outcome rather than treating the raise as a neutral event.

The International Monetary Fund’s 2026 analysis estimates $3.4 trillion in AI-related capital expenditure through 2029 and reports more than $100 billion in hyperscaler bond financing since January 2025. The scale of planned spending can support demand for infrastructure, but it also means many issuers may compete for debt at the same time. The IMF cautions that earnings and cash buffers could prove insufficient, creating balance-sheet pressure.

5. What is the fully diluted share count?

Use the ownership number that would exist after every in-the-money or contractually possible security is counted. Start with basic shares, then add:

  • Vested and unvested options and restricted stock units.
  • Warrants and preferred securities that can convert into common shares.
  • Convertible notes, using the applicable conversion price and any make-whole or capped-call terms.
  • At-the-market programs and committed equity facilities.
  • Shares needed to fund the modeled capex shortfall or refinance debt.

Calculate dilution under at least two prices: the current price and a stressed price after a 30% to 50% decline, or another clearly justified assumption. A lower share price means more shares must be issued to raise the same cash. Applied Digital warns that equity or convertible financing may substantially dilute existing stockholders and may carry rights senior to common stock. Cerebras likewise warns that additional equity or convertible debt can cause significant dilution.

Check who receives priority

Read liquidation preferences, conversion features, voting rights, registration rights and interest paid in kind. A security that does not appear in basic shares can still rank ahead of common stock in a restructuring. Include preferred dividends and convertible interest in the cash model as well as in the share-count model.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

6. Are customers, receivables and suppliers too concentrated?

Concentration converts one contract loss into a liquidity event. Review the customer-concentration note, accounts-receivable aging, renewal terms and the identity of the party ultimately paying for usage.

Test receivable quality

Separate billed receivables from unbilled usage, deposits and amounts subject to acceptance. Check how much is past due, whether one customer has disputed invoices and whether the company has sold or pledged receivables. Cerebras reported that one customer represented 77.9% of accounts receivable at December 31, 2025. That percentage does not predict a default, but it means the customer’s payment timing and credit quality deserve a central place in the liquidity model.

Map infrastructure dependencies

For a data-center operator, identify dependence on a small number of GPU vendors, networking suppliers, power providers, landlords and hyperscaler customers. IREN identifies dependence on a small number of equipment suppliers as a material risk. A delayed shipment, allocation decision or price increase can postpone revenue while lease and interest payments continue.

7. Will the AI assets earn an adequate return before they age out?

AI equipment has a short economic life relative to long-term financing. Evaluate each deployment on the cash it can generate after all operating and capital costs, not on the number of GPUs installed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build an asset-level unit economics model

Item Question to answer
Utilization What percentage of available compute hours is contracted, delivered and actually billed?
Pricing Is revenue fixed, usage-based or subject to customer renegotiation?
Power and cooling What is the cost per delivered compute hour, and how does it change with electricity prices?
Networking and maintenance Are interconnect, staffing, repairs and software included in the quoted margin?
Depreciation Does the useful life match the pace of chip and system obsolescence?
Financing What interest, lease cost and collateral requirements attach to the equipment?
Residual value What resale value remains if a newer generation makes the hardware less competitive?

Compare contracted utilization and pricing with the full cost stack. Stress lower utilization, falling rental rates, higher power prices and a faster technology refresh. A facility can be technically full yet economically unattractive if customers demand discounts below depreciation and financing cost.

8. Is demand durable or based on optimistic forecasts?

Divide reported revenue into contracted backlog, signed but not yet commenced work, recurring usage and management’s pipeline. Pipeline and total-addressable-market estimates are not revenue until customers commit budgets and pay invoices.

Questions for the demand model

  • What are renewal rates, contract lengths, termination rights and minimum purchase commitments?
  • How much revenue depends on one customer, one workload or one geographic market?
  • Are prices fixed for the contract term, indexed to power costs or reset at renewal?
  • What gross margin remains after pass-through power, cloud and networking costs?
  • Could customers bring workloads in-house, switch suppliers or reduce AI budgets?
  • Does management’s forecast match prior bookings, backlog conversion and collection history?

C3.ai lists reduced demand, competition, market contraction and inability to forecast demand as risks. Use those risks to build a bear case rather than assuming that every announced AI project becomes durable consumption.

9. What contingent or interconnected obligations are hidden?

Read footnotes and related-party disclosures for guarantees, take-or-pay contracts, supplier financing, customer prepayments, special-purpose entities and long-term leases. The IMF notes that AI financing can include leveraged loans and intercorporate arrangements. Economic leverage can therefore exceed the debt line on the balance sheet.

Follow cash through related entities

Identify who owns the data center, who leases the equipment, who supplies power and who receives customer payments. A parent guarantee may turn a subsidiary’s failure into a parent-level obligation. Conversely, cash trapped in a project entity may not be available for corporate debt service. Reconcile intercompany loans, restricted cash and non-recourse language before treating project financing as isolated.

10. Does management disclose measurable milestones and downside actions?

Strong disclosure turns a growth plan into a testable investment case. Look for targets tied to:

  • Utilization, backlog conversion and customer renewals.
  • Gross margin after power, depreciation and pass-through costs.
  • Operating cash flow, free cash flow and leverage.
  • Return on invested capital for each data-center or equipment tranche.
  • Debt reduction, refinancing dates and minimum liquidity.

Compare guidance with previous forecasts and actual results. Reconcile adjusted metrics to GAAP and ask which costs management excludes. Vague statements about “strong AI demand” are insufficient when filings show losses, financing dependence or a near-term maturity. Also examine executive and director ownership, related-party transactions and whether the board has approved a credible response to a downside case.

11. What does a bear-case valuation imply?

Build bull, base and bear cases that change the variables that matter to a leveraged company:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Variable Bull case Base case Bear case
Utilization Higher contracted use and renewals Management plan adjusted for execution history Lower use, delayed deployments and churn
Pricing Stable or rising rates Moderate competitive pressure Discounting and lower usage-based revenue
Capex Efficient expansion Scheduled build-out Maintenance overruns and accelerated replacement
Interest and refinancing Debt rolls on acceptable terms Higher spread at maturity Refinancing unavailable or requires equity
Dilution No new equity Partial funding raise Large raise at a depressed share price
Terminal value Long useful lives and durable growth Normalizing growth Rapid obsolescence and low residual value

Value equity after debt, preferred claims and expected dilution, not by applying a sales multiple to enterprise revenue. A leveraged company can grow revenue while equity value falls if interest, capex and capital costs grow faster. The cited filings establish these mechanisms; they do not provide a fair value for an unspecified issuer, so the valuation must be built from the company’s own numbers.

How to compare two leveraged AI companies

When choosing between issuers, put the same assumptions and definitions into a side-by-side worksheet. The comparison should include:

Axis What to compare
Leverage Net debt, lease-adjusted debt, debt-to-operating-cash-flow and the maturity wall
Coverage Cash interest, fixed charges, mandatory principal and maintenance capex
Liquidity Unrestricted cash, committed revolver capacity and downside runway
Asset economics Contracted utilization, pricing, power cost, depreciation and return on invested capital
Concentration Largest customers, receivables, suppliers, landlords and power providers
Dilution Options, convertibles, warrants, preferred securities and stress-case financing
Profitability Gross-margin trajectory, operating cash flow and free cash flow
Refinancing Rates, covenants, collateral, maturities and lender concentration
Technology risk Refresh cycle, resale value and exposure to a faster generation change
Governance Disclosure quality, guidance accuracy and board oversight of risk
Valuation Per-share outcomes under explicit bull, base and bear cases

Red flags that should stop the purchase until resolved

  • A maturity arrives before projected free cash flow turns positive.
  • Management describes financing as necessary but provides no committed source or amount.
  • Interest is covered only by adjusted EBITDA while operating cash flow remains negative.
  • Customer deposits or receivable sales make cash flow appear stronger than underlying collections.
  • One customer, supplier or landlord can materially impair operations.
  • Fully diluted shares are omitted from per-share forecasts.
  • Debt covenants depend on optimistic utilization or non-GAAP add-backs.
  • Growth capex is presented without maintenance capex or equipment replacement assumptions.
  • Forecasts repeatedly miss bookings, margins, collections or utilization milestones.

A practical pre-purchase process

  1. Download the latest annual and quarterly filings, debt agreements and proxy statement.
  2. Create a maturity and commitment schedule, including leases and contingent obligations.
  3. Rebuild operating cash flow and free cash flow from the statements.
  4. Calculate interest, fixed-charge and debt-service coverage.
  5. Run base and downside liquidity cases through the next maturity.
  6. Build the fully diluted share count and model any required financing.
  7. Test customer, receivable, supplier and power concentration.
  8. Underwrite each AI asset after power, networking, maintenance, depreciation and financing.
  9. Compare contracted demand with pipeline and management forecasts.
  10. Set explicit conditions that would invalidate the thesis, such as a covenant breach, failed refinancing or utilization below the level needed to cover fixed costs.

The decision should survive a period of lower demand, higher rates and delayed collections without relying on an immediately available equity raise. If it does not, the share price is effectively a bet on uninterrupted capital-market access, not merely on AI adoption.
