QIP vs. Preferential Allotment: How Indian Companies Raise Equity

By Freedom251 Team · · 11 min read

Short answer: both a Qualified Institutions Placement (QIP) and a preferential issue are private-placement routes available to listed Indian companies under SEBI’s Issue of Capital and Disclosure Requirements (ICDR) framework. A QIP is offered only to Qualified Institutional Buyers (QIBs). A preferential issue is directed to a select person or group, subject to the eligibility and other conditions in the applicable ICDR rules.

That investor-audience distinction is the reliable starting point. Pricing, approvals, disclosures, lock-in, issue-size limits and other mechanics can change with amendments and the transaction date, so they must be checked in the operative consolidated regulations rather than copied from an old checklist.

QIP and preferential allotment in one view

Listed companies need equity for purposes such as funding expansion, reducing debt, meeting working-capital needs or bringing in a strategic investor. A public follow-on offering is not the only possible route. The SEBI ICDR Regulations provide private-placement mechanisms in which securities are issued to identified investors instead of being offered broadly to the public.

In everyday market language, the two routes are often compared as “QIP versus preferential allotment.” SEBI’s investor material uses the formal term preferential issue for the latter. “Preferential allotment” generally describes the resulting issue of securities to the selected recipients.

Question QIP Preferential issue (often called preferential allotment)
Who is the intended audience? Qualified Institutional Buyers (QIBs) only. A select person or group, subject to the applicable eligibility rules.
ICDR location identified by SEBI Chapter VI. Chapter V.
Basic character Private placement by a listed issuer to eligible institutions. Private placement by a listed issuer to identified persons or a group.
What determines suitability? Whether the issuer wants to raise capital from the QIB market and can satisfy the current QIP conditions. Whether the issuer has an appropriate identified investor or group and can satisfy the current preferential-issue conditions.
Can old procedural summaries be relied on? No. Verify the current consolidated ICDR text. No. Verify the current consolidated ICDR text and allottee rules.

SEBI explains this distinction in its May 2025 investor FAQ. The FAQ is useful for the concepts, but it predates later amendments and should not be treated as a complete, current transaction manual.

The shared legal foundation: private placement by a listed issuer

Both routes sit inside the SEBI ICDR framework. They are not informal arrangements outside securities law: a listed issuer must work within the relevant chapter, the Companies Act and other applicable listing, disclosure and corporate-governance obligations. The exact combination of rules depends on the security being issued, the identity of the recipients and the facts of the transaction.

“Private placement” describes the manner of offering: the issuer approaches identified investors rather than making an unrestricted public offer. That does not remove regulatory safeguards. The issuer still has to establish that the proposed recipients are permitted, prepare the required information, obtain whatever approvals apply and complete the prescribed filings and disclosures.

The decisive difference is the investor audience

QIP: a QIB-only placement

A QIP is designed for a listed issuer that wants to place eligible securities with QIBs. The QIB restriction is the clearest high-level feature: an investor who does not meet the applicable QIB definition cannot simply participate because it has sufficient money or an existing relationship with the company.

QIB status is a legal eligibility question, not a marketing label. The issuer and its advisers must apply the definition and any exclusions in force when the issue is made. The categories and conditions should therefore be confirmed against the current ICDR regulations rather than inferred from a previous deal or a generic presentation.

Preferential issue: identified persons or a group

A preferential issue is an issue of specified securities by a listed issuer to a select person or group on a private-placement basis. The route can therefore be used when the transaction is built around identified recipients, such as a proposed strategic investor or a particular set of existing or new holders. It is not accurate to describe it as open to everyone: the issuer must apply the detailed allottee-eligibility provisions and any restrictions in the current rules.

The two descriptions answer different questions. “QIB” describes the qualifying status of the recipient in a QIP. “Select person or group” describes the identified audience in a preferential issue. Neither label, by itself, tells you the price, the number of securities, the lock-in period or the approvals required for a particular transaction.

How a company approaches a QIP

The following is a practical workstream, not a substitute for the current regulations or professional advice. It shows the decisions an issuer normally has to make without implying that every transaction follows an identical timetable.

  1. Define the capital need. The board and management establish why equity is required, how much capital is sought and whether a broadly institutional placement fits the financing plan.
  2. Confirm that a QIP is the intended route. A QIP makes sense only if the target investors are QIBs and the issuer can meet the QIP chapter’s conditions. If the proposed investor is an identified strategic party that does not fit the QIB route, the company must assess another mechanism.
  3. Map the eligible investor pool. The issuer, merchant banker and counsel verify each proposed participant against the QIB definition, exclusions and any transaction-specific limits in force on the issue date. Do not treat a fund’s self-description as conclusive evidence.
  4. Check the security and listing framework. Confirm that the security to be issued is eligible for the QIP route and identify the stock-exchange, depository and listing actions that apply. The current ICDR text controls the details.
  5. Prepare the transaction disclosures. The company assembles the information required for investors and regulators, including the issuer’s corporate, financial and risk information to the extent prescribed. The contents and form should be taken from the operative rules and applicable exchange requirements.
  6. Obtain corporate and shareholder approvals that the rules require. The board schedules the necessary meetings and resolutions. Whether a particular approval, notice period or voting threshold applies is a rule-by-rule question, not something that can be assumed from a past QIP.
  7. Set the issue terms under the current pricing rules. The price and any floor, discount or adjustment mechanism must be calculated using the formula in force for the transaction. A historical QIP price or a rule remembered from an older edition is not a safe precedent.
  8. Allocate to eligible QIBs and complete settlement. After the permitted allocation process, the issuer receives the subscription money, allots the securities, credits them through the relevant systems and completes listing and reporting steps required by the regulations and exchanges.
  9. Make continuing disclosures. The issuer records the allotment, ownership changes and use of proceeds in the filings and periodic disclosures that apply. Investors should read the final exchange filings, not rely only on an announcement made when the issue was proposed.

This sequence explains why a QIP is more than an invitation sent to institutions. Eligibility, documentation, pricing, approvals and post-allotment reporting are all connected to the version of the ICDR rules applicable on the issue date.

How a company approaches a preferential issue

The same disciplined planning is needed, but the starting point is the identified recipient rather than a QIB-only book.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Identify the proposed allottee or group. The issuer records who is expected to receive the securities and why that person or group is relevant to the financing or strategic plan.
  2. Test eligibility under the current rules. “Select person” does not mean “any person.” The company must check the applicable categories, exclusions, relationship restrictions and any conditions attached to the proposed allottee.
  3. Choose the security and transaction size. The board and advisers define the specified securities, number to be issued and resulting ownership impact, then test those choices against the limits and disclosure requirements in force.
  4. Prepare notices and explanatory information. Shareholders and regulators may need information about the allottees, purpose, pricing basis, control or ownership effects and other matters prescribed by the operative rules. Use the current text and exchange formats.
  5. Secure the required approvals. The company completes board, shareholder and other approvals that apply to the particular issue. The need for an approval, the voting treatment and the validity period of a resolution must be verified rather than assumed.
  6. Apply the current pricing and lock-in provisions. The price-setting method, reference date, permitted adjustments and lock-in treatment can depend on the security and facts. Obtain the applicable formula from the current consolidated ICDR Regulations.
  7. Allot, report and list. Once conditions are met, the issuer receives consideration, makes the allotment, files the required returns and seeks listing or trading permission where applicable. The records should match the approved allottee list.

A preferential issue is therefore a controlled issuance to named recipients, not a shortcut around disclosure or eligibility rules. The selected-investor format can be useful for a strategic transaction, but it also makes the identity and treatment of each allottee central to compliance.

Terms that must be checked instead of guessed

Readers often want a single table showing the exact price formula, minimum discount, lock-in, issue-size cap, maximum frequency, shareholder-vote requirement and filing deadline. Those values are not permanent characteristics of “QIP” or “preferential allotment.” They are provisions of the ICDR Regulations and related rules that may be amended, and they can depend on the issuer, security, investor and transaction date.

For a live transaction, verify at least the following in the current consolidated regulations, applicable circulars and exchange directions:

  • the definition of an eligible QIB and exclusions from participation;
  • who may receive a preferential issue and whether any person or group is disqualified;
  • the permitted security types and whether partly paid or convertible instruments have special treatment;
  • the pricing reference date, floor price, adjustment method and any permitted discount or premium;
  • minimum and maximum issue sizes, frequency or cooling-off restrictions;
  • board, shareholder, debenture-holder or other approvals and the validity of those approvals;
  • placement-document or offer-letter contents, due-diligence certificates and exchange submissions;
  • lock-in periods, transfer restrictions and release conditions;
  • use-of-proceeds statements, allotment returns and post-issue ownership disclosures; and
  • listing, dematerialisation, settlement and trading permissions.

Choosing between the routes: a practical decision framework

If the issuer’s priority is… Question to ask Route that may fit the starting fact pattern
Access to a broad set of institutional investors Are the intended participants QIBs and can the issuer satisfy the QIP chapter? QIP, subject to current eligibility and execution rules.
A financing centred on a named strategic investor Does the proposed recipient fit the preferential-issue eligibility rules? Preferential issue, if the allottee and terms comply.
Flexibility to change recipients during marketing Would changing the investor list affect eligibility, approvals or disclosures? Neither route should be treated as freely interchangeable; obtain transaction-specific advice.
Certainty about dilution and control What ownership percentage will the new securities represent, and do any holders cross disclosure or control thresholds? Model the effect under either route before approval.

There is no evidence-based rule that one route is always faster, cheaper or less dilutive. Costs, timing and dilution depend on the issuer’s condition, market demand, security, negotiated terms, approvals and the rules in force. A QIP’s institutional audience may produce a different book-building dynamic from a negotiated preferential issue, but that is a transaction outcome, not a guaranteed legal advantage.

What investors should examine

An investor reading an announcement can use the route name as a starting point, then inspect the primary documents.

  1. Identify the route and chapter. Confirm whether the company describes the transaction as a QIP under Chapter VI or a preferential issue under Chapter V.
  2. Read the proposed allottee information. For a QIP, check that the participants are eligible QIBs. For a preferential issue, check the named persons or group, their relationship with the issuer and any disclosed ownership or control implications.
  3. Compare issue price with the governing formula. Look for the reference date and calculation explanation, not only the headline price.
  4. Measure dilution. Compare the number of new securities with the pre-issue outstanding securities and review the post-issue shareholding table.
  5. Check use of proceeds and risks. A stated purpose is not a guarantee of execution. Read the company’s risk factors, debt position, related-party information and subsequent-use disclosures.
  6. Verify lock-in and listing status. Determine when the securities can be transferred or traded and whether listing or trading approval has been obtained.

Common misconceptions and their corrections

“Any institution can participate in a QIP.”

Incorrect. The route is restricted to QIBs, and the current definition and exclusions must be applied to each participant.

“A preferential issue has no eligibility limits.”

Incorrect. It is directed to a select person or group, but the detailed allottee rules still govern who can receive securities and on what terms.

“Preferential allotment is a completely different law from preferential issue.”

Usually this is a terminology issue. SEBI’s explanatory material calls the route a preferential issue; market participants commonly use “preferential allotment” for the issuance that results.

“The 2025 FAQ gives all the rules needed for a 2026 deal.”

It does not. The FAQ explains the basic distinction, while SEBI’s regulations index records amendments through March 21, 2026. Current consolidated regulations and transaction-date amendments control the live issue.

“The route name tells me whether the deal is good for shareholders.”

It does not. Shareholder impact depends on price, dilution, use of proceeds, investor identity, governance effects, lock-in and the company’s financial condition.

A concise checklist for issuers

  • State the capital purpose and quantify the proposed raise.
  • Choose the route based first on the intended investor audience.
  • Use the consolidated ICDR Regulations effective on the transaction date.
  • Document QIB or preferential-allottee eligibility before invitations or approvals.
  • Model dilution, ownership and control outcomes.
  • Confirm the applicable pricing, approval, disclosure, lock-in and filing provisions.
  • Coordinate board, shareholder, merchant-banker, registrar, depository and exchange actions.
  • Keep the allotment record, proceeds account and post-issue disclosures consistent.

Bottom line

QIP and preferential issue are both private-placement tools for listed Indian companies, but they are built for different audiences. QIP is the QIB-only route identified in Chapter VI of the ICDR Regulations. A preferential issue under Chapter V is made to a select person or group under its own eligibility and compliance framework. Use that distinction to frame the decision, then verify every operative term against the current SEBI rules—reported as amended through March 21, 2026—and the requirements applicable to the specific issue.
