Private-Market Funds vs. ETFs: How Liquidity, Fees, and Valuation Differ

ETF shares are generally easier to sell because they trade on an exchange, while an investor’s ability to exit a private-market fund depends on that fund’s structure and governing documents. That difference does not make an ETF’s underlying holdings liquid, or a private fund’s reported net asset value (NAV) a guaranteed sale price. To compare the two fairly, examine the investor’s route to cash, the assets behind the fund, how value is determined, and every layer of cost.

What are you actually buying?

An ETF investor generally owns shares in a registered fund and can usually buy or sell those shares on an exchange during trading hours. The investor’s transaction is normally with another market participant; the ETF does not need to sell every holding just because one shareholder sells shares. An ETF’s exchange price is set in the market and can differ from the fund’s NAV.

A private-market fund investor generally buys an interest in a pooled vehicle, not a share that continuously trades on a public exchange. The SEC describes private funds as pooled entities that generally raise capital through exempt offerings. The interest’s transfer, redemption, and distribution rights are set by the vehicle and its documents. “Private-market fund” is an umbrella term, not one standard legal structure or liquidity schedule.

These structures answer different questions. An ETF share’s exchange listing describes how an investor may trade the share; it does not establish how quickly or reliably the fund could sell every underlying asset. A private fund’s NAV describes a valuation at a point in time; it does not itself grant the investor a right to redeem at that value.

How liquid are private-market funds compared with ETFs?

For many ETFs, an investor’s practical exit route is to place a sell order on the exchange. Whether the trade executes, at what price, and how that price compares with NAV depend on market conditions and the fund. SEC investor materials note that ETF market prices can differ from NAV. Registered open-end funds calculate NAV daily, but a daily calculation is not the same as a daily sale of every holding.

For a private-market fund, the exit route depends on its terms. A fund may provide for distributions as investments are realized, permit redemptions only at specified times, allow transfers subject to restrictions, or offer another mechanism. Some strategies have an investment period followed by a period in which assets are realized and cash is distributed. An investor should not assume there is a continuous secondary market or an on-demand redemption right.

Liquidity is therefore best understood at two levels: the investor’s ability to transact in the fund interest or share, and the fund’s ability to meet flows using its assets. These can differ. SEC liquidity-risk-management materials describe daily redemptions as a fundamental feature of open-end funds and explain that liquidity-risk-management requirements apply to funds including ETFs, subject to rule provisions and exceptions. A fund’s procedures do not make illiquid holdings instantly saleable.

Structures with periodic liquidity

Not every vehicle that invests in private assets is a traditional private fund. Registered closed-end structures such as interval funds may offer periodic repurchases rather than continuous exchange trading. Their schedules and conditions come from the particular fund’s terms and applicable requirements. They should not be treated as equivalent to either an exchange-traded ETF or a private fund with different exit provisions.

As of October 13, 2026, an SEC proposal dated September 30, 2026 discusses possible changes affecting interval-fund repurchase arrangements and performance-based compensation. It is a proposal, not a final rule or an effective change in investor rights. Check the current fund documents and regulatory status rather than treating proposed terms as current requirements.

How can an investor exit? Depends on the structure and governing documents. Possible routes and timing vary; transfers or redemptions may be restricted. Generally bought and sold on an exchange during trading hours, subject to market availability and execution. Redemption rights, transfer limits, repurchase windows, notice and cutoff dates, settlement, and any limits or fees.
How liquid are the holdings? Private holdings may be difficult to sell and may not have frequent market transactions. Shares can trade even when some holdings are less liquid; portfolio liquidity remains relevant to fund operations and risk. Portfolio composition, liquidity-risk disclosures, and how the vehicle manages investor flows.
How is value reported? Many private assets lack daily market prices, making the method and timing of estimates important. Registered open-end funds calculate NAV daily; the ETF’s market price can differ from NAV. NAV frequency, valuation methodology and oversight, and any available premium-or-discount information.
What does it cost? Terms vary and may include fund fees, expenses, and adviser compensation. The ETF’s prospectus and fee disclosures govern; the ETF label alone does not establish that it is low-cost. Recurring expenses, performance-based compensation, transaction costs, and intermediary charges.
What happens to cash flows? Some private-equity funds invest capital over an initial period and return cash as holdings are exited. ETF investors normally sell shares to market participants rather than waiting for the fund to liquidate each holding. Whether you need access to cash on a particular schedule, and how the fund is structured to meet flows.

Why a reported NAV is not a guaranteed exit price

NAV is a calculated measure of a fund’s assets less liabilities, expressed for the fund or per share or unit under its valuation process. Its usefulness depends in part on the evidence and method behind the asset values. Where an asset trades frequently in an observable market, current transaction information may be available. Many private assets do not have daily market prices, so a reported value may rely on estimates and valuation methods rather than a contemporaneous sale of that asset.

This does not establish that a private asset’s reported value is wrong or stale. It means investors should understand what the number represents, when it was determined, and what information informed it. A daily NAV is a daily calculation; it is not proof that every underlying asset was sold that day or could be liquidated immediately at that calculated amount.

For an ETF, distinguish the share’s exchange price from the value attributed to its holdings. The market price can be above or below NAV. The share may trade while some underlying assets trade less frequently, but that does not remove the valuation and liquidity considerations inside the portfolio. For a private-market fund, the valuation process also matters because reported asset values can affect statements, investor decisions, and—in accordance with the relevant terms and calculations—fee amounts.

The SEC Investor Advisory Committee’s September 18, 2025 final recommendation on retail investor access to private-market assets discusses the valuation demands that arise when a fund offers daily liquidity while holding assets that trade infrequently. The committee’s recommendation and analysis are not binding rules. SEC Commissioner Uyeda’s September 4, 2025 remarks at the SIFMA Private Markets Valuation Roundtable also address valuation of illiquid assets and the importance of accurate fee calculations and disclosure.

Questions to ask about valuation

  • How often is NAV or the value of the relevant holdings determined, and what is the measurement date?
  • Does the valuation rely on observable market transactions, comparable assets, models, or another method? What does the fund disclose about assumptions and uncertainty?
  • Who is responsible for valuation oversight, and what procedures apply when new market evidence conflicts with a previous estimate?
  • For an ETF, where can you find its NAV and market-price information, and how has its market price related to NAV in the periods disclosed?
  • Can the valuation approach affect the calculation of fees, performance compensation, or redemption amounts under the fund documents?

How to compare fees without relying on labels

There is no category-wide fee ranking established here: it would be inaccurate to say that every private-market fund costs more than every ETF, or that every ETF is inexpensive. The relevant comparison is between the specific vehicle, share class or interest, and investor-facing terms. A headline management fee alone may not represent the full cost.

Separate recurring fund expenses from other charges. Depending on the vehicle and its terms, the total cost picture may include operating expenses, performance-based compensation, transaction costs, and charges from an intermediary. Confirm which amounts are paid by the fund, which are charged to the investor, how they are calculated, and whether any disclosed figure covers all relevant layers.

SEC materials describe itemized quarterly statements of fees and expenses and certain adviser-related compensation in dollar amounts for certain SEC-registered private fund advisers. That description applies to the advisers and circumstances covered by the relevant requirements; it should not be generalized to every private fund or treated as a substitute for reading a fund’s own documents. The SEC also noted that its 2025 examination priorities included accuracy in private-fund fee and expense calculations, including issues connected to illiquid-asset valuation and disclosures.

A practical fee comparison

  1. Identify the exact investment. Record the fund or ETF, share class or investor class, and the documents that apply to it. Do not compare a general category label with a specific fee figure.
  2. Find the current fee disclosures. For an ETF, review its prospectus and relevant shareholder materials. For a private fund, review its offering documents, governing agreement, and applicable fee and expense statements.
  3. List recurring charges separately. Note management or advisory fees and fund operating expenses, including the basis on which each is calculated and the period it covers.
  4. Check for additional compensation and costs. Look for performance-based compensation, transaction costs, and intermediary charges. Record whether each is contingent, recurring, or one-time where the disclosure says so.
  5. Test the valuation link. If fees depend on asset values or performance measures, identify the valuation method and calculation period used by the fund.
  6. Compare like with like. Use figures with the same date, currency, share class or investor terms, and cost scope. If a document does not state a comparable amount, do not infer it from a headline fee.

Which structure fits the need?

The trade-off is not simply “liquid” versus “illiquid.” An ETF may provide a convenient exchange-traded share, but its market price and the liquidity of underlying holdings remain relevant. A private-market fund may offer exposure through a structure whose cash flows and exit terms differ substantially from an ETF’s, but the investor must be comfortable with the actual restrictions and valuation process.

  • If access to cash matters most: Start with the actual route to exit and its timing, not the asset-class label. Determine whether you can sell on an exchange, request a redemption, participate in a periodic repurchase, transfer an interest, or must wait for distributions.
  • If price transparency matters most: Compare the frequency and basis of valuation, the available market evidence, and whether the fund reports a market price distinct from NAV.
  • If cost certainty matters most: Add all disclosed recurring and conditional charges, rather than comparing one expense ratio with one private-fund fee term.
  • If exposure to private assets matters most: Identify which holdings are actually private or infrequently traded and how the structure handles investor flows against those assets.

No structure removes every trade-off. A share that can be sold in the market can still trade at a price different from NAV; a periodic repurchase mechanism is not continuous exchange liquidity; and a reported value is not a promise that a fund can sell an asset at that figure on demand.

Documents to read before investing

Use the official fund materials to verify the rights and costs that apply to the particular investment. For an ETF, its prospectus and shareholder reports are central sources for the strategy, expenses, portfolio, and relevant risks. For a private-market fund, read the offering materials and governing documents that describe subscriptions, transfers, redemptions or repurchases, distributions, fees, valuation, and conflicts. A marketing summary may not include every operational condition.

  • Find the exact dates for valuation, redemption or repurchase requests, notice periods, cutoffs, and settlement.
  • Check whether the fund can limit, defer, or otherwise condition exit requests, and what happens if requests exceed available liquidity.
  • Confirm whether distributions are scheduled, dependent on asset realizations, or otherwise discretionary under the documents.
  • Match every fee figure to its source, date, calculation basis, and the investor class to which it applies.
  • Review how the fund explains valuation methods, oversight, and the treatment of assets without frequent market prices.

For background, the SEC’s “Private Funds” guidance explains the pooled-fund concept; its “Investment Company Liquidity Risk Management Program Rules” compliance guide covers liquidity-risk management, and its “Investor Bulletin: Exchange-Traded Funds (ETFs)” explains ETF NAV and market-price differences. SEC materials titled “Private Fund Advisers” discuss adviser obligations and disclosures. The SEC Investor Advisory Committee’s September 18, 2025 recommendation, Commissioner Uyeda’s September 4, 2025 remarks, the SEC Asset Management Advisory Committee’s September 27, 2021 report on private investments, and the SEC’s September 30, 2026 proposed rule provide additional context on valuation, private investments, and proposed changes. These sources address different structures and regulatory questions; none replaces the specific fund documents that set an investor’s rights.
