They can be bought and sold on a stock exchange through a demat account, provide exposure to a managed portfolio rather than one building, and are subject to a rule requiring at least 90% of net distributable cash flow to be paid out at least twice a year. That rule does not guarantee a particular yield, distribution amount or share price.
A private real-estate equity fund—often organised as a SEBI-regulated Alternative Investment Fund (AIF)—can be more appropriate when you can commit capital for the fund’s stated tenure, accept limited liquidity, and evaluate a specific manager, strategy, fees, leverage, valuation process and exit plan. It is not automatically a higher-return alternative. The right choice depends on liquidity needs, capital, diversification, income objectives, risk tolerance, tax status and the exact documents governing the investment.

Listed REIT units
A Real Estate Investment Trust pools property assets in a trust structure and issues units. In India, listed REIT units trade on stock exchanges. An investor uses a demat account and a market order or limit order, just as with other listed securities. The REIT, its manager and related entities acquire and operate properties, collect rent, pay operating and financing costs, and distribute cash according to the regulatory framework and trust documents.

SEBI Investor describes the concept this way: REITs allow investors to invest in real estate without owning the physical property. The economic exposure is normally spread across several buildings and tenants, although the actual concentration differs by trust.
Private real-estate equity funds and AIFs
A private fund raises capital under a placement memorandum and invests according to a defined strategy. Real-estate funds and private-equity funds may be registered as Category II AIFs, a category commonly used for private equity and real-estate strategies. A fund might buy operating assets, finance development, acquire distressed property, invest in a platform or use another strategy. “Private real estate fund” therefore is not one uniform product.
Your rights are set by the fund’s offer documents: commitment and drawdown terms, tenure, extensions, distributions, borrowing limits, valuation policy, fees, related-party provisions, transfer restrictions and exit mechanics. Unlike a listed REIT, a private fund generally does not offer a continuous exchange price or daily redemption.

How the two routes differ
| Decision axis | Listed Indian REIT | Private real-estate equity fund or AIF |
|---|---|---|
| Access | Exchange-listed units bought or sold through a demat account. | Access depends on investor eligibility, the offer and the scheme documents. |
| Liquidity | Exchange trading provides an exit route, but execution and price depend on market depth and sentiment. | Usually tied to fund tenure and permitted exits or transfers; do not assume daily redemption. |
| Exposure | Typically a portfolio of income-producing properties with multiple assets and tenants. | Concentration and strategy vary; inspect whether the fund targets operating assets, development, debt or another approach. |
| Cash flows | At least 90% of net distributable cash flow must be distributed at least semi-annually under the REIT framework; amounts can change. | Distributions and capital realisation follow the strategy and governing documents; there is no single common payout rule. |
| Pricing and disclosure | Public unit price, regulatory filings, valuation and net-asset-value disclosures provide reference points, not a guaranteed sale value. | Valuation method, reporting frequency and independent oversight are fund-specific. |
| Main risks | Market-price volatility, property income and occupancy, interest rates, debt and refinancing, operations, regulation and acquisitions. | Manager and strategy execution, asset concentration, valuation, financing, fund life and exit risks. |
| Tax | Distribution components can receive different treatment, and the investor’s circumstances matter. | Tax depends on fund structure, distributions, gains and investor status; a universal after-tax comparison is not available. |
Why liquidity is usually the first dividing line
When a REIT exit is practical
Listed units can be sold during exchange trading hours. You can choose a limit price, see quoted bids and offers, and reduce or close a position without waiting for a property sale. That convenience is an exit mechanism, not a promise. A thin order book, a stressed market or a wide bid–ask spread can make a sale slower or less profitable than expected. The market price can also trade below the latest reported NAV.
What “illiquid” means in a private fund
A private fund may call committed capital over time, hold assets through a multi-year investment and harvesting period, and return money only after refinancing, a portfolio sale, an asset sale or another permitted event. A secondary transfer may require manager consent and a buyer. Read the stated tenure, extension options, lock-ups, transfer clauses, early-exit fees and the circumstances in which the manager can defer or reject a transfer.

If you may need the money for an emergency, a near-term property purchase or a known liability, do not treat an unlisted fund commitment as a cash substitute. A listed REIT can also fall sharply in value, but its trading mechanism makes the timing of an attempted exit visible.
Income, growth and the mechanics of returns
REIT distributions are not a fixed coupon
Indian REIT rules require at least 90% of net distributable cash flow to be distributed at least semi-annually. Net distributable cash flow is after the relevant property, operating and financing items, so the amount can vary with occupancy, rent collections, expenses, interest costs, refinancing and asset activity. Unit prices can rise or fall independently of the latest distribution.
Distributions may include dividend, interest, amortisation of specified SPV debt and other income. Because those components can have different tax treatment, multiplying the latest payout by four and calling it a guaranteed after-tax yield is misleading.
Private funds often rely on an exit for a large part of the return
A fund may distribute operating income, but its return can depend heavily on selling an asset or refinancing at the end of the strategy. Ask whether the target return is described as an internal rate of return, a multiple of invested capital, or another measure; whether it is gross or net of fees; and how interim distributions affect the calculation. A projected return is not a promise, and the timing of cash flows matters.
Capital requirements and commitment risk
REIT purchase size
You can buy a number of listed units that fits your brokerage and exchange order. There is no single property-style cheque: your practical minimum is the traded unit price multiplied by the number of units, plus transaction charges and applicable taxes.

Private-fund minimums require document-level verification
SEBI’s original 2012 AIF notice described a ₹1 crore minimum investor commitment and a ₹20 crore minimum corpus. Those figures are historical figures from that notice, not confirmation of the current operative minimums, exemptions or fund-specific terms. Verify the current consolidated AIF regulations and the particular placement memorandum before assuming that either figure applies.
Also distinguish a commitment from cash paid on day one. A fund can call committed capital in instalments. You must be able to meet a drawdown when requested, even if the first contribution was smaller.
Diversification and concentration
What a listed REIT can diversify
A REIT may own several assets, locations, buildings and tenants, reducing the effect of one vacancy or one failed project. That diversification is not automatic: a trust concentrated in one city, sector or a few large tenants can still experience material exposure to a single economic driver. Review occupancy, lease expiries, tenant concentration, asset type and acquisition pipeline in current disclosures.
What a private fund may concentrate
Private strategies can provide targeted exposure that a broad listed portfolio cannot, such as a particular development platform, logistics project or value-add plan. The trade-off is concentration and execution risk. Read the number of planned assets, permitted co-investments, geographic limits, development exposure, related-party transactions and the manager’s authority to change the portfolio.
Leverage, refinancing and property risk
Borrowing can increase equity returns when property income and values rise, but it magnifies losses when they fall. It also exposes investors to refinancing dates and interest-rate resets. The Indian Economic Service’s Arthapedia explanation of the REIT framework describes a borrowing ceiling of 49% of REIT asset value and at least 80% of assets in completed, revenue-generating properties. Treat that explanation as a practical overview and check the latest consolidated SEBI regulations before relying on a legal limit.

Regardless of structure, assess:
- occupancy, rent collection and lease-expiry concentration;
- interest-rate exposure, debt maturities and refinancing assumptions;
- operating expenses, capital expenditure and insurance;
- regulatory or zoning changes;
- acquisition pricing and integration risk; and
- the valuation assumptions used for vacant, development or hard-to-sell assets.
“Listed” does not mean risk-free, and “private” does not mean superior. A private valuation that changes less frequently can look stable while the underlying asset is difficult to sell; a listed price is more volatile because it is continuously marked by buyers and sellers.
Fees and transaction costs you should compare
For a REIT
Before buying, identify brokerage, exchange and statutory transaction charges, taxes that apply to the trade, and any account costs charged by your intermediary. Ongoing trust, management, property-management and financing costs are reflected in the cash available to distribute and in reported performance. Use the latest financial statements and disclosures rather than comparing only the headline distribution.
For a private fund
Request a complete fee schedule. It may include a management fee, setup or transaction charges, performance-based carry, fund expenses, monitoring fees, financing costs and fees charged at portfolio-company or asset level. Ask whether fees are calculated on committed capital, invested capital, net asset value or another base; when carry is paid; whether a preferred return or hurdle applies; and how expenses are allocated among investors.
Compare net outcomes on the same basis. A gross project return cannot be compared with a REIT distribution that is already after operating costs but before your personal taxes.

Governance, valuation and information
Listed-trust information
Exchange listing gives you a visible market price and recurring regulatory disclosures. NAV and property valuations help you judge the relationship between price and reported asset value, but neither is a guaranteed liquidation value. Read debt, occupancy, tenant, distribution and related-party disclosures, not just the price chart.
Best Value
Private-fund diligence
Ask who values the assets, how often valuations are performed, whether an independent valuer is used, how conflicts are handled and what information investors receive between formal reports. Examine the manager’s realised exits, not only unrealised marks. Confirm the custodian, trustee, auditor, administrator and complaint process, and check that the fund and manager are authorised under the applicable framework.
Tax: why there is no universal winner
Indian REIT distributions can contain dividend, interest, specified SPV-debt amortisation and other income. The tax result can differ by component, the SPV’s corporate-tax election, your investor category and the relevant tax year. Interest is generally described as taxable to unitholders in the Indian REITs Association’s tax reference; specified SPV-debt amortisation can be taxed under the cited income-tax provisions. Dividend treatment can depend on the SPV’s election.
Private-fund taxation likewise depends on the AIF structure, the character and timing of distributions or gains, and your status as an investor. Residency, business classification, withholding and reporting obligations can change the result. Before investing, give the current scheme documents and your facts—residency, entity type, tax year and expected holding period—to a qualified Indian tax adviser. Do not rank the two options by a single advertised pre-tax yield.

The Indian REITs Association reported six listed REITs as of June 30, 2026:
- Embassy REIT
- Mindspace REIT
- Brookfield India Trust
- Nexus Select Trust
- Knowledge Realty Trust
- Bagmane Prime Office REIT
For those six trusts combined, the association reported ₹3.1 lakh crores in gross assets under management, market capitalisation above ₹2,15,000 crores, and more than 214 million square feet of Grade A commercial and retail space. It also reported more than 4.8 lakh unitholders and cumulative distributions above ₹34,800 crores since 2019. These are dated market totals, not a forecast; refresh them before using them for a later decision.
A decision process you can apply
- Set the liquidity boundary. Decide whether you could leave the money invested through the full private-fund tenure and possible extensions. If not, a listed instrument is the more practical starting point.
- Define the job of the allocation. Separate a need for regular cash flow from a goal of long-term capital growth. Do not assume a distribution rule creates a stable income stream.
- Choose the level of concentration you can tolerate. Review a REIT’s tenant and asset mix, or a fund’s permitted investments and portfolio plan.
- Stress-test financing. Read debt maturities, floating-rate exposure, refinancing assumptions and covenant protections. Consider what happens if occupancy falls or borrowing costs rise.
- Compare net fees. Put every one-time and recurring charge into the same spreadsheet, and compare net rather than headline returns.
- Model taxes using your facts. Separate each REIT distribution component and each private-fund cash flow. Obtain current advice instead of applying a generic tax rate.
- Verify documents and providers. For a REIT, read the latest exchange and regulatory filings. For an AIF, read the placement memorandum, contribution agreement, valuation policy, audited reports and exit provisions.
- Size the position conservatively. Avoid committing money that may be needed for living costs, emergencies or a near-term obligation, particularly when drawdowns or long lock-ups apply.
Questions to ask before signing
If you are considering a listed REIT
- What assets and tenants generate the current cash flow?
- How concentrated are lease expiries and top tenants?
- What debt matures in the next several years, and at what rates?
- How much of the latest distribution came from each component?
- What is the difference between the market price and reported NAV?
- How would a sale work in a thin market, and what price volatility can you tolerate?
If you are considering a private fund
- What is the legal category, tenure, extension power and drawdown schedule?
- What exactly can the manager buy, develop, borrow or sell?
- What are all fees, carry terms, hurdles and expense allocations?
- Who values the assets, how often and under what methodology?
- What are the realistic exit routes, and can interests be transferred?
- What happens if the fund misses its target, needs more capital or cannot sell on schedule?
- Which historic exits were actually realised, net of fees and taxes?
Which investor does each route usually suit?
A listed REIT is usually the better fit when you need
- a relatively accessible entry point;
- an exchange-traded exit route;
- portfolio exposure rather than responsibility for one property;
- regular disclosures and a visible market price; and
- the ability to scale the position gradually.
A private real-estate fund may fit when you can accept
- a long holding period and uncertain exit timing;
- capital calls and a higher commitment;
- manager and strategy-specific risk;
- less frequent valuations and reporting; and
- the work required to evaluate fees, leverage, conflicts and tax treatment.
Bottom-line decision
Choose listed Indian REITs when accessibility, tradability, diversification and property-income exposure matter most and you can tolerate stock-market volatility. Consider a private real-estate AIF only after confirming that its tenure, drawdowns, strategy, fees, leverage, valuation and exit plan fit your finances and risk capacity. Neither structure guarantees a return, and the evidence does not support a universal claim that private funds outperform REITs or that REITs are safer in every market.
