Neither private credit nor corporate bonds is automatically safer. For a growing technology company, private credit is often the more realistic route when speed, customization and a small lender group matter. Corporate bonds can be safer for a larger, consistently profitable issuer that can disclose detailed information, access public investors and lock in fixed-rate funding. The safer choice is the one that survives a rate shock, a revenue slowdown and a difficult refinancing market without forcing a distressed restructuring.

Private credit usually means negotiated, often floating-rate loans held by a small group of lenders. Corporate bonds are tradable securities sold to a wider investor base, commonly with fixed coupons. Compare them on cash interest under stress, covenant headroom, maturity concentration, recovery value, control rights and the number of refinancing options—not simply on the headline interest rate.

What “safer” means in technology-company financing

Safety has several dimensions, and the two instruments trade them off differently:

  • Default probability: Can the company keep paying interest and principal when growth slows?
  • Cash-flow volatility: How quickly can the interest bill rise if benchmark rates increase?
  • Refinancing risk: Can debt be replaced when it matures, even if public markets are closed?
  • Operating flexibility: Do covenants leave enough room to invest, acquire, hire and absorb a temporary miss?
  • Restructuring control: If performance deteriorates, can the company reach an agreement quickly with creditors?
  • Loss severity: If a default occurs, how much value can lenders actually recover?
  • Execution risk: Can the issuer meet disclosure, rating, documentation and timing requirements?

A loan that is less likely to default can still be unsafe for shareholders if its floating-rate interest consumes cash during a downturn. Conversely, a bond with a fixed coupon can become dangerous when a large maturity arrives and investors will not refinance it. The analysis must therefore cover the full life of the debt, not just the signing date.

Private credit and corporate bonds: how the instruments work

Private credit

Private credit is direct lending arranged privately between a company and one or more non-bank lenders, such as credit funds, insurance companies or other institutional investors. The lender underwrites the borrower, negotiates a credit agreement and generally holds the loan until repayment or a negotiated transfer. Terms are bespoke: amount, amortization, collateral, financial covenants, reporting, permitted acquisitions, restricted payments, cash sweeps and events of default can all be tailored to the borrower.

Most private-credit corporate loans have floating interest rates tied to a benchmark plus a spread. That structure protects lenders from rising rates but moves the risk to the borrower. A company may receive an interest-rate cap or hedge, but the cap has a cost, a limit and an expiry that must be modeled.

Corporate bonds

A corporate bond is a security issued to many investors. The issuer and its advisers prepare offering documents, arrange distribution through dealers or placement agents and agree on covenants and reporting obligations. Bonds can be secured or unsecured, senior or subordinated, callable or non-callable, and issued in different currencies and maturities. Many corporate bonds pay fixed coupons, although floating-rate and convertible structures also exist.

Secondary-market trading gives bonds observable prices and a possible exit before maturity. That liquidity is not guaranteed: trading can become thin or disappear during a market shock. A broad holder base also means that amending terms, extending maturities or exchanging debt can require complicated solicitation and voting processes.

Side-by-side safety comparison

Safety axis Private credit Corporate bonds
Access Bespoke underwriting can serve middle-market or less profitable borrowers. Usually requires sufficient scale, detailed disclosure, investor demand and often a credit rating.
Rate exposure Commonly floating-rate; benchmark increases raise cash interest immediately unless hedged. Often fixed-coupon, reducing near-term rate volatility but creating maturity and refinancing exposure.
Covenants and control Negotiated financial and operating covenants with direct lender monitoring; quality varies with competition. Offering covenants and continuing disclosure; changes are less bilateral and can require holder votes.
Liquidity and transparency Loans and fund interests are relatively illiquid and may be valued infrequently. Bonds generally have market prices and secondary trading, although liquidity can vanish in stress.
Restructuring A small lender group may negotiate quickly, but lenders can obtain strong control through defaults and collateral. A broad holder base can complicate waivers, amendments and exchanges.
Recovery risk Direct-loan recoveries can be low when the borrower’s value is concentrated in intangible assets. Recovery depends on seniority, security, guarantees and the issuer’s tangible and intangible assets.
Typical fit Fast, customized financing for a growing, specialized or less profitable company. A larger, creditworthy issuer seeking fixed-rate duration and repeat market access.

When private credit can be the safer choice

Speed and certainty of execution

Direct lenders can underwrite from management meetings, customer and recurring-revenue data, and a negotiated business plan rather than waiting for a public offering window. A company facing an acquisition deadline, a short runway or a refinancing date may value committed capital more than the lowest possible spread. The benefit is greatest when public investors are demanding unusually high risk premiums or refusing new issuance.

Terms matched to a changing business

A lender can structure delayed-draw commitments, acquisition baskets, recurring-revenue tests, minimum-liquidity requirements or milestones that reflect a software company’s operating model. Documentation can distinguish contracted subscription revenue from speculative pipeline revenue and can define how research-and-development spending affects leverage calculations. Those details may prevent a technical breach that does not represent genuine credit deterioration.

Direct monitoring and a small negotiation group

Private lenders receive regular reporting and can speak directly with management. If a company misses a forecast but remains viable, a small group may agree to a waiver, covenant reset or maturity extension faster than a dispersed bondholder base. That flexibility is not free: the lender may demand fees, tighter reporting, additional collateral, a consent payment or greater control over strategic decisions.

Why the lower observed default frequency is not the whole safety story

The Federal Reserve has reported historically low direct-lending default frequency relative to syndicated loans and high-yield bonds. Lower frequency may reflect stronger underwriting, tighter monitoring, borrower selection and the ability to negotiate privately. It does not establish that losses are smaller when a default occurs. In a 2024 Federal Reserve note, average post-default value was around 33% for direct loans, compared with 52% for syndicated loans and 39% for high-yield bonds. These are reported market observations, not a promise for any individual loan, and recovery depends heavily on documentation, collateral and the borrower’s asset mix.

Private-credit risks a technology company must price

Floating-rate cash interest

A floating benchmark can rise while revenue is still growing, squeezing a company whose gross margin looks strong but whose operating cash flow is thin. Model at least a 300–500 basis-point increase in the benchmark for every floating-rate proposal. Calculate cash interest, mandatory amortization and lease or other fixed obligations together; an adjusted EBITDA covenant can remain compliant while the bank balance falls.

Covenant pressure and lender remedies

Maintenance covenants may test leverage, interest coverage, liquidity or recurring-revenue performance every quarter. Incurrence covenants restrict new debt, acquisitions, liens, dividends and investments only when the company takes a specified action. A maintenance test provides early warning but can create a breach before a payment default. Upon breach, lenders may charge default interest, block draws, demand equity, accelerate the loan or enforce security.

Read every EBITDA adjustment. Add-backs for projected synergies, stock compensation, restructuring costs or unrealized savings can make leverage look lower than cash economics justify. Check equity-cure rights, cure limits and whether a cure increases EBITDA, reduces debt or merely fixes a single test. Map cash sweeps, mandatory prepayments, prepayment premiums and make-whole amounts before comparing offers.

Illiquidity and valuation opacity

A private loan cannot normally be sold as easily as a listed bond, and a fund’s reported value may be based on periodic marks rather than continuous market prices. A borrower does not benefit directly from that illiquidity; it means the lender relationship can persist through market volatility, but it can also make price discovery and lender replacement difficult. The Federal Reserve’s 2026 discussion of private credit also noted redemption requests that exceeded typical fund gates, illustrating how investor-liquidity pressure can affect funds even when underlying loans are not publicly traded.

Competition can weaken protections

The IMF’s April 2024 Global Financial Stability Report describes private credit as offering enhanced covenants that can provide downside protection, while warning that competition among lenders can weaken underwriting and covenant packages. Do not assume that a “private credit” label means the loan is covenant-heavy. Compare actual definitions, thresholds, reporting, baskets and remedies across term sheets.

Concentrated lender power

A small lender group can act quickly, but that also concentrates control. An agreement may allow a majority lender to waive a covenant, amend economics or direct enforcement. Determine which provisions require unanimous consent, what constitutes a sacred right, whether debt can be transferred to a distressed-debt investor and how the company can challenge a valuation or calculation dispute.

When corporate bonds can be the safer choice

Fixed-rate certainty

A fixed coupon makes scheduled interest predictable during a period of rising benchmark rates. That predictability helps a company budget hiring, infrastructure and research spending. It does not remove risk: the issuer still faces coupon payments if revenue falls, and a large principal amount may mature in a single year.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Longer duration and diversified funding

Bond markets can provide longer maturities and access to many investors rather than dependence on one private-credit fund. A company that issues in several tranches can spread its maturity dates and reduce the chance that one lender controls all liquidity. Market access can also support repeated refinancing if the issuer maintains a credible credit profile.

Price transparency and optionality

Quoted bond prices give management and investors a market signal about credit quality. A liquid bond can be repurchased, refinanced or exchanged before maturity. During stress, however, quoted prices may reflect forced selling and trading can become extremely limited. Market liquidity is therefore an option, not a guarantee.

The scale threshold is real

Public issuance requires audited financial statements, legal and regulatory disclosure, investor-relations capacity, detailed risk factors and often a rating process. Underwriters, counsel, listing or settlement arrangements and ongoing reporting add cost and management time. Investors also expect sufficient size and trading liquidity. A venture-backed company with high growth but negative cash flow may technically issue a bond yet receive terms that make the structure unsafe.

Large technology issuers demonstrate what scale can unlock. The OECD reported that nine hyperscalers raised USD 122 billion in bond markets during 2025, nearly half of global technology-firm issuance. The same group is forecast to spend USD 4.1 trillion on capital expenditure from 2026 through 2030. Those figures describe very large, established borrowers and should not be extrapolated to an ordinary startup or scale-up.

Bond-market risks that are easy to underestimate

Refinancing and maturity walls

Fixed coupons protect near-term cash flow but do not guarantee refinancing. If several bonds mature together, the company may need to issue replacement debt when rates are high, technology valuations are weak or investors have lost appetite for the sector. Build a maturity wall showing every principal repayment, revolving-credit expiration, lease commitment and potential acquisition obligation. Test a scenario in which the bond market is effectively closed and only secured private financing is available.

Disclosure and covenant constraints

Public investors price information quickly. A missed quarter, customer concentration, security incident or change in accounting treatment can raise the yield on all future issuance. Bond covenants may be looser than private-credit maintenance tests, but they still restrict liens, asset sales, mergers, sale-and-leasebacks and distributions. Read portability, change-of-control puts, cross-default language and subsidiary guarantees.

Complex restructuring

A bondholder base may include funds, insurers, banks and individual investors across jurisdictions. Soliciting consents or exchanging debt can take longer and may require minimum participation. Intercreditor conflicts become acute when bonds sit alongside revolving loans, private placements or convertible securities. A company that values rapid bilateral negotiation should not assume public bonds will provide it.

Currency and derivative exposure

Issuing in a currency that does not match revenue creates foreign-exchange risk. Interest-rate swaps can convert floating debt to fixed or hedge a bond exposure, but they introduce collateral, counterparty and termination-value considerations. Include hedge break costs in a downside liquidity plan.

Why technology-company metrics change the answer

Technology borrowers often have high recurring revenue, strong gross margins and valuable intellectual property but low current profitability and high leverage. The Federal Reserve has identified software as the largest sector in private credit and noted this combination of recurring revenue, low profitability and leverage. Recurring revenue is useful evidence of future cash flow, yet it is not cash in the bank: churn, pricing pressure, implementation delays, cloud costs and customer concentration can reduce collections quickly.

Minimum cash-interest coverage

Calculate interest coverage from cash earnings, not an optimistic adjusted metric. Show the result using current rates, the 300–500-basis-point private-credit shock, a revenue-growth slowdown and a margin compression case. Identify the month in which cash falls below the operating minimum, not merely the quarter in which a covenant is breached.

Customer and contract quality

Separate contracted annual recurring revenue from usage-based revenue, renewals that are not yet signed and pipeline opportunities. Test the loss of the largest customer, a delayed enterprise deployment and a higher cancellation rate. If a lender’s covenant counts only a subset of revenue, model that definition exactly.

Collateral reality

First-lien status does not guarantee a high recovery. Software code, data, brands, customer relationships and specialized staff can lose value in a rushed sale. Map which assets are legally pledged, which jurisdictions recognize the security, and whether licenses or privacy obligations limit transferability. Use conservative recovery assumptions rather than book value or venture valuation.

Growth investment versus deleveraging

A debt package that sweeps every dollar of excess cash may reduce principal quickly but starve product development and sales capacity. Conversely, unrestricted growth spending can leave lenders exposed. Negotiate a budget framework that preserves essential investment while requiring consent for acquisitions or spending outside agreed parameters.

A practical decision process for a startup or scale-up

  1. Define the financing objective. Specify the amount, currency, use of proceeds, required closing date, minimum cash balance and desired maturity. Distinguish a bridge from a permanent capital structure.
  2. Build a 24–36-month cash model. Include bookings, billings, collections, churn, gross margin, payroll, capital expenditure, leases, taxes, existing debt and the proposed debt service. Show base, downside and severe cases monthly.
  3. Stress floating-rate private credit. Increase the benchmark by 300–500 basis points, apply the proposed floor and spread, and include hedge premiums. Record minimum interest coverage and the date of any covenant breach.
  4. Map every covenant and remedy. List leverage, interest coverage, liquidity, recurring-revenue, reporting and minimum-EBITDA tests. Document EBITDA adjustments, baskets, equity cures, cash sweeps, prepayment premiums, default interest and acceleration rights.
  5. Construct the maturity wall. Place every debt maturity and undrawn commitment expiration on a timeline. Run a weak-public-market case with wider spreads, lower equity value and no assumption that a new bond can be sold.
  6. Price the bond-market burden. Add underwriting, legal, accounting, rating, listing, trustee, reporting and investor-relations costs. Value management time and the risk that disclosure of a weak quarter raises future funding costs.
  7. Test recovery and collateral. Assume a distressed sale of software-heavy assets, account for employee and customer attrition, and compare outcomes under first-lien, unsecured and subordinated claims. Do not use the 33% direct-loan post-default value reported by the Federal Reserve as a forecast for your company; use it as a warning that recovery can be materially below principal.
  8. Compare control rights. Identify who can block a waiver, amend economics, transfer the debt, appoint an observer, sweep cash or force a sale. Check majority, supermajority and unanimous-consent provisions.
  9. Preserve more than one refinancing route. Maintain lender relationships, an undrawn liquidity facility where feasible, realistic equity capacity and a plan to reduce leverage before maturities become urgent.
  10. Obtain independent review. A regulated corporate-finance adviser, finance lawyer and tax adviser should review jurisdiction-specific terms, securities-law obligations, withholding taxes, security perfection and intercreditor arrangements before signing.

Decision rules for common company profiles

Early-stage startup with limited audited history

Public bonds are usually impractical because investors cannot assess scale, disclosure quality or repayment capacity. A smaller private facility, venture debt or equity may be more realistic, but floating-rate debt should not be used to fund a business whose cash runway depends on another fundraising round. If debt is unavoidable, size it against a conservative cash-collection case and negotiate milestone-based draws.

Growth-stage SaaS company with strong recurring revenue but negative EBITDA

Private credit may offer the speed and customized definitions needed for a scale-up, yet the borrower must prove that cash interest remains payable without another equity round. Seek covenant headroom, a clear cure regime and limits on lender discretion. A bond issue is sensible only if the company can support public disclosure and a fixed coupon through a downturn.

Profitable, larger technology issuer with repeat funding needs

Corporate bonds can diversify lenders, lock fixed-rate duration and spread maturities. Compare a bond program with a private term loan rather than assuming one instrument must fund the entire capital structure. A revolving facility, fixed-rate notes and a smaller bespoke tranche may jointly reduce concentration and refinancing risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Company facing an acquisition or near-term maturity

Execution certainty may outweigh coupon savings. A committed private facility can close faster, but examine whether acquisition debt triggers a leverage step-up, mandatory prepayment or tighter maintenance test. If bonds are used, confirm that proceeds can be raised before the transaction and that a delayed closing will not leave the company paying unused-commitment costs.

Are private-credit covenants worth the higher interest cost?

They can be, when the covenants create a realistic early-warning system and preserve enough operating flexibility. A maintenance test that prompts a conversation six months before cash exhaustion may be worth more than a cheaper loan that offers no intervention until payment default. The value disappears when definitions are opaque, thresholds are set too close to the base case, cures are limited, or the lender can change control after a technical breach.

Compare the all-in cost: spread, floors, upfront and annual fees, unused-commitment fees, original-issue discount, call premiums, hedging, legal expenses and the expected cost of restricted acquisitions or cash sweeps. Then compare it with the cost of public disclosure, ratings, investor relations, underwriting and a possible failed bond launch. The lowest nominal coupon is not necessarily the lowest financing cost.

Warning signs that a proposed structure is unsafe

  • The base case barely passes interest coverage before any rate or revenue stress.
  • More than one major maturity falls within the same twelve-month period.
  • Repayment depends on selling the company or raising equity at a valuation that has not been secured.
  • “Adjusted EBITDA” relies on recurring add-backs that are not producing cash.
  • Software, data or intellectual-property collateral is valued at book value without a distressed-sale analysis.
  • A lender can block ordinary hiring, product investment or acquisitions through broad consent rights.
  • A bond issue assumes continuous market liquidity or a particular credit rating.
  • Intercreditor, guarantee or security documents leave uncertainty about who controls enforcement.
  • Management cannot explain the exact consequence of a covenant breach, equity cure or cash sweep.

Bottom line for a growing tech company

Choose private credit when the company needs speed, bespoke terms and an engaged lender group, and when its cash model can withstand materially higher floating rates. Choose corporate bonds when the issuer has the scale, disclosure discipline, profitability and investor demand to lock fixed-rate funding and stagger maturities. In either case, safety comes from conservative cash-flow assumptions, ample covenant headroom, diversified refinancing options and a realistic recovery analysis—not from the product label or a lower historical default rate.
