Private credit is usually a privately negotiated loan from a nonbank lender, while a bank loan is credit originated or arranged by a regulated bank. Private credit can provide a more tailored structure, a direct relationship and potentially greater execution certainty, but it commonly costs more and offers less public price visibility and secondary-market liquidity. Bank financing can be less expensive, yet the process, flexibility and distribution depend heavily on the specific product: a relationship-bank facility is not the same as a syndicated leveraged loan.
The right choice turns on your credit profile, loan size, collateral, urgency, covenant tolerance, total cost and ability to qualify for competing channels. Compare the actual term sheets and loan agreements rather than relying on labels.

What private credit and bank loans actually are
Private credit
Private credit is debt supplied by nonbank institutions such as private debt funds, business development companies (BDCs) and other private credit vehicles. The Federal Reserve describes it as “debt-like, non-publicly traded instruments provided by non-bank entities, such as private credit funds or business development companies (BDCs), to fund private businesses.” That description comes from Fang Cai and Sharjil Haque of the Federal Reserve Board, February 23, 2024.
A common transaction is a direct loan negotiated between a borrower and one lender or a small lender group. Senior-secured, floating-rate loans are frequent, but private credit also includes other strategies, seniority levels and parts of a company’s capital structure. The lender generally expects to hold the loan rather than distribute it through a broad public market.

Bank loans
A bank loan is credit made by a regulated bank. The bank may keep the exposure on its balance sheet, participate in a club deal or arrange a larger loan and syndicate it to other institutions. Bank products range from working-capital revolvers and equipment loans to real-estate facilities, acquisition financing and leveraged loans.
That range matters. A small-business term loan from a relationship bank should not be treated as equivalent to a broadly syndicated leveraged loan. The Federal Reserve’s August 2026 comparison focuses on private credit versus leveraged loans, not every category of commercial bank lending.
Private credit vs. bank loans at a glance
| Comparison point | Bank loans | Private credit |
|---|---|---|
| Lender | Regulated bank; it may lend directly or arrange a wider lender group | Nonbank fund, BDC or another private credit vehicle |
| Negotiation | Depends on the product, bank underwriting standards and documentation process | Often bilateral or negotiated with a small lender group |
| Distribution | Some loans remain on the bank’s balance sheet; larger leveraged loans can be syndicated | Usually held by a fund or vehicle, with limited secondary trading |
| Typical borrower fit | Varies widely by bank, product, collateral and credit quality | Often middle-market and below-investment-grade companies; size and risk still vary |
| Cost tendency | Often lower than private credit, although pricing depends on risk and structure | Often higher, potentially reflecting customization, speed or execution certainty |
| Flexibility | Set by the product, bank policy and negotiated documents | Terms may be customized, but rights and remedies remain contract-specific |
| Liquidity and price visibility | Syndicated leveraged loans have secondary trading and market-based pricing; many other bank loans do not | Typically no liquid secondary market and model-based valuation |
| Connection to banks | Direct lender or arranger | Private credit vehicles can borrow from banks to fund their own lending |
The liquidity and valuation distinctions in this table are market-level observations from the Federal Reserve’s private-credit-versus-leveraged-loan analysis. They do not imply that every bank loan is tradable or publicly priced.

How the deal structures differ
One lender versus a distributed lender group
Direct lending often puts the borrower in a negotiation with one investment vehicle or a small group. Fewer decision-makers can simplify amendments, waivers and information flow, although the lender may have substantial negotiating leverage. The credit agreement identifies exactly who can consent to changes, what requires unanimous approval and what can be changed by a majority.
In a syndicated leveraged loan, a bank or group of banks typically underwrites or arranges the facility, then sells portions to institutional investors and other lenders. The arranging bank may retain a revolving facility or some term-loan exposure while distributing the rest. The borrower therefore deals with an agent and a lender group whose voting mechanics can make changes more procedural.
How funding affects the borrower
Private credit is mainly funded by private debt funds and BDCs, along with other vehicles. Leveraged-loan financing relies on banks for arranging and revolving facilities and on institutional investors for distributed term loans. Different funding and distribution structures can produce different responses when market conditions change. A lender that intends to hold a loan may focus on relationship management and private monitoring; a distributed loan is also influenced by investor demand and trading levels.
Which businesses typically use each channel?
Private credit’s common borrower profile
Private credit frequently serves middle-market and below-investment-grade companies, including borrowers whose size, leverage, collateral or transaction complexity does not fit a conventional bank or public-market channel. It is not limited to very small businesses. Acquisition financings, sponsor-backed companies, companies with nonstandard cash flows and borrowers needing a customized package can all appear in this market.

Federal Reserve data illustrate the market’s reported mix rather than eligibility rules. In the August 2026 comparison, median borrower revenue was $223 million for private credit and $902 million for leveraged loans. Reported median leverage was 5.0 times for private credit and 3.2 times for leveraged loans. Those figures describe the samples; they are not minimum or maximum thresholds and do not predict an individual lender’s decision.
Bank-loan eligibility is product-specific
Banks lend across the credit spectrum. A profitable operating company with dependable cash flow may obtain a revolving line or term loan secured by receivables, inventory, equipment or real estate. A larger or riskier borrower may enter a syndicated leveraged-loan market. A bank’s appetite depends on regulatory capital, concentration limits, collateral, industry policy, relationship history and the proposed structure.
Do not assume that a company rejected for one bank product is ineligible for every bank product, or that private credit is automatically the only alternative. Ask the bank which feature caused the mismatch: leverage, loan size, tenor, collateral, covenant package, industry exposure or execution timetable.
Scale of the markets and why the numbers need context
The Federal Reserve’s August 2026 note estimates that U.S. private credit and leveraged loans were each approximately $1.4 trillion at the end of 2025, together representing about 45 percent of lending to private nonfinancial corporations. Those estimates use the note’s market definitions and a specific measurement date.
A separate Federal Reserve review published in 2025 estimated private credit at $1.34 trillion in the United States and nearly $2 trillion globally as of the second quarter of 2024. The earlier figures have different scope and timing; they should not be combined with the end-2025 estimates as if they were one continuous series.
The scale also shows why “private” does not mean disconnected from banks. Federal Reserve researchers estimated that large U.S. banks had about $95 billion in committed credit lines to private credit vehicles in the fourth quarter of 2024. Those commitments were funding to BDCs and private debt funds, not direct loans to the operating companies that ultimately borrowed from them.
Cost: why private credit often carries a premium
Private credit is generally more expensive than bank loans or market-based alternatives, according to the International Monetary Fund’s April 2024 Global Financial Stability Report and the Federal Reserve’s 2024 review. The premium is a broad market tendency, not a quoted spread for your company. A lender prices the entire risk and economics of a transaction.

What determines the actual price
- Borrower credit quality, cash-flow stability and leverage.
- Loan amount, maturity, amortization and expected repayment source.
- Collateral value, priority of claims and guarantees.
- Reference interest rate and whether the rate is floating or fixed.
- Upfront, commitment, agency, amendment and other ongoing fees.
- Prepayment premiums, call protection or minimum-interest provisions.
- Covenants, reporting burden and the lender’s expected monitoring cost.
- Competitive alternatives available when the financing is negotiated.
A lower headline interest rate can still produce a more expensive facility if it has larger upfront fees, mandatory amortization, unused-line charges or restrictive prepayment terms. Compare annualized and total dollars over the expected holding period, not just the coupon.
What the premium may buy
Federal Reserve and IMF discussions identify speed, execution certainty, agility, customized terms and a close lender relationship as possible reasons a borrower accepts private credit’s higher price. These are potential benefits, not guarantees. A bank may deliver quickly on a familiar relationship, and a private lender may impose extensive diligence or conditions before closing.
Terms, covenants and flexibility
Customization is common, not automatic
A smaller lender group can negotiate provisions around acquisitions, permitted investments, restricted payments, collateral releases, financial reporting and mandatory prepayments. The same direct relationship may make an amendment or waiver easier to discuss when the business changes. A private lender may also monitor performance closely and work through a problem with management.
Those advantages have limits. A private credit agreement can include strong maintenance tests, cash sweeps, consent rights, milestones, fees and remedies. Competition for larger transactions can lead to looser terms in some periods. Conversely, a bank facility may be highly flexible when the borrower has a strong relationship and a simple product.
Read the covenant package instead of relying on labels
Ask whether financial tests are maintenance covenants tested every quarter or incurrence covenants tested only when the borrower takes a specified action. Identify leverage and fixed-charge tests, cure rights, equity cures, baskets, headroom calculations, reporting deadlines, default triggers and the consequences of a breach.

Liquidity, transparency and valuation
Private credit is usually a hold-to-maturity market
Private credit loans are commonly held by the originating fund, BDC or another vehicle and are not traded in a liquid public market. Investors generally value positions using models and receive periodic, often quarterly, valuations. Limited transaction data can make it difficult to observe a current executable price.

Syndicated leveraged loans have more visible trading
Leveraged loans arranged and distributed through the market can trade in a secondary market and have market-based daily pricing. That does not mean every bank-originated loan has a quoted price, nor does it make a syndicated loan risk-free. It means the market structure offers more observable transactions and a possible route for lenders to sell exposure.
The Federal Reserve has warned that limited private-credit data make market-wide risk assessment difficult. Publicly available information may not show the same level of borrower detail, covenant terms or timely performance data available in a traded market. A borrower should treat a lender’s private valuation and a market quote as different information products, not interchangeable measures.

1. Define the financing need
Set the amount, purpose, desired closing date, maturity, amortization preference and acceptable collateral. Separate a recurring working-capital need from a one-time acquisition, refinancing or growth investment. The use of proceeds can determine which lenders and structures are available.
2. Prepare a lender-ready package
Expect to provide historical financial statements, current management accounts, a forecast, debt schedule, ownership information, customer or contract concentration, collateral detail and a description of the transaction. A lender will also review legal structure, tax matters, material contracts and any existing debt restrictions.
3. Approach more than one channel
Ask relationship banks, other suitable banks and private lenders for indications or term sheets where practical. A bank may offer a revolver while a private lender proposes a unitranche or secured term facility; comparing unlike packages requires normalizing amount, priority, amortization and fees.
4. Compare the term sheets
Record the all-in rate, reference-rate floor, upfront and recurring fees, original issue discount, amortization, maturity, call protection, collateral, guarantees, covenants, reporting, conditions precedent and lender-consent rights. Note which terms are firm and which remain subject to diligence or credit approval.
5. Test downside cases
Model weaker revenue, margin pressure, higher base rates, delayed receivables, customer loss and a refinancing delay. Check covenant headroom, minimum liquidity, mandatory repayments and the cost of an amendment. A structure that works only in the base case may be unsuitable regardless of its initial price.
Best Value
6. Negotiate documentation and closing conditions
Legal documents determine baskets, definitions, events of default, cure periods, voting thresholds and remedies. Confirm that the lender’s commitment is enforceable, identify flex provisions or syndication conditions, and verify every condition required before funding.
A practical decision framework
Private credit may fit when
- You need a structure tailored to unusual cash flows, collateral or transaction terms.
- A small lender group and direct communication are valuable.
- Execution certainty or timing has meaningful economic value.
- Your leverage, size or risk profile limits conventional bank or public-market options.
- You can support the higher expected cost and understand the covenant and remedy package.
A bank facility may fit when
- You have stable cash flow, acceptable leverage and collateral that meet bank underwriting standards.
- A lower-cost revolver or term loan is more important than bespoke terms.
- You need banking services integrated with borrowing, cash management or deposits.
- You can work within the bank’s documentation, reporting and approval process.
- A syndicated market is appropriate and you can tolerate a broader lender group and market-driven distribution.
Questions to put to every lender
- What is the total dollar cost through the expected repayment date, including all fees and prepayment charges?
- Which rate is floating, what benchmark and floor apply, and how often can payments reset?
- What collateral and guarantees are required, and how can collateral be released?
- Which covenants are maintenance tests, how is each metric defined, and what cure rights exist?
- What reporting, field-exam, audit or monitoring obligations apply?
- Who can approve an amendment, waiver or acquisition, and what voting threshold is required?
- What happens after a covenant breach or payment default, including fees, cash sweeps and enforcement rights?
- Is the lender committed to hold the loan, or can exposure be sold or syndicated?
- What conditions could delay or reduce funding after signing a term sheet?
- How has the lender handled amendments, restructurings or refinancings for comparable borrowers?
Risks and misconceptions to avoid
“Private” does not mean unregulated or risk-free
Private credit vehicles are nonbanks, but they operate within fund, securities, corporate and lending frameworks that vary by vehicle and jurisdiction. Their loans can default, become illiquid and require restructurings. A direct relationship does not eliminate enforcement risk.
“Bank” does not mean cheap, simple or liquid
Banks charge fees, impose covenants and may require extensive documentation. A bilateral commercial loan can be difficult to transfer, while a syndicated leveraged loan can be actively traded. Evaluate the product rather than the institution’s label.

Do not treat market medians as promises
The Federal Reserve’s revenue and leverage medians describe reported market samples. They do not establish eligibility, safe leverage or a recommended capital structure for your company.
Do not confuse lender and funding chain
Your contractual lender may be a private fund or BDC even though that vehicle has a bank credit line. Conversely, a bank may arrange a loan ultimately funded by institutional investors. Identify the party making decisions under your agreement and separately consider how that party is funded.
Bottom-line comparison
Private credit trades a generally higher price and lower public liquidity for the possibility of customized terms, direct negotiation and execution certainty. Bank loans can offer lower cost and, in the syndicated leveraged-loan market, more visible secondary pricing, but bank products vary widely and may impose their own process and covenant constraints.
Start with the financing outcome you need, solicit realistic alternatives, normalize every economic and legal term, and stress-test the agreement. A qualified financing adviser and counsel can help interpret competing term sheets; no market category by itself determines which offer is best.
