What Perplexity proposed
In January 2025, Perplexity submitted a revised proposal to combine its AI search business with TikTok’s U.S. operations, according to reporting based on people familiar with the matter. The contemplated company would be a new entity, rather than the result of a straightforward cash sale of TikTok’s U.S. business. The proposal reportedly allowed existing ByteDance shareholders to retain an ownership interest. Reuters-republished reporting and AP coverage carried by CBS News described the proposal; no complete public transaction document set out all its terms.
The key figure was not a guaranteed government share at closing. The reported plan contemplated the U.S. government receiving as much as 50% of the new company after a future IPO. TechCrunch reported that the IPO condition included a valuation of at least $300 billion. That was a proposed threshold, not an achieved valuation or a prediction that the company would reach it. TechCrunch’s account of the revised bid described the condition.

An eventual IPO stake would depend on the company reaching the offering stage and satisfying the reported condition. The public reporting did not establish how the stake would be calculated or what voting rights it would carry. As with any future public offering, the ownership percentage could also be affected by the company’s capital structure and subsequent fundraising.

Why a merger—and why Perplexity might want TikTok
Describing the plan as a merger could have helped distinguish it from a conventional sale: ByteDance shareholders might retain an interest, while TikTok’s U.S. operations moved into a newly structured company. That approach could preserve some economic continuity and avoid presenting the transaction as a simple transfer of every asset. Perplexity reportedly saw the merger structure as potentially advantageous, but the label alone would not establish compliance with U.S. law. Reuters-republished coverage described the merger framing.
The strategic rationale for Perplexity is an inference from the businesses involved, not a confirmed statement of the company’s deal objectives. TikTok could bring a vast U.S. audience, creators, advertising relationships, and a consumer distribution channel to a much smaller AI search company. A combined product might have used those connections to make video discovery more search- and AI-oriented, while giving Perplexity a much larger route to reach users than its standalone search service.
Financing was an obvious challenge. Axios reported that Perplexity had previously been valued at about $9 billion, while its side estimated TikTok’s U.S. business could be worth more than $50 billion. Those were reported estimates, not audited valuations or agreed transaction prices. Axios’s report gives that context. The available reporting did not establish how a deal of that scale would be funded, who would control the combined company, or how the government’s proposed interest would fit into its capitalization.

Why the algorithm and ByteDance’s role mattered
Owning or operating TikTok’s U.S. business is not the same as owning or controlling the technology that recommends videos. The business could include the U.S. app operations, user relationships, advertising activity, and data systems; the recommendation algorithm, source code, training data, and global technology systems raise separate questions.

Reporting identified the algorithm as a central complication. Some coverage described the proposal as excluding or not transferring the core recommendation technology, but the precise treatment was not set out in a public term sheet. The distinction matters because a U.S. company could have a different ownership structure yet still face questions about dependence on ByteDance technology, licensing, updates, or influence. The Associated Press reported on the bid and algorithm issue.
ByteDance’s possible retained stake also would not, by itself, answer who controlled operations. Governance, voting rights, access to systems, data handling, and the ability to direct product decisions would all matter. The proposal’s public reporting did not establish those details, so it is not possible to conclude from the reported ownership outline alone whether ByteDance would have retained operational influence.

Why the U.S. government was part of the proposal
President Donald Trump had publicly discussed the possibility of the United States taking a stake in TikTok. In that political context, a government interest could be presented as a way to align national-security concerns with the company’s future ownership and potentially provide public financial upside if the business later went public. The Associated Press covered the broader discussion of a U.S. stake.
But an equity stake raises questions beyond national security. If the government held voting rights or governance powers, its role could intersect with decisions at a major speech platform, including content moderation and access to data. Even a passive financial interest could prompt scrutiny over conflicts between public duties and investment returns. Those are governance and constitutional questions raised by the idea; they do not, by themselves, establish that the proposal was unlawful.

That remained uncertain. The relevant issue was not simply whether the transaction was called a merger or whether the new entity had U.S. investors. Review would have to consider whether ByteDance retained influence, how independent the U.S. company would be in governance and operations, and how user data and the recommendation technology would be controlled. The reported proposal did not resolve those questions publicly.

There were also practical hurdles: a buyer and financing for a business of the reported scale, treatment of the algorithm and related technology, and acceptance by both U.S. and Chinese authorities. A future IPO and a potential government stake added further conditions rather than guaranteeing a workable closing. The reporting described a submitted proposal, not regulatory approval or a settled legal workaround.
What happened to the proposal
Perplexity’s proposal did not become TikTok’s final U.S. ownership arrangement. On January 22, 2026, TikTok established TikTok USDS Joint Venture LLC. The finalized structure reported by the Associated Press and described in Silver Lake’s announcement named Oracle, Silver Lake, and MGX as managing investors, each with a 15% stake; ByteDance retained 19.9%.
The remaining approximately 35.1% was assigned to other investors. The U.S. government was not listed as a direct 50% owner, and Perplexity was not identified as a managing investor in the finalized structure. The 2026 joint venture was therefore a different outcome from the proposal reported the year before.
