Neither label, by itself, tells you who is authorized to file or pay federal payroll taxes—or who handles retirement-plan contributions. In the U.S., those duties depend on the service agreement, any IRS authorization, and the retirement plan’s arrangements. Payroll tax deposits and employee 401(k) contributions are separate workflows.
What is the difference between payroll software and a payroll service provider?
Payroll software helps calculate wages, deductions, and payroll records. A payroll service provider (PSP) is a party that performs payroll tasks under an agreement with the employer. Depending on the arrangement, a PSP may prepare paychecks; prepare Forms 940 and 941 using the employer’s EIN; prepare returns for the employer to sign; make federal tax deposits and payments; and prepare Forms W-2 and W-3. The agreement determines which tasks it actually performs. The IRS describes PSP functions and employer responsibilities.

“Third-party contribution agent” is not a defined category in the IRS payroll arrangements covered here. It may mean a vendor that sends employee retirement deductions to a plan, but that is distinct from a vendor handling federal employment taxes. Check what the vendor does rather than relying on its marketing label.

Which IRS payroll arrangements are not interchangeable?
The IRS distinguishes among PSPs, reporting agents, section 3504 agents, and certified professional employer organizations (CPEOs). Their authorization, filing authority, EIN use, and allocation of responsibilities differ. The IRS arrangement chart compares these roles.
#1 Best Overall
| Arrangement | Authorization or agreement | Typical filing and EIN distinction |
|---|---|---|
| Payroll service provider (PSP) | Service agreement; the applicable tasks depend on the arrangement. | May prepare returns using the employer’s EIN and file returns signed by the employer. The scope varies by contract. IRS |
| Reporting agent | Employer authorization using Form 8655. | A type of PSP that may perform PSP tasks and may additionally sign and electronically file certain returns. IRS |
| Section 3504 agent | Appointment through Form 2678 and IRS authorization. | May file aggregate returns using the agent’s EIN for specified functions. The employer remains subject to applicable law and penalties; the IRS describes joint and several liability. IRS |
| Certified professional employer organization (CPEO) | Certified arrangement involving a CPEO contract and Form 8973. | Typically pays wages under the contract and assumes federal employment tax duties for covered wages, subject to the rules and contract facts. IRS |
Do not assume that a provider is a reporting agent, section 3504 agent, or CPEO simply because it processes payroll. Confirm the actual authorization and which EIN appears on filings and deposits.
Who is responsible if a payroll company does not pay the taxes?
For a PSP or reporting agent, outsourcing does not relieve the employer of its employment-tax obligations or liability. The IRS says employers should monitor deposits and account activity, rather than treating a vendor’s confirmation as the only evidence that a payment was made. Enrolling in the Electronic Federal Tax Payment System (EFTPS) gives an employer a way to check payment history. The IRS recommends EFTPS enrollment and checking that the provider uses it for tax deposits.

Not necessarily. Federal payroll taxes and employee retirement-plan contributions are different obligations, and a payroll tax service does not automatically act as the plan’s recordkeeper, trustee, or remittance provider. The agreement and plan documents establish who connects payroll deductions to plan records, sends money to the plan, reconciles amounts, and corrects errors.

For a retirement plan, the employer is generally the plan sponsor and has ERISA responsibilities. When employees contribute through payroll withholding, the employer is responsible for forwarding those contributions to the plan as soon as possible. The Department of Labor (DOL) says contributions for plans with fewer than 100 participants deposited by the seventh business day after payday are treated as timely under that small-plan safe harbor. That is not permission to wait when the employer can deposit sooner. DOL explains the employer’s responsibility and small-plan timing rule.
DOL’s general rule is to deposit contributions as soon as reasonably possible to separate them from company assets. Its 2021 fiduciary publication gives the fifteenth business day of the month following payday as a general outside limit; employers must deposit sooner when reasonably possible. These timing standards are not interchangeable with payroll-tax deposit deadlines. See DOL’s fiduciary guidance.

What employer duties remain when service providers are involved?
Hiring a provider does not automatically erase fiduciary duties. Under ERISA, fiduciary status depends on the functions performed, including discretion or control over plan management or assets. Employers should understand and monitor the service-provider relationship. DOL explains how fiduciary status depends on a person’s functions.

What should you check before outsourcing payroll?
- Tasks: Confirm whether the provider calculates wages and withholding, prepares or files returns, makes deposits, produces W-2s and W-3s, or responds to notices.
- Authority: Identify the actual arrangement and paperwork, such as Form 8655 for a reporting agent, Form 2678 for a section 3504 agent, or a CPEO contract and Form 8973.
- EIN and filing method: Ask whose EIN appears on returns and deposits, and whether returns are filed separately or in aggregate.
- Account visibility: Make sure you can verify filings and deposits, including through EFTPS, and establish who reviews account activity.
- Exceptions and responsibility: Agree on who handles late or missed deposits, incorrect payroll data, agency notices, and corrections—and how quickly issues are escalated.
- Retirement-plan workflow: Separately confirm how deductions are matched to plan records, when remittances are sent, how amounts are reconciled, how errors are corrected, and how new hires and terminations are handled.
Do not infer from payroll processing that a vendor also remits retirement contributions. Verify the operational roles in the service agreement and plan documents.
