OpenAI and Anthropic are not offering retail investors guaranteed IPO shares at a set price. Anthropic said on June 1, 2026, that it had confidentially submitted a draft registration statement to the U.S. Securities and Exchange Commission (SEC), but said any offering would depend on market conditions and other factors. OpenAI’s confidential draft filing was reported on June 8; on September 12, its CEO said the company would not go public in 2026. As of October 3, 2026, Anthropic’s timing was still uncertain, and neither company had established public offer terms or a retail allocation.
What is the status of a possible IPO?
A confidential draft Form S-1 is an early step in preparing for a possible U.S. public offering. It lets a company work through SEC review privately before a public filing; it is not a final prospectus, an offer to sell shares, or proof that a listing will happen. It does not establish a listing date, share count, offer price, or which investors might receive shares.
Anthropic: a possible listing, with no confirmed date
Anthropic announced on June 1, 2026, that it had confidentially submitted a draft Form S-1 for a proposed common-stock IPO. The company said the step gave it the option to go public after SEC review, while emphasizing that the offering depended on market conditions and other factors. It had not set the number of shares or the price, and said the announcement was not an offer to sell securities or a solicitation to buy them.
On September 30, Axios described Anthropic as a possible fourth-quarter IPO while raising the possibility that it could list before Thanksgiving or delay. That was a report about uncertainty, not an announced timetable. A company’s preparation to list and a completed, publicly priced offering are different events.

OpenAI: no IPO in 2026, according to its CEO
Axios reported on June 8, 2026, that OpenAI had confidentially filed a draft IPO registration statement. The report also said the company’s timing was undecided and might be a while, since some work was easier as a private company. On September 12, Axios reported CEO Sam Altman saying OpenAI would not go public in 2026, citing safety work. He said, “Right now would be an ill-advised moment to go public.” That statement rules out a 2026 listing as of the latest reviewed reporting; it does not set a date for a later year.
Can ordinary investors buy shares at the IPO price?
That has not been established for either company. A future IPO could include shares offered to the public, but the offering documents and participating broker notices would need to specify who can participate and how any allocation works. The fact that a company has filed confidentially does not mean retail investors can reserve shares, qualify for an allocation, or buy at the eventual offer price.

Even if a brokerage accepts an indication of interest or an order, that does not itself guarantee an allocation. Before making a decision, an investor would need the actual offering terms and the relevant broker’s eligibility and allocation rules. Those details were not established in the reviewed reporting as of October 3, 2026.
Why private-share offers are not a substitute for an IPO allocation
Both companies warn that equity transfers can be restricted and that purported indirect exposure may be invalid or worthless. A private-market listing, special-purpose vehicle (SPV), token, forward contract, or bank-channel participation in a private financing round is not the same thing as receiving shares in a registered IPO.

OpenAI’s transfer warning
OpenAI’s published equity policy says, “All OpenAI equity is subject to transfer restrictions.” It says equity cannot be transferred directly or indirectly without written consent and warns that unauthorized sales, SPVs, tokenized interests, and forward contracts may violate those restrictions, may be void, and may have no economic value to a buyer.
Anthropic’s transfer warning
Anthropic says unapproved transfers are void and will not be recognized, and that it does not permit SPVs to acquire its stock. It warns that third parties claiming to sell shares to the general public—including through forward contracts or tokenized securities—may be offering an investment with no value because of transfer restrictions. Anthropic advises checking official regulatory databases and obtaining independent legal and financial advice.

Before paying for purported private exposure, verify what legal interest is actually being sold, whether the company recognizes the transfer, and what rights the buyer would receive. A seller’s claim that an offer is “pre-IPO” does not establish that the buyer will own company shares or later receive IPO shares.

These post-money figures come from different financing rounds announced on different dates. They are not a like-for-like comparison of expected IPO prices or investment returns. An eventual public valuation would need to be assessed using the offering’s share count, price, share classes, dilution, financial disclosures, and capital needs.
What to examine if either company publishes offering documents
When public materials become available, distinguish what a filing actually says from market commentary or an earlier private-round headline. Compare the same categories for each company:
- Offering status: Is there only a confidential draft, a public SEC filing, a roadshow, an announced price, or a completed listing? Use dated sources and identify whether a statement comes from the company, a regulator, or a news report.
- Offer terms: Check the proposed and final number of shares, price range, and whether shares are newly issued by the company or sold by existing holders. Review the stated use of proceeds. These details were not established in the reviewed announcements.
- Financial condition: Read the prospectus for audited revenue, growth, losses, cash needs, contractual commitments, and customer or supplier concentration. Comparable public prospectus financials were not available in the reviewed sources.
- Governance and control: Review voting rights, share classes, board appointment rights, and any public-benefit or mission commitments. OpenAI says its for-profit entity is OpenAI Group PBC, controlled by the OpenAI Foundation, which has special voting and governance rights. The reviewed sources did not establish comparable Anthropic IPO governance terms.
- Risks and dependencies: Look to the companies’ actual risk factors and financial disclosures for safety, regulation, competition, infrastructure and computing needs, financing, and execution risks. Do not infer these disclosures from enthusiasm about AI.
- Retail participation and trading: Confirm which brokers participate, investor eligibility, how allocations are decided, and whether lockups or resale limits apply. These details were not established for either company in the reviewed sources.
- Valuation: Relate the eventual offer valuation to disclosed financial results and capital requirements. Do not treat a dated private-round post-money valuation as directly comparable with an IPO price without accounting for share terms and dilution.
A practical checklist before placing an order
- Confirm the event. Look for a public SEC filing and official company announcement rather than relying on a report that a confidential draft exists.
- Read the actual offering documents. Find the price range or final price, number and type of shares, use of proceeds, financial disclosures, risk factors, and share-class rights.
- Check your broker’s terms. Verify whether it is participating, who is eligible, how requests are submitted, whether allocations are discretionary, and what happens if an order is not filled.
- Separate an IPO order from private exposure. Do not assume an SPV, token, forward contract, secondary-market listing, or private-round participation carries IPO rights.
- Decide using the disclosed risks and your own circumstances. A prominent brand or high private valuation does not establish that an IPO is fairly priced or suitable for a particular investor.
