Ondo Finance announced Ondo Private Markets on October 5, 2026, starting with a tokenized note tied to an unnamed pre-IPO AI company. It is not the company’s stock: holders receive economic exposure under the note’s terms, not ownership of or rights to the company’s shares. Ondo said secondary trading was expected to begin during the announcement week; that was a launch schedule, not confirmation that trading is live.

What is Ondo Private Markets?

Ondo describes the product as a tokenized note that references a private company. The note’s value is calculated from the per-share value realized on the reference company’s common shares, as specified in the note terms. The offering documents govern the instrument; the product page is not a substitute for them. Read Ondo’s product details and disclosures.

The first reference company is unnamed. Private companies do not have official tickers before listing, and the announcement does not identify this one. Ondo said potential future exposures could span robotics, cybersecurity, biotech, infrastructure, defense, energy and space. Those are possible future categories, not available offerings confirmed at launch. Ondo’s October 5 announcement describes the launch.

What are buyers actually getting?

A buyer gets a note, not shares in the reference company. The note does not give its holder the right to receive underlying shares. Its economic value depends on the note’s terms and the value realized in specified circumstances; it should not be treated as equivalent to owning stock or as a claim on the company’s latest private valuation.

Ondo says eligible investors may trade notes on the Ondo Perps Spot Market and may hold them in their own wallets or transfer them to other eligible holders. Trading is subject to maintenance, risk controls and possible issuer pauses. Access and transferability are therefore conditional, not a guarantee of continuous trading.

Can you sell before an IPO?

Potentially, through the secondary market if trading is available and a buyer can be found. Ondo’s announcement scheduled secondary trading to begin during the week of October 5, 2026; it did not establish that trading had started. Nor does a planned market guarantee that a holder can sell at a desired price or time.

Ondo says secondary-market prices are set by buyers and sellers. There is no public market price or consensus benchmark for the private company, so the note’s spot price may differ significantly from both the company’s latest private valuation and its eventual payout. Liquidity may be limited and bid-ask spreads may be wide.

When can the note be redeemed?

Ondo lists specific qualifying liquidity events. An ordinary funding round, employee tender offer, company liquidity program or ordinary secondary sale is not one of them. The Calculation Agent determines in good faith whether an event occurred, its type and its price. The exact mechanics and rights are controlled by the offering documents.

  • The reference company lists and trades for six months, including after an IPO or direct listing, or following a merger in which shareholders receive listed stock.
  • Someone acquires majority control of the company.
  • The company enters bankruptcy or insolvency proceedings.
  • The company liquidates substantially all of its assets.
  • Ten years pass without one of the other listed events.

What if the company is acquired?

An acquisition qualifies under the listed terms if someone acquires majority control. A merger also appears among qualifying events when shareholders receive listed stock, after that stock lists and trades for six months. The Calculation Agent determines whether the facts meet the event definition and establishes the relevant event type and price in good faith. An acquisition does not mean the noteholder receives company shares; the note’s terms determine the resulting economic treatment.

Can U.S. investors buy the notes?

No. Ondo’s product page says the product is unavailable in the United States. Its legal disclosure prohibits U.S. persons and people placing buy orders from within the United States, among others, from subscribing, acquiring or redeeming the tokens. Check the eligibility rules in the offering documents rather than relying on general launch language about worldwide access. Ondo’s product page and legal disclosure set out the restriction.

What are the main risks?

  • Loss of principal: Ondo warns that holders may lose their entire purchase price.
  • Valuation uncertainty: Private-company shares lack a public market benchmark, and a note’s secondary price can diverge from private valuations and eventual payout.
  • Liquidity risk: A secondary market may have limited liquidity and wide spreads, or trading may be paused under the product’s controls.
  • Event and timing risk: Redemption depends on defined events and the note terms; excluded transactions such as ordinary funding rounds do not qualify.
  • Instrument risk: The note is not stock and does not grant rights to receive the company’s shares.
  • Eligibility risk: Access is restricted, including for U.S. persons and people placing buy orders from within the United States.

Why is Ondo targeting private markets?

Ondo’s announcement frames the product around the large role of private companies in the economy. It attributes to Apollo Academy the estimate that 87% of U.S. companies with more than $100 million in annual revenue are privately held; the announcement does not state the underlying statistic’s publication year.

The announcement also cites Cambridge Associates data showing annualized net returns of 13.2% for U.S. private-equity funds versus 11.3% for an S&P 500 public-market equivalent over the 20 years ending December 2025. This is a historical comparison for that period, not a forecast, guarantee or return figure for Ondo’s notes. Ondo’s announcement attributes both statistics to those sources.

Ondo additionally reported $3.9 billion in total value locked and more than 1 million cumulative holders across its broader infrastructure. Those are company-reported, time-sensitive platform figures, not performance data or adoption figures for the new private-market notes.
