Off-chain governance reaches decisions through discussion and coordination outside the ledger, then relies on people to write, release and adopt the resulting software. Most real systems combine the two: a proposal may be debated in forums, approved by an on-chain vote and still require a client upgrade that node operators choose to run.
The important question is therefore not whether an entire blockchain is “on-chain” or “off-chain.” It is which layer makes a decision, who has authority, what the ledger records, how execution occurs and what happens if participants disagree. Ethereum’s core protocol is governed off-chain, while some applications and DAOs running on Ethereum use on-chain voting. Tezos documents a built-in on-chain protocol-upgrade process, and Cardano’s constitution describes guardrails for on-chain governance actions introduced in September 2024.

What on-chain and off-chain governance mean
On-chain governance
Ethereum.org defines on-chain governance as a process in which proposed protocol changes are decided by a stakeholder vote that happens on the blockchain, usually through governance-token voting. Proposals, ballots, quorum rules and execution conditions can be represented by transactions or smart contracts. In designs with automatic execution, an approved proposal can trigger the encoded change after a delay or other condition.

That visibility does not automatically make the process fair or safe: token ownership may be concentrated, contracts may contain bugs, and a technically valid vote may still need compatible software and willing network operators.

Off-chain governance
Ethereum.org describes the alternative as an informal social process: stakeholders discuss a proposed protocol change outside the blockchain and, if they approve it, developers implement the decision in code. Discussion can occur in developer calls, mailing lists, forums, conferences, issue trackers and other coordination channels. The ledger records the eventual transactions and blocks produced by the adopted software, not necessarily the arguments, preferences or informal consensus that led to the release.
“Informal” does not mean unstructured or secret. A protocol may publish agendas, draft specifications, test results and public meeting notes while keeping the binding decision outside a smart contract. The Federal Reserve’s 2024 discussion of permissionless blockchain networks uses this distinction to separate protocol rules from governance activity that occurs beyond the ledger.
Governance is not the same as consensus
Governance answers who can change the rules and how a change is authorized. Consensus answers how participating nodes agree on the current state under those rules. Ethereum’s documentation on consensus mechanisms explains the latter function. Proof-of-stake validators, for example, can agree on which transactions are valid without having authority to rewrite the protocol’s governance process.
A governance vote can authorize a new validator rule, fee formula or virtual-machine feature, but validators and other node operators still need software that implements it. Conversely, a network can maintain consensus on an old rule even when a governance proposal to change that rule fails. Keeping these layers separate prevents a common error: treating validator voting or block production as proof that protocol governance itself is on-chain.
The complete path from idea to live protocol
Whether a system advertises on-chain or off-chain governance, a rule change normally passes through several distinct stages. The location of each stage matters more than the label attached to the network.

- Proposal: Someone defines the problem, technical change, scope and intended activation conditions. Eligibility may depend on token ownership, delegation, a formal role or demonstrated technical contribution.
- Technical review: Developers and other stakeholders inspect the specification, implementation, security assumptions, economic effects and compatibility with existing clients and applications.
- Public deliberation: Participants debate alternatives, identify failure modes and request revisions. This stage is usually off-chain even when the final ballot is on-chain.
- Decision: An on-chain system records votes and applies its quorum, approval and timing rules in transactions or contracts. An off-chain system reaches social agreement through its recognized coordination process.
- Implementation: Developers write or merge the code, prepare releases and test the change. Automatic execution is possible only when the approved behavior has already been safely encoded in the governing contracts.
- Activation and adoption: Validators, miners where applicable, node operators, exchanges, custodians, applications and users install compatible software or otherwise accept the new rules. A vote cannot force every independent participant to upgrade.
- Disagreement handling: Participants that reject the change may keep old software, negotiate a revision or support a separate chain. The resulting split is a social and technical coordination event, not something a vote alone can eliminate.
This sequence explains why “on-chain” does not always mean “automatic.” A contract can automate the ballot while leaving code development, testing and network adoption to people. Conversely, an off-chain process can use highly formal specifications and reproducible tests even though the binding approval is not a transaction.
Key differences at a glance
| Comparison point | On-chain governance | Off-chain governance | Practical qualification |
|---|---|---|---|
| Where the decision is recorded | Votes, proposals or execution conditions appear in transactions or contracts. | Discussion and approval occur in social or technical channels outside the ledger. | Forums, calls and code review may still surround an on-chain vote. |
| Who may participate | Often token holders or their delegates, subject to contract rules. | May include developers, validators, users, businesses and other stakeholders through coordination. | Neither model guarantees broad participation; eligibility and influence must be examined. |
| Transparency | Ballots and contract state are publicly auditable after publication. | Evidence depends on published minutes, proposals, code and the openness of the social process. | On-chain records show votes, not necessarily the reasoning or off-chain lobbying behind them. |
| Execution | Can be automatic when the approved change is pre-encoded; otherwise a software release is still needed. | Developers implement the socially approved change and distribute a release. | Independent node operators and users must adopt compatible software in either case. |
| Speed and deliberation | Fixed voting windows can make the formal path predictable. | Discussion can remain open while technical questions are resolved. | Security review, testing and coordination can make either model slow. |
| Capture and safety risks | Low participation, concentrated tokens, contract bugs or rushed execution can distort outcomes. | Small groups, opaque influence, social pressure or developer bottlenecks can distort outcomes. | Thresholds, review, delays and credible rejection options matter more than the label. |
| Fork risk | A recorded vote does not bind dissenting operators. | Social agreement can still fail when releases or interpretations diverge. | Every protocol change depends on compatible software and network participation. |
Participation and authority
Token voting and delegation
Many on-chain systems use governance tokens: voting weight follows token holdings, sometimes with delegation to another address. Ethereum.org’s DAO explanation describes this application-level pattern. Delegation can let technically informed representatives vote for holders who do not participate directly, but it can also concentrate practical influence in a small set of delegates. A reader evaluating a DAO should inspect quorum, proposal thresholds, vote duration, delegation rules, quorum treatment for abstentions and whether voting power is transferable or time-weighted.
Technical and social authority
Off-chain protocol governance commonly gives important roles to client developers, researchers, validators, infrastructure operators and application teams. Their authority may come from technical expertise, the ability to publish software, economic stake or the community’s willingness to run their release. There may be no single constitutional ballot that ranks these roles. Influence is exercised through proposing specifications, reviewing code, signaling support, releasing clients and coordinating activation.
Neither token ownership nor developer participation is a complete measure of legitimacy. Ask which affected groups can object, whether dissent is visible, and whether a proposal can proceed without the cooperation of the people who must maintain or run it.
Recordkeeping and transparency
On-chain votes provide a durable, independently verifiable record of addresses, vote choices, timing and contract state. This is useful for auditing whether the published rules were followed. It does not reveal why a voter chose an option, whether voting power was borrowed, or what private negotiations preceded the transaction.

Off-chain systems can preserve a substantial public record through proposal documents, meeting notes, issue discussions, test reports and version-controlled code. The weakness is that the record is curated by people and platforms: a missing transcript, deleted forum post or informal conversation may be difficult to reconstruct. Compare the documented rationale with the actual release and activation criteria rather than treating either a blockchain transaction or a forum post as the whole governance record.
How approved changes become real
Automatic execution
Some on-chain designs encode the proposed parameter or contract behavior before voting. If the vote passes and any timelock expires, the contract can update the governed state without a separate human signature. This reduces ambiguity about whether an approved change will be executed, but it shifts risk into the proposal code, the voting contract and the timelock design. A bug can be executed as reliably as a correct change.
Coordinated software release
Most protocol-level changes affect code running on independent machines. Developers must implement and test the change, publish compatible clients, communicate activation conditions and allow operators to upgrade. An on-chain signal can authorize or schedule this work, but it cannot install software on a node that its operator controls. Off-chain governance makes this human coordination explicit; on-chain governance still depends on it whenever the change is not fully encoded in a contract.
Adoption and the possibility of a fork
When some participants run old rules and others run new rules, the network may reject blocks, split into incompatible histories or negotiate a revised activation plan. Exchanges, wallets, custodians and applications also need to recognize the chosen chain. A passed vote is therefore evidence of authorization under a particular process, not proof of universal adoption.
Speed versus deliberation
On-chain governance can make deadlines, vote windows and execution conditions explicit. Once a proposal is live, participants can see its status without relying on a coordinator’s summary. However, waiting for quorum, a timelock, audits and a release can still take considerable time.

Off-chain processes can address technical objections before anyone is asked to cast a binding vote and can adapt the proposal as new evidence appears. They may also move slowly when stakeholders disagree or when responsibility for a decision is unclear. Ethereum.org characterizes this tradeoff directly: “The Ethereum governance process often trades off speed and efficiency for openness and inclusivity.” That statement describes Ethereum’s governance documentation, not a universal law. A fast decision is not necessarily a good decision, and a long discussion is not necessarily inclusive.

Questions for an on-chain system
- Is a minimum proposal deposit or threshold high enough to prevent spam but low enough for meaningful participation?
- Does quorum measure total eligible voting power, votes cast, or another rule?
- Can a large holder, flash-borrowed voting power or a coordinated delegation bloc pass a proposal without broad support?
- Have the voting, timelock and execution contracts been reviewed and tested?
- Is there enough delay to inspect a successful proposal and respond before activation?
- Can an unsafe proposal be canceled, vetoed or rejected by the people who must run the software?
Questions for an off-chain system
- Which forums, calls or repositories are considered authoritative, and are their records public?
- How are objections from users, validators, applications and security researchers incorporated?
- Who can merge and release code, and what review or test evidence is required?
- Is there a published activation signal, schedule and rollback plan?
- Can a small group quietly redefine the rules, or can the wider community see and contest the decision?
Emergency fixes illustrate the tension. A contract-based process may include a pause or emergency administrator, while a social process may rely on trusted developers and rapid operator coordination. Each shortcut introduces authority that should be documented: who can act, under what conditions, for how long and with what post-event review.
Protocol examples and the boundary between layers
Ethereum core protocol
Ethereum.org’s governance documentation describes Ethereum’s core protocol governance as off-chain. A range of stakeholders coordinate through social and technical processes, and approved changes are implemented in client software. This does not mean every Ethereum-related decision is off-chain. Applications built on Ethereum, including DAOs, may use on-chain voting for their own treasuries, parameters or policies.
That distinction is essential: an Ethereum-based DAO’s contract vote does not become Ethereum’s protocol governance merely because it runs on Ethereum. The DAO can change its own rules while the underlying chain continues to follow its separate client-release and adoption process.
Tezos self-amendment
Tezos documentation, last updated April 9, 2025, describes a built-in on-chain mechanism for proposing, selecting, testing and activating protocol upgrades. The documented stages are part of the protocol’s self-amendment process. The same documentation distinguishes that formal mechanism from a less formal off-chain improvement process, so “on-chain” does not eliminate discussion, engineering work or social coordination.

Cardano’s constitutional framework
Cardano’s Constitution and On-Chain Governance Framework sets guardrails for on-chain governance actions and describes proposals as voting transactions. The page identifies the introduction of an on-chain governance system in September 2024. That is a dated implementation milestone, not evidence that every present or future Cardano decision is exclusively on-chain. Read the constitutional rules and current technical documentation for the specific action being considered.
DAOs as an application-level case
Ethereum.org’s DAO overview explains how blockchain-based organizations can encode rules and use token-holder voting, including delegation. A DAO may therefore have an on-chain proposal and execution contract while relying on off-chain forums for agenda-setting, legal discussion, security review and community coordination. Its governance should be evaluated at the application layer, separately from the protocol governance of the chain that hosts it.
How to evaluate a governance model before participating
- Name the layer: Determine whether the proposal concerns a base protocol, a rollup or application, a DAO treasury, a service parameter or another system.
- Map the actors: List proposers, voters, delegates, developers, validators, node operators, application providers and users. Identify who can block or ignore the outcome.
- Trace the evidence: Find the proposal specification, discussion record, audit or test report, vote transaction, timelock and release notes. Note which links are missing.
- Read the exact rules: Check eligibility, quorum, thresholds, voting period, delegation, vetoes, emergency powers and execution conditions in the governing code or published process.
- Follow the implementation: Verify which software version contains the change, activation height or date, compatibility requirements and rollback procedure.
- Assess concentration: Examine whether a few addresses, delegates, maintainers or infrastructure providers can determine the result.
- Plan for disagreement: Understand how the project handles abstention, minority objections, competing client releases and a potential chain split.
- Check the date: Governance parameters and contracts can change. Use the project’s current official documentation before relying on a threshold or process detail.
Which model is better?
There is no universal winner because the models solve different coordination problems. On-chain mechanisms are valuable when a project needs a publicly verifiable rule for eligibility, counting and execution, and when the governed behavior can be safely represented in contracts. Off-chain mechanisms are valuable when decisions require nuanced technical judgment, broad stakeholder discussion or software changes that cannot be reduced to a contract call.
