Before investing in an Indian non-convertible debenture (NCD), verify the exact offer document, credit and security terms, cash-flow dates, allotment rules and redemption mechanics. An NCD can provide predictable contractual payments, but a coupon or rating is not a guarantee that interest or principal will arrive on time or in full.
This checklist is designed for a retail investor assessing a public issue or monitoring an NCD already held. Issue terms differ, so use the current prospectus, addenda, exchange notices and issuer or registrar instructions for the particular series.

What an NCD investment actually promises
A non-convertible debenture is debt issued by a company or other eligible entity. “Non-convertible” means the instrument does not convert into the issuer’s equity under its stated terms. You lend money for a defined period and, subject to the issuer meeting its obligations, receive the contractual coupon or other return and repayment at redemption.
The legal promise is limited by the issue documents and the issuer’s ability to pay. Default, delayed payment, restructuring, a fall in secondary-market price and difficulty finding a buyer before maturity are all possible. A secured NCD has specified collateral and a trustee structure, but “secured” does not mean risk-free. An unsecured NCD does not offer a collateral pool in the same way and may expose you more directly to the issuer’s general creditworthiness.

Start with the security identifier and issuer name, not an advertisement or a headline annual rate. Confirm that every document you read refers to the same series, issue dates and listing.
Documents to inspect before applying
Offer document, prospectus and addenda
Read the current offer document or prospectus from beginning to end, including risk factors, schedules and later addenda. The document should let you identify:
- the issuer, security identifier, issue size, opening and closing dates and proposed listing;
- eligible investor categories, minimum application size and application multiples;
- coupon or yield formula, payment frequency, maturity date and redemption amount;
- the intended use of proceeds;
- whether the series is secured or unsecured, and the security and charge terms;
- the debenture trustee, registrar, payment arrangements and investor contacts; and
- the disclosed basis of allotment, refund process and principal risk factors.
SEBI’s May 2024 master circular on issue and listing provides the principal consolidated regulatory context for these disclosures. It can be amended, so check the latest applicable version and the issue-specific document rather than relying on an old summary.

Do not compare labels without checking their definitions and dates. A higher coupon may indicate that investors are being asked to accept greater credit, duration or liquidity risk. A SEBI-hosted document dated January 2026 discusses default and non-guaranteed coupons as risk concerns; that material is draft regulatory text, not final binding law, so use it only as a reminder to examine those risks.
Security, charge, asset cover and trustee
For a secured issue, identify the assets charged in favour of debenture holders, the charge rank, the disclosed asset-cover ratio, valuation or monitoring provisions and the circumstances in which the trustee may enforce security. Check whether the charge is exclusive, pari passu or otherwise shared with other creditors, as stated in the documents.
For an unsecured issue, note that repayment depends on the issuer’s general assets and creditor ranking. In either case, the debenture trustee represents holder interests within the authority and duties set out in the documents; the trustee’s involvement does not remove default risk. Do not infer that an asset-cover number guarantees recovery at that level in a liquidation.
Issuer financial and servicing information
Review available audited financial statements, outstanding debt, cash generation, leverage, maturity concentrations and disclosures about servicing existing borrowings. Read the stated purpose of the funds and consider whether it is consistent with the issuer’s financial position. Look for disclosures of delays, defaults, restructurings, covenant breaches or material litigation where provided.

A high coupon alone does not establish that the issuer can pay. Compare the promised cash flows with the issuer’s reported ability to service debt and with the period for which your money will be locked up.
Investor rights and complaint route
Locate the current issuer, registrar and debenture-trustee contact details, as well as the procedure for complaints, payment failures, transfer issues and other servicing problems. SEBI’s April 2022 updated operational circular introduced a dedicated investor-charter chapter. For a live issue, use the latest charter and the contacts printed in the current materials, because procedures and addresses can change.
Record the commercial terms in one place
Copy the following fields into a personal checklist or spreadsheet before submitting an application. This prevents an attractive headline rate from hiding a different payment schedule or redemption amount.

How to check NCD allotment after a public issue
Allotment is an issue outcome, not a guaranteed number of securities. It depends on the subscription received, investor category, minimum application and the disclosed basis of allotment.
- Record your application details. Save the application number, series, quantity and value requested, investor category, amount paid or funds blocked, bank mandate and issue closing date.
- Wait for the official result. Use the issuer’s, registrar’s or stock exchange’s official allotment result identified in the offer document. Do not rely on an unverified message or a third-party screenshot.
- Reconcile the quantity. Compare the allotted quantity and value with your application and with the category-specific basis disclosed for that issue. SEBI public-issue rules contain category-based proportional-allotment provisions, but the final result depends on the issue’s subscription and stated procedure. The broad ICDR materials include provisions beyond NCDs, so do not copy a percentage or timetable from them as a universal NCD rule.
- Check your demat account. Confirm that the correct security identifier and number of units were credited after allotment and listing processing.
- Check the unallotted amount or refund. Confirm release of blocked funds or receipt of the refund using the bank account and mandate connected with the application.
- Escalate mismatches promptly. Retain the application, payment or mandate evidence and official result. Contact the registrar or issue contact listed in the offer document, then use the stated investor-grievance route if the problem remains unresolved.
There is no issue-independent allotment timetable that applies to every NCD. Follow the dates and instructions for the particular offer.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.When will NCD interest be paid?
The answer is the payment schedule in your series’ offer document, not the rate shown in a promotion. Build a calendar with the first payment date, each recurring due date, record date, day-count convention and any business-day adjustment. Mark whether the return is a regular coupon, cumulative amount payable at maturity or another structure.
How eligibility is determined
Many issues use a record date to identify holders entitled to a coupon or redemption payment. A prospectus hosted by SEBI illustrates an arrangement in which interest and maturity proceeds go to holders appearing in the register on the record date, with direct bank credit or electronic payment. That is an example from one issue, not a rule for all NCDs. Your series may use different wording or procedures.

Payment setup and checks
- Confirm that the bank account and mandate recorded with the issuer, registrar or depository are current.
- Check that the name and account details are consistent across the application, demat account and payment instructions.
- Review the gross coupon, any stated withholding and the net amount expected.
- Keep the due date, record date and adjusted business day in your calendar.
- After the due date, compare the bank credit with the expected amount and retain the statement.
Tax forms, thresholds and personal tax treatment change and depend on your circumstances. Use the current issue terms and applicable tax rules, and obtain professional advice when necessary; do not rely on an old prospectus excerpt.
If a payment is late or missing
- Check whether the due date moved under the stated holiday or business-day convention.
- Verify that you were an eligible holder on the record date and that your bank details were valid.
- Check issuer, registrar, exchange and trustee notices for a payment delay, restructuring or other event.
- Contact the official issue or registrar address and keep the complaint reference.
- If unresolved, follow the current investor-charter escalation route and preserve all statements, notices and correspondence.
Will you get your principal back at maturity?
The offer document normally states a maturity date and redemption amount, but repayment is a contractual obligation subject to the issuer’s solvency and the terms of the security. Before investing, write down the exact date, amount, last-interest treatment and the rule for a maturity date that falls on a non-working day.
Check for an investor put, issuer call, staggered redemption, buyback or other early-repayment provision. These rights exist only if the specific series states them, including any notice period, exercise window or price. Do not assume that an issuer can redeem early merely because another NCD does.
Before the relevant record date, confirm that your holder registration, demat details and bank mandate remain accurate. The SEBI-hosted prospectus example uses record-date-based maturity payment mechanics, but it does not establish a universal convention. If the issuer cannot pay, the recovery process depends on the issue documents, security ranking, trustee actions and applicable insolvency or enforcement procedures.
How to compare two NCD issues
Compare the complete cash flow and risk profile rather than the headline coupon. A useful comparison worksheet includes these axes:
- Credit quality: rating rationale, date and subsequent rating actions, issuer debt and cash generation.
- Security: secured or unsecured status, charge priority, disclosed asset cover and trustee provisions.
- Return: coupon and effective yield relative to the price you will pay, payment frequency, taxes and fees.
- Time exposure: maturity, duration and any call, put or staggered redemption.
- Exit liquidity: listing, observed secondary-market activity and the possibility of selling below your purchase price.
SEBI’s May 2025 circular on yield-to-price computation for cash-flow dates on the RFQ platform is a market-computation reference. It does not endorse an issue or prove that a liquid market exists. Compare yields on a consistent basis and distinguish contractual cash flows from the price available if you sell before maturity.
Final pre-investment and holding checklist
- Match the issuer, series and security identifier across the offer document, application and demat records.
- Read the risk factors, rating rationale and latest rating action.
- Identify collateral, charge ranking, asset cover and trustee duties, or confirm that the issue is unsecured.
- Understand use of proceeds and available financial and debt-servicing information.
- Record coupon basis, dates, record date, day-count, holiday treatment and withholding language.
- Record maturity, redemption amount, final interest and every stated early-redemption right.
- Save application, allotment, refund, payment and complaint evidence.
- Use only official issuer, registrar, exchange and trustee notices for changes.
- Assess whether you can hold to maturity and tolerate delayed payment, default or a sale at a loss.
Use the current issue documents and later notices as the controlling source. Regulatory circulars provide context, but the rights and cash flows you receive are those stated for your particular NCD series.
