The filing also disclosed a separate board decision to add $40.1 million to the company’s stock-repurchase authorization. The charge-offs are an estimate, while the authorization permits—but does not require—future repurchases.
What NBHC disclosed
On September 28, NBHC’s board and management concluded that wholly owned subsidiary NBH Bank expected material impairments on specifically identified commercial loans. The affected relationships had $65.0 million in aggregate outstanding principal and were expected to be reserved or charged down to an estimated $18.2 million. The company attributed the credit events to the third quarter and said the loans were primarily in the franchise and healthcare industries. NBHC’s October 1 Form 8-K reports the estimates.

For the three months ended September 30, NBH Bank expected $46.8 million in charge-offs and provision expense of $38.0 million to $40.0 million. These figures describe management’s expectations in the filing, not finalized third-quarter results or confirmed realized losses.
How the impairment figures fit together
The filing also identified a separate expected $4.0 million impairment charge on a FinTech partnership investment classified as a non-marketable security. NBHC said that charge would reduce non-interest income.
#1 Best Overall
| Disclosure | Amount | What it represents |
|---|---|---|
| Commercial-loan principal | $65.0 million | Aggregate outstanding principal in the affected loan relationships. |
| Estimated balance after reserves or charge-downs | $18.2 million | Management’s estimated remaining balance for those relationships. |
| Expected charge-offs | $46.8 million | Estimated charge-offs for the quarter ended September 30, 2026. |
| Expected loan provision expense | $38.0 million–$40.0 million | Estimated provision expense for the same quarter. |
| FinTech investment impairment | $4.0 million | Separate expected charge reducing non-interest income. |
| Estimated after-tax earnings reduction | $32.0 million–$34.0 million, or $0.72–$0.76 per diluted share | Combined expected effect of the impairments for the three and nine months ended September 30, 2026. |
Charge-offs and provision expense are related but not interchangeable measures: one records identified credit losses against loans, while provision expense reflects the income-statement expense associated with credit-loss reserves. The $46.8 million charge-off estimate therefore should not be added to the $38.0 million–$40.0 million provision range as though they were separate losses. NBHC’s combined after-tax estimate also includes the FinTech investment impairment.
What the $40.1 million buyback authorization means
On September 30, NBHC’s board approved up to $40.1 million in additional authority to repurchase Class A common stock. With $59.9 million still available under the prior authorization, the company reported aggregate repurchase authority of $100.0 million.

The authorization is a ceiling on potential purchases, not a commitment that NBHC will spend the full amount. The filing says repurchases may be made through open-market or privately negotiated transactions, Rule 10b5-1 plans, or other methods consistent with securities laws. It has no expiration date, but the board may modify, suspend, or terminate it at any time.

That count excluded 813,990 issued but unvested restricted Class A shares. The authorization alone does not change the share count; that would depend on repurchases actually completed.

Why the two announcements should be read separately
The loan figures are management’s estimates of credit losses and related expense for a specified quarter. The buyback figure is board-approved authority for possible future capital deployment. The filing does not say the repurchase authorization offsets, funds, or resolves the loan impairments. Any effect of repurchases on shares outstanding or per-share results would depend on whether purchases occur and on their amount and timing.
For scale, NBHC reported second-quarter 2026 net income of $26.5 million, or $0.58 per diluted share, when it released results on July 21, 2026. That is a finalized prior-quarter result; the $32.0 million–$34.0 million third-quarter after-tax impact remains an estimate in the October 1 filing. The two figures refer to different periods and should not be treated as directly comparable measures of the same thing. NBHC’s results and news page provides the company’s results releases.

The October 1 filing does not establish the eventual charge-offs, final third-quarter earnings, or a final recovery value for collateral. Those outcomes require the company’s subsequent reported quarterly results; the filing’s numbers should remain described as estimates until then.
