Mphasis Limited’s income-tax demand for Assessment Year 2023-24 has increased to ₹2,417.80 crore from ₹2,286.86 crore after a rectification order issued under Section 154 of India’s Income-tax Act. The company said the additional ₹130.94 crore reflects interest charged under Section 220, not a newly disclosed category of tax addition.

What changed in Mphasis’ tax case

The Assistant Commissioner of Income Tax, Circle 4(1)(1), Bengaluru issued the Section 154 rectification order on October 9, 2026. Mphasis received it on October 13 and disclosed the development on October 14.

Item Amount or date
Assessment year 2023-24
Earlier demand ₹2,286.86 crore
Revised demand ₹2,417.80 crore
Increase ₹130.94 crore
Rectification order date October 9, 2026
Date received by Mphasis October 13, 2026

Mphasis’ filing attributes the increase to interest levied under Section 220 of the Income-tax Act. Section 220 deals with interest consequences when a tax demand is not paid within the period specified in a notice of demand. The filing does not describe the revised amount as a penalty.

What led to the original demand

The revised figure follows an assessment order issued under Sections 143(3) and 144B, accompanied by a Section 156 notice of demand. Mphasis’ March 2026 exchange disclosure identified three principal areas of adjustment in that assessment:

  • Employee stock-option expense: the assessment included an addition relating to ESOP costs.
  • Payments to overseas associated enterprises: the order addressed subcontractor expenses paid to overseas related parties where the tax authority alleged that tax had not been deducted at source.
  • GST and audited turnover differences: the assessment compared GST turnover with figures in the audited financial statements and included an adjustment connected with the difference.

The March disclosure said Mphasis was examining an appeal and believed it had a good case on the merits. The October rectification order changes the computation of the demand; it does not, by itself, establish that the underlying additions have been finally upheld through all appeal stages.

What a Section 154 rectification order means

Section 154 allows an income-tax authority to correct a mistake apparent from the record in an assessment order or in an order issued through the Centralised Processing Centre. A rectification is intended for an evident computational or record-based error, rather than a full rehearing of every disputed issue.

The Income Tax Department’s guidance says a taxpayer can submit a rectification request when such an apparent mistake exists. It also states that a rectification order can be appealed. In practice, a company may therefore pursue a correction petition for a computation error while separately considering the statutory appeal route for disputed additions.

What Mphasis plans to do next

Further rectification petition

Mphasis said it is evaluating legal remedies and intends to file an appropriate rectification petition for errors it has identified in the computation. That petition would address issues the company considers apparent from the record in the demand calculation.

Possible appeal and other remedies

The company’s March filing said it would evaluate an appeal and considered its position strong on the merits. The October disclosure did not announce that an appeal had already been filed. The available statements therefore support saying that Mphasis is evaluating and pursuing remedies, not that the dispute has been resolved or that a final appellate outcome exists.

Will the ₹2,417.80 crore demand affect Mphasis’ financial statements?

Management said it does not expect the rectification order to have a material impact on Mphasis’ financial statements. That is the company’s stated assessment of accounting impact; it does not cancel the tax department’s demand or determine the eventual amount payable after rectification, appeal, settlement or other proceedings.

The distinction matters because a tax demand can be legally disputed while its accounting treatment depends on management’s assessment of the case, applicable accounting requirements and the likelihood of an outflow. Mphasis has not disclosed a new material financial-statement charge arising from this October order.

How to read the headline number

  • The headline amount is a revised demand for AY 2023-24, not a statement that ₹2,417.80 crore is a newly assessed principal tax amount.
  • The stated increase of ₹130.94 crore is attributed to Section 220 interest.
  • The underlying assessment included ESOP expense, overseas associated-enterprise subcontractor payments and GST-turnover reconciliation issues.
  • Mphasis is seeking further rectification and evaluating appeal or other legal remedies.
  • The company currently expects no material impact on its financial statements.

What remains unresolved

The disclosures do not provide a final appellate decision, a confirmed payment date, or a determination that the full revised demand will ultimately be collected. The legal and accounting position can change as the proposed rectification petition and any appeal progress.
