Maas Group Holdings (ASX: MGH) received A$1.61 billion at completion of its sale of the Construction Materials business to Heidelberg Materials Australia in October 2026. The completed payment includes the purchase price and estimated completion adjustments. Up to a further A$120 million could become payable if agreed operational and commercial milestones are achieved.
What was completed
The transaction transfers Maas Group’s eastern-Australian aggregates, ready-mixed concrete, asphalt and recycled-materials operations to Heidelberg Materials Australia Holdings Pty Limited, part of Heidelberg Materials. Maas Group’s 2 October 2026 ASX announcement, as reported in the completion coverage, recorded A$1.61 billion received on completion.

That amount is lower than the maximum value announced when the deal was unveiled, because the original headline included contingent consideration that depends on future milestones. The completion payment is therefore settled consideration, not a guarantee that the full announced amount has been received.

What Heidelberg Materials acquired
Heidelberg Materials Australia says the acquired platform spans four eastern-Australian jurisdictions: New South Wales, Queensland, Victoria and the Australian Capital Territory.

| Combined quarry reserves | More than 350 million tonnes |
| Ready-mixed concrete plants | 22 |
| Asphalt operations | Five |

The operations supply aggregates, ready-mixed concrete, asphalt and recycled construction materials. The quarry-reserve figure describes the combined reserves across the acquired quarries; it is not a production forecast or a statement of annual output.
Employees, customers and operating continuity
About 1,140 employees moved with the business, according to Maas Group’s completion report. Heidelberg Materials said there were no workforce reductions planned as a result of the acquisition. It also said existing businesses and brands would continue to operate as they do today, while customers and suppliers would continue dealing with their existing contacts.
Heidelberg Materials Australia chief executive Phil Schacht said the company’s immediate priority was a smooth transition while maintaining safe, reliable operations and continuing product and service quality. His comments point to an integration approach focused on continuity rather than an immediate rebranding or restructuring of the acquired sites.

Why the acquisition matters
For Heidelberg Materials, the purchase expands its position in eastern Australia with a large, geographically distributed network of quarries, concrete plants and asphalt operations. The combination adds regional expertise, established customer relationships and an experienced operating team to Heidelberg Materials Australia’s existing businesses.
For Maas Group, the transaction converts the Construction Materials division into a substantial cash receipt while ending its ownership of those assets. The available information does not state how the proceeds will be allocated among debt reduction, reinvestment, distributions or share buybacks, so no conclusion about Maas Group’s next capital-allocation step can be drawn from the completion figure alone.

What the A$1.61 billion figure does—and does not—mean
- It is the amount Maas Group reported receiving when the transaction completed, including estimated completion adjustments.
- It is not the same as the A$1.703 billion maximum announced in February, which included conditional consideration.
- The remaining potential A$120 million depends on agreed operational and commercial milestones; it should not be treated as settled cash.
- The transaction covers the specified Construction Materials operations and their transferring workforce, not every business held by Maas Group.
- The completion announcement does not provide a final breakdown of how Maas Group will use the proceeds.
